Oracle CEO Safra Catz Exits Disney’s Board

Disney announced that Safra Catz, CEO of Oracle, is departing its board of directors after six years.

Disney and Catz did not provide an explanation for why she stepped down from the Mouse House’s board. With Catz’s departure, the size of Disney’s board has been reduced from 12 directors to 11. According to a Disney filing with the SEC, Catz informed the company on Thursday (July 18) that she would leave the board.

Disney’s board was in the spotlight earlier this year when activist investor Nelson Peltz tried to win a pair of seats (one for himself and one for ex-Disney CFO Jay Rasulo) in a monthslong proxy fight. Peltz had accused Disney’s board members of falling down on the job, specifically with respect to vetting a CEO successor for Iger. Disney Shareholder Blackwells Capital Blasts Rival Nelson Peltz For Failing To Come Up With “A Single Strategic Idea That Would Benefit Shareholders”

Blackwells Capital, a Disney shareholder with plenty of opinions about who should sit on the company’s board of directors, blasted the rival Trian Group for its own board maneuvering.

In a press release Monday, Blackwells Chief Investment Officer Jason Aintabi said Trian co-founder Nelson Peltz has come up short in terms of suggesting ways for the media giant to right its ship. Trian, which owns about $3 billion in Disney stock, last week formally initiated a proxy war with Disney by nominating Peltz and former Disney CFO Jay Rasulo to the board. The firm plans to solicit support from a shareholder base that it believes has grown restless over the company’s lackluster stock performance.

Trian has attacked Disney’s path under CEO Bob Iger, who returned to the top exec role in November 2022 in a bid to shore up the company after it slipped under his hand-picked successor, Bob Chapek.

Disney CEO Bob Iger Pay Hit $31.6 Million in 2023; Board Rejects Candidates Nominated by Activist Investors

Disney CEO Bob Iger saw his compensation hit $31.6 million in 2023 — down from $45.9 million in 2021, his last prior full year of employment at the company.

Iger’s 2023 pay package included $865,385 in base salary, plus 16.1 million in stock awards, $10 million in stock-option awards, $2.14 million cash bonus and $2.48 million in other compensation, according to the company’s proxy statement filed Tuesday with the SEC. His contract with Disney runs through the end of 2026.

Iger was Disney CEO from 2005-20 and served as executive chairman of the company through the end 2021. He returned as interim CEO after the ouster of Bob Chapek — who had been Iger’s hand-picked successor — in November 2022. For 2023, Chapek received total compensation from Disney of $9.94 million.

The Sephora x TikTok Incubator Program will teach beauty brands the potential of short-form video

\Sephora is launching a new initiative in the world of influencer marketing. The beauty retailer has announced the Sephora x TikTok Beauty Incubator, a partnership that will teach cosmetic brands how to make the most of their short-from video channels.

The incubator, which has been launched in partnership with full-service agency Digitas, will span three sessions. The first two will be conducted via Zoom, while the third will be held at TikTok’s New York City office. The brands chosen to participate in the initiative are women-led and Poc-led startups that have completed the Sephora Accelerate program. Three of those brands — Topicals, Eadem and Hyper Skin — will make up the first class of Incubator participants.

Disney CEO Bob Iger on Thursday called Marvel chairman Isaac Perlmutter’s backing of activist investor Nelson Peltz “a curious dynamic.”

Peltz, of Trian Group, this morning abandoned his battle with Disney that featured a push for a seat on the board. He said a wide-ranging corporate restructuring announced Wednesday spoke to many of his concerns about the company’s management and strategy. Disney came out swinging Tuesday against Trian Partners and owner Nelson Peltz, the activist investor who’s pushing a proxy fight to take a seat on Disney’s board. “The current board is the right board for Disney shareholders,” the company said in a filing today with the SEC. “Nelson Peltz does not understand Disney’s business and lacks the skills and experience to assist the board in delivering shareholder value in a rapidly shifting media ecosystem.”

The public battle has been raging mostly so far on the website of the Securities and Exchange Commission where Trian filed a string of documents last week urging Disney shareholders to vote for Peltz as director at the upcoming annual meeting, and in opposition to Disney’s own nominated slate of directors. Disney has expanded its board of directors to 12 seats with the election of Lululemon CEO Calvin McDonald and former Cisco and Google executive Amy Chang.

McDonald and Chang were elected to the board on Thursday, Disney said. The 10 existing members of the board were reelected to new terms in March at Disney’s annual shareholders meeting.

Although filmed entirely in New York and in completely Us production, Ximan Li’s debut feature “In a New York Minute” qualifies for being considered as an Asian film based on its milieu: the Chinese diaspora in the Us. Think of last year’s global hit “Crazy Rich Asians”, but without the “crazy” and “rich” parts and “In a New York Minute” offers its patient viewers a glimpse into the world rarely seen in both Hollywood mainstream and indie movies. However, the film is also quite an American one and its world premiere took place at Newport Beach Film Festival. Some further festival exposure should ensue before the film hits the video-market, but chances for wide theatre distribution are quite slim.

We're huge Michael Rooker fans here, so when the opportunity came up to chat with him for a half an hour this past Sunday, we jumped on it. The actor currently has a lot going on in his career, including this week's DVD release of the creature feature on ice, Hypothermia. In it, Rooker stars as a family man forced to protect his wife and kids against a snow dwelling monster hellbent on consuming human flesh.

He also has Season 3 of The Walking Dead coming up in October, which finds him reprising the fan favorite role of Merle Dixon, not seen since Season 1. And he is playing one of the main characters in the popular video game franchise Call of Duty, which returns this November with Black Ops 2. Hypothermia, written and directed by McKenney, stars Michael Rooker, who has had a long career in film that launched with his chilling performance as the titular character in Henry: The Portrait Of A Serial Killer. Hypothermia co-stars Blanche Baker who starred in Sixteen Candles, HBOs Taking Chance and the horror indie The Girl Next Door. Also in the cast are Greg Finley (The Secret Life Of The American Teenager), and McKenney regulars Don Wood (The Off Season, Automatons, Satan Hates You), Ben Forster and Amy Chang. The film will be produced in partnership with Larry Fessenden's Glass Eye Pix.

Glass Eye Pix's Hypothermia is currently in production with a tentative October 30, 2010 release date. James McKenney is the director of this Dark Sky Film and Don Wood with Amy Chang will star. Fessenden to Deliver Hypothermia to Audiences
Larry Fessenden and Glass Eye Pix have updated their official site with a new trailer for their upcoming feature Hypothermia and we've got it for ya, would-be sea-creature and all!

At press time there aren't many details available about the film, other than it was written and directed by James Felix McKenney and stars Don Wood, Amy Chang and Benjamin Hugh Abel Forster. Still, the super-early teaser trailer below looks pretty damned cool! Check it out and look for more on this one we're sure sooner, rather than later!
