Twintig minuten later heeft u drie versies in beeld en van geen ervan een getekende kopie. Pijnlijk, want dat is de eerste vraag bij een onderzoek van de Autoriteit Persoonsgegevens. Niet "heeft u een verwerkersovereenkomst," maar: laat de getekende overeenkomst zien, elke aanvulling, en bewijs dat u die het afgelopen jaar heeft beoordeeld. Boetes lopen tot €20 miljoen of vier procent van de jaaromzet. Als uw contracten verspreid staan over drie plekken en de inbox van een vorige medewerker, is het antwoord op "kunt u dit aanleveren" in de praktijk "geef me een week." Which is awkward, because that's the first thing a HIPAA audit asks for. Not "do you have a BAA." Show me the signed BAA, every amendment, and proof you reviewed it. Lease obligations fail in three distinct ways. Each one needs a different kind of reminder, which is why generic calendar alerts rarely catch all of them. 1. Notice windows (missed timing). A 90-day termination window passes without action. The lease renews on terms negotiated three years ago and never revisited. The reminder has to fire early enough that renegotiation is still possible. 2. Escalation triggers (missed amount). Annual CPI-linked increases or fixed step-ups hit the rent roll without review. Nobody notices the jump until the invoice lands. The reminder has to fire at contract execution anniversary, not lease expiration. 3. End-of-term returns (missed condition). Equipment leases and vehicle fleets have return conditions: mileage caps, maintenance obligations, residual value assessments. Penalties kick in if the asset comes back in the wrong state. You spot the Q2 fee schedule update from your largest payer. Two of your top CPT codes are down 6%, the kind of thing you'd push back on if you could. You pull the contract. The renegotiation window closed three weeks ago. The reminder was on the calendar of the practice administrator who left in February, and nobody repointed it. So you're on the new schedule for the rest of the contract year. For a five-provider group, that's a five-figure swing on a single contract. 71% of organizations cannot locate at least 10% of their contracts. Het zijn minstens zes categorieën, elk met zijn eigen risico: - Zorgverzekeraarscontracten: onderhandelingscyclus loopt vaak september tot december. Opzegtermijn missen betekent een jaar vast aan dezelfde tarieven. - Verwerkersovereenkomsten met je HIS-leverancier en andere ICT-partijen: artikel 28 AVG verplicht. Verlopen of ontbrekend is een directe AVG-overtreding. - Waarnemerovereenkomsten en personeelscontracten: extra aandacht sinds de discussie over schijnzelfstandigheid bij modelovereenkomsten voor ZZP'ers. - Lease en onderhoud van medische apparatuur: opzegtermijnen die stilletjes verlengen tegen oude tarieven als niemand kijkt. - Huur van praktijkruimte: de stille categorie die het meest kost als je het vergeet. - BIG-registraties, Wtza-vergunning, accreditaties: geen contracten in juridische zin, maar wel documenten met vervaldata die je niet wilt missen. A hospital contract portfolio is not one thing. It's at least six categories, each with its own failure mode: - Payer and provider agreements: 60 to 120 days of notice. Miss the window, lose the renegotiation for the term. - Vendor business associate agreements: HIPAA-required for every third party touching PHI. An expired BAA is a compliance issue, not just an admin one. - Physician employment and compensation: Stark Law and Anti-Kickback. Every amendment is part of the compliance evidence. - Medical device, imaging, and equipment leases: notice periods that auto-renew at unfavorable rates if no one is watching. - EHR and software licensing: data protection obligations, renewal cycles, and integration commitments. - Real estate and facility leases: the quiet category that costs the most when forgotten.
