MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is entered into this ___ day of

2016 at __________________, by and between:

HOTEL MASFINO, INC., a corporation duly organized and existing


under and by virtue of the laws of the Philippines, with principal address at
Coral na Bato, San Rafael, Bulacan represented in this act by its Marketing
Director, Arch.
Engr.Mathilda
Annaliza A.P.Lapuz
Brobio (hereinafter referred to as the FIRST
PARTY);

and

_________________________, a corporation duly organized and


existing under the laws of the Philippines, with principal address at

,represented in this act by its Tours Manager, _____________________
(hereinafter referred to as the SECOND PARTY);

WITNESSETH, That:

WHEREAS, the FIRST PARTY owns and operates Hotel Masfino (the “Hotel”), a
twenty (20) room hotel in Coral na Bato, San Rafael, Bulacan;

WHEREAS, the FIRST PARTY likewise operates The Royal Northwoods Golf Club
(the 'Golf Club'), a world-class 18-hole golf course in Coral na Bato, San Rafael,
Bulacan;

WHEREAS, the FIRST PARTY likewise operates El Masfino Country Club Inc (the
“Resort”) adjoining the Golf Club;

WHEREAS, the SECOND PARTY is a travel agency which caters to both local and
foreign tourists, offering different travel and vacation packages to their clients;

WHEREAS, the SECOND PARTY considers the Water Park and Hotel as one of
the latter’s tourist destination offerings to its clients with choices of Tour Packages.

WHEREAS, the FIRST PARTY has accepted the foregoing offer of the SECOND
PARTY:

NOW THEREFORE, for and in consideration of the foregoing premises, the Parties
hereby enter into this Memorandum of Agreement under the following terms and
conditions; to wit:

1. The SECOND PARTY shall be entitled to a commission based of the total


booking fees actually paid by guests and tourists of the THIRD PARTY to the FIRST
PARTY AND SECOND PARTY under any of the offered Tour Packages (Annex 'A'
hereof)

2. Reservations shall be made at Bulacan Office with telephone numbers:

3. The SECOND PARTY shall remit immediately to the FIRST AND SECOND
PARTY a Fifty Percent (50%) advance deposit of the total estimated bill, net of 10%
commission to block and reserve the date.

4. The THIRD PARTY shall settle the full payment to the FIRST PARTY and
SECOND PARTY at least seven (7) days before actual date of reservation.

5. The SECOND PARTY shall be responsible to properly disseminate to the guests


the rules and regulations, operating procedures and prescribed dress code of the Golf
Club, Resort and Hotel, a copy of which is attached and made an integral part hereof as
Annex B.

6. The THIRD PARTY is entitled to nominate two (2) of its Directors and/or Officers
for free entrance at Water Park and a round of golf at the Golf Club subject to prior
reservation one a year. This privilege is non-transferable.

7. This Agreement shall be valid for a period of three (3) year from execution
hereof, subject to renewal upon mutual written agreement of the Parties. All fees are
subject to change with Thirty day (30) written notice prior to the effectivity date.

8. Nothing in this Agreement shall be construed or inferred as in any manner


constituting any joint venture, incorporation, partnership and/or employer-employee
relationship between the Parties. The construction, interpretation, validity, and
performance of this Agreement shall be governed solely by the laws of the Republic of the
Philippines.

9. This Agreement supersedes all other covenants, negotiations, commitments and


undertakings, verbal or written, prior to the date hereof pertaining to the subject matter of
this Agreement. This Agreement shall not be changed or modified in any manner, except
by mutual consent in writing by the Parties. No waiver or modification of any of the terms
and conditions of this Agreement nor any breach, misrepresentation, or violation of any of
the terms and conditions hereof shall be deemed a waiver or modification of such terms
and conditions or of such breach, misrepresentation, or violation, unless the Party
concerned shall have expressly done so in writing.

10. Should any provision of this Agreement be declared illegal, invalid or


unenforceable, it shall not affect the legality, validity, or enforceability of the other
provisions. This Agreement shall remain in full force and effect to the extent that the
other provisions are not held illegal, invalid or unenforceable.
