CONTRACT/AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This CONTRACT/AGREEMENT made and executed this ____ day of
_________, 20__ by and between:
SPOUSES ALLAN RAY GONZALES and VANESSA M. GONZALES, both of
legal age, Filipinos, and residents of Lot 3-A Block 34,
Santol St., Amparo Subd., Novaliches, Caloocan City,
hereinafter referred to as the “SELLERS”;
-AND-
(a) ELIZABETH AUJERO, of legal age, Filipino, widow, and
resident of Lot 5 Block 5, Yakal St., Amparo Subd.,
Caloocan City; (b) AMELITO RUDA, of legal age, Filipino,
married and resident of Lot 5 Block 8, Yakal St., Amparo
Subd., Caloocan City; (c) FREDDIE RUGAS, of legal age,
Filipino, married and resident of Lot 5 Block 3, Yakal St.,
Amparo Subd., Caloocan City; (d) DIOSITO REPIL, of legal
age, Filipino, married and resident of Lot 4 Block 7, Yakal
St., Amparo Subd., Caloocan City; (e) CLARITA V. DANAO, of
legal age, Filipino, married and resident of Lot 5 Block 1,
Yakal St., Amparo Subd., Caloocan City; (f) VAN BUGTONG, of
legal age, Filipino, married and resident of Lot 5 Block 8,
Yakal St., Amparo Subd., Caloocan City, hereinafter
collectively referred to as the “BUYERS”;
WITNESSETH;
That the SELLERS are the registered owners of a parcel of land
located at Block 3-A Block 34 Santol St., Amparo Subdivision,
Novaliches, Caloocan City, with a total area of THREE HUNDRED FIFTEEN
SQUARE METERS AND FIFTY DECIMETERS (315.50 SQ. METERS) covered by
Transfer Certificate of Title No. C-387493 of the Registry of Deeds
for Caloocan City;
That the each BUYER has agreed to buy a portion of the said
property individually and the SELLERS has agreed to sell the above-
mentioned property under the following terms and conditions:
1. The subject land shall be subdivided/segregated into SEVEN (7)
LOTS, as follows:
(a) ELIZABETH AUJERO – SIXTY (60) SQUARE METERS, more or less;
(b) AMELITO RUDA - THIRTY (30) SQUARE METERS, more or less;
(c) FREDDIE RUGAS - THIRTY (30) SQUARE METERS, more or less;
(d) DIOSITO REPIL - THIRTY (30) SQUARE METERS, more or less;
(e) CLARITA V. DANAO - THIRTY (30) SQUARE METERS, more or less;
(f) VAN BUGTONG - THIRTY (30) SQUARE METERS, more or less;
(g) SPOUSES ALLAN RAY GONZALES and VANESSA M. GONZALES
(SELLERS) – ONE HUNDRED FIVE SQUARE METERS AND FIFTY SQUARE
DECIMETERS (105.50) or the
unsold portion/the remaining lot area after survey shall
remain in the name of the SELLERS;
2. That the total consideration for the sale of each portion shall
be as follows:

3. That the SELLERS shall apply/request for the
subdivision/segregation of the said lot and the issuance of
separate title for the SIX (6) LOTS under his name with the
Registry of Deeds for Caloocan City and all fees and expenses
relating thereto will be shouldered by the SELLERS; The SELLERS
shall hire/contract the services of a Licensed Geodetic Engineer
under their own expense in relation to the approval of the
Subdivision Plan prerequisite for said subdivision/segregation;
4. That considering that the BUYERS have already constructed
improvements on their respective lots, they hereby agree to have
no complaints or objections if any of their respective lot area
are inconsistent with the Approved Plan or Separate Titles that
will be issued in comparison to the lot areas stated in Par. 1 of
this agreement;
5. That upon the release of the said titles, the SELLERS shall sign
and execute a DEED OF ABSOLUTE SALE in favor of the BUYERS
individually. The SELLERS shall likewise execute and/or deliver
any and all documents, including but not limited to the original
copy of Transfer Certificates of Title, Tax Declarations and all
other documents necessary for the transfer of ownership from
SELLERS to each individual BUYERS;
6. Real Estate Tax, Capital Gains Tax, Documentary Stamps Tax,
Registration Fee, registration expenses, and all other
miscellaneous fees and expenses relating to the transfer of the
said property shall be to the account of each individual BUYERS;
7. This Contract/Agreement shall become effective immediately upon
the signing hereof by the Parties; and
8. In the event that any of the provisions of this
Contract/Agreement are held to be invalid or unenforceable in
whole or in part, the remaining provisions shall not be affected
and shall continue to be valid and enforceable as though the
invalid or unenforceable parts had not been included in this
Contract/Agreement. The Parties herein represent that they have
entered into this Contract/Agreement in not being contrary to
law, morals and public policy and with full knowledge of their
rights and obligations under the law.
