Dear Abhijit,
Webtel Electrosoft Private Limited, (“The Company”) is pleased to confirm your employment with us.
Your date of joining us will be 17th July 2017 and will be termed as the “Effective Date” henceforth in this
document.
You will currently report to the HOD – Payroll solutions and will be based in Delhi
Your acceptance of this letter and the terms of your employment with us will remain effect as a condition of
your continued employment with the Company, its parent, subsidiaries, affiliates, successors or assigns.
The following terms and condition, along with the Propriety Information and Assignment of Inventions
Agreement, shall form the basis of the relationship between the Company as the Employer and yourself as
the Employee, for mutual beneficial and long lasting association.
1. DESIGNATION AND COMMENCEMENT OF EMPLOYMENT
You are designated as “Sr. Sales Manager – Payroll Solutions”.
The commencement of your employment with us shall be from the Effective Date and shall continue
unless terminated in accordance with the terms of this Letter of Appointment (“Employment Period”).
Your initial location of employment will be in Delhi. However your appointment with us is subject to your
relocation at any of our locations based on work exigencies and management discretion.
2. PROBATION PERIOD
Your services will be on Probation basis for an initial period of 3 (Three) Months from Effective Date.
Upon the completion of the Probation period, your services will be confirmed or extended based upon
your performance during the period of Probation, which shall be communicated to you in writing.

The Company may or may not, only in appropriate cases, waive the Problem period in part or in full
depending on the performance of the employee or based on management discretion.

3. REMUNERATION
In lieu of the service rendered, you shall be entitled to a remuneration of INR 6, 42,000 (Rupees Six Lakhs
and Forty Thousand Only), which is the Fixed CTC. The details of which are mentioned in Annexure I.
The remuneration is for the entire work that is done by you as per your duties. You acknowledge that
there are no other commitments made by The Company.
4. EXPENSE REIMBURSEMENT
All the expense incurred you on behalf of the Company, as authorized in connection with the duties
under this Letter of Appointment, shall be reimbursed to you at actuals / as per the eligibility indicated in
the Company Policy, and upon presenting supporting vouchers/documents.
5. REPRESENTATIONS
It is understood that you as an employee, warrant, undertake and confirm to the Company that you are
not bound by the terms and conditions of any non-disclosure agreement, confidentiality agreement or
any other similar document, dead or writing by whatever name called executed prior to your
employment and the intellectual Property rights assigned or any other knowledge imparted by us is not in
breach or violation of any agreement or contact or like as aforesaid.
6. VERACITY OF INFORMATION PROVIDED
You are engaged with us based on the presumption that the particulars furnished by you in the resume or
testimonials handed over to the Company are correct. In case the said particulars are found to be
incorrect or that they have concealed or withheld some other relevant facts. The Employer’s
appointment with us shall stand terminated or cancelled without any notice. However The Company on
its own discretion may reappoint the Employee on fresh terms agreed between them.
7. INCOME TAX LIABILITY
The Income Tax Liability with regards to your compensation and benefits is your liability and will be
governed by the taxes laws of the country as applicable from time to time.
8. DISPUTE RESOLUTION
If any dispute arises between any of the parties hereto during the subsistence or thereafter, in
connection with the validity, interpretation, implantation or alleged material breach of any provision of
this Agreement, The Parties hereto shall endeavor to settle such disputes amicably by mediation. In case
of such failures, the Parties shall settle their disputes through the arbitration in accordance with the
provisions of the Arbitration and Conciliation Act, 1996.

9. CONFIDENTIALITY OF SALARY INFORMATION
Your compensation package is based upon the overall experience level, educational qualifications and
knowledge levels at the time of selection. Therefore, the salary package offered to you is specific and very
personal to you. Any comparison of the same with the salary packages of other Employees, based purely
on the total experience level or by any other Employees, based purely on the total experience level or by
any other benchmarks, may be unrealistic and misleading.
You are required to strictly maintain the secrecy of and ensure that you do not divulge or communicate in
any manner, any information, regarding your remuneration, to any other employee, except to your
immediate Superior/ Talent Dept. in the Company.
Similarly, when deputed to work/interaction at the client’s site, you are expected to maintain full
confidentiality regarding your salary package. You are expected not to discuss or disclose the same to any
member of the client staff, in the interest of maintaining and promoting ethical functional business
relations with our clients.
10. DEPUTATION/TRANSFER/RELOCATION
While remaining permanently employed at the location specified in this letter, you may be deputed for
work at any location of the other centers of the Company, varying for a period of a few days or above in a
year, as and when considered necessary, solely at the discretion of the management of the Company.
Depending upon the suitability, you may be deputed from time to time to work at the Company’s foreign
collaborators site / parent Company’s site or any other of their clients at the client sited, whether in India
or elsewhere. However you shall be compensated by the Company in accordance with the living
standards of the place of transfer and the decision of the Company in this regard will be treated as final.
The Company has certain committed long-standing business clients who may, based on business and
continuance, require your service in their organization. In such circumstances, the Company has the
absolute right your employment as a full time employee of such client at existing terms and conditions.
Under no circumstances shall such terms and conditions of the employment be prejudicial to you as
compared to the terms and conditions of employment with the Company.
11. CODE OF CONDUCT
You shall conduct yourself in conformity with the code of conduct of the Company, as may be amended
from time to time. Further, you shall carry out the instructions in letter & spirit, given by the superiors,
he/she shall not disobey the instructions given and shall not indulge in any unethical practices which
result in loss of productivity or which affect the project deliverables.

12. SERVICE RULES AND REGULATIONS
During employment, the entire full times Employees will be governed by the service rules, regulations,
policies and procedures of the Company in force or as introduced or amended from time to time. You will
also be governed by The Company’s policies and rules regarding Leave, Medical Reimbursement, Leave
Travel Assistance, Code of Conduct, work ethics or/and other matters. Further, during the Employment
Period you shall perform your duties with honesty, diligence, orderliness, obedience and faithfulness
towards the Company.
For the sake of clarity ti is specified that you will be eligible for leaves as per the Leave Policy applicable to
you which shall be provided to you at the time of joining. The Company may, at its discretion, amend the
Leave Policy and such amended policy will be applicable to you.
13. OTHER EMPLOYMENT
You shall not, during the Employment Period with us, directly or indirectly, be concerned with, engaged
with or commence any other business, trade or profession, irrespective of whether or not your
involvement is gratuitous or takes place outside working hours. The expression “concerned with or
engaged in” shall, without limitation, mean whether as an employee, advisor, partner, consultant,
contractor, sub-contractor, proprietor, director, shareholder or otherwise. You shall not engage whether
directly or indirectly, in any other employment, occupation, consulting or other business activity directly
or indirectly related to the business in which the Company is now involved or becomes involved during
the Employment Period, nor will engage in any other activities that conflict with your obligations to the
Company and a breach under this clause shall be constructed to be material breach of this letter of
Appointment.
Subject to any regulations from time to time by the Company which may apply to you, you shall not
receive or obtain directly or indirectly any discount, rebate, commission or other inducement in respect
of any sale or purchase of any goods or services effected or other business transacted ( whether or not by
you) by or on behalf of the Company or an associated company and if you ( or any firm or company in
which you are directly or indirectly engaged, concerned or interested) shall obtain any such discount,
rebate, commission or inducement, you shall immediately account to the Company for the amount
received by you or the amount received by such firm or company.
14. COMMUNICATION AND CORRESPONDENCE
Any communication sent to you to your permanent address provided at the time of your joining, or any
other address as filled/ amended in the records by you, during the course of or post cessation of
employment will stand final and correspondence so sent on behalf of the Company by registered post,
will be deemed to have been received by you.

15. ABSENTEEISM WITHOUT NOTICE
In the event of your absence from the services of the Company without a written permission from your
manager or without intimation to your manager, it would be assumed that you have voluntarily
abandoned services of the Company and the Company has the sole discretion to terminate / continue
with your services.
16. PERFORMANCE
You shall at all times perform to the best of your abilities and achieve the performance levels as laid down
by the Company. The Company may, at its sole discretion, interrupt or terminate the said Employment,
without thereby incurring any liability to you in the event of adverse reports regarding the progress of
your Probation or your work performance (based on the reports emanating from your seniors at regular
intervals) or your health.
17. TERMINATION
a) Your employment with the Company may be terminated by the Company by giving 30 (Thirty Days)
written notice (“Notice Period”) or equivalent to the number of month’s salary (as per the mentioned
notice period) in lieu of such notice period. Provided that your employment may be terminated without
notice or payment in lieu of notice in the event of a breach by you of any of the terms of this Letter of
Appointment.
b) You shall have a right to terminate the employment with the Company or this Letter of Appointment by
giving a notice as mentioned in the letter of appointment or paying same salary ( of the notice period) in
lieu of such written notice.
c) For the purpose of this clause:
(i) Date of Resignation would be taken as the date in the email/formal resignation letter that is submitted
by you.
(ii) In case you intend to terminate your employment in the Company as stated to in this Clause 20©, the
Company will have the sole option / right to waive the Notice Period (as mentioned in this letter of
appointment) without paying you for the notice period and ensure your exit from the Company
forthwith. Waiver of Notice Period will be sole discretion of the Company.
(iii) Depending on the pendency / exigencies of work entrusted to you, the Company has the discretion to
ask you to extend stay compulsorily for such periods from the Date of the Resignation as would be
required for the Company to effectively replace the your service or the completion of the duties
entrusted to you to the sole satisfaction of the Company in such a case, the Employer can refuse the
Employee’s offer of the salary in lieu of the notice period or any request of the accumulated leaves to
the adjusted against the Notice Period.

d) Notwithstanding the above and without prejudice to any other right that the Company may have against
you under this Letter of Appointment or under any other applicable law for the time being in force or
otherwise, in the event that you leave, on your own accord, the Company within a period of 6 (Six)
months from the date of commencement of employment, you shall reimburse to the Company the
following.
(i) All amounts paid to you by the Company other than your salary, including without limitation, any
signing bonus, recruitment fee, relocation expenses, etc., and
(ii) All expenses incurred by the Company in connection with the Probation rendered to you, whether in
India or abroad.
(iii) All expenses incurred by the Company in connection with the employment and termination including
attorney’s fees.
(iv) All fees, charges and expenses incurred on account of your Probation or continuing education incurred
during the period of employment with the Company.
(v) A monetary compensation in terms of the damages suffered by the Company by virtue of loss of
services to the Company.
18. PROPRIETARY INFORMATION AND ASSIGNMENT OF INVENTIONS AGREEMENT
You shall have access to various proprietary and confidential information during the course of
employment with the Company Accordingly, you shall be required to execute a Propriety information and
Assignment of Inventions Agreement in a format to be provided by the Company and it shall form part &
parcel of these terms and conditions.
19. RETURNING COMPANY PROPERTY
At the time of cessation of employment with the Company, You will deliver to the Company (and will not
keep in your possession. Recreate or deliver to anyone else) any and all devices, records, data, notes,
reports, proposal, lists, correspondence , specifications, drawings, blueprints, sketches, materials,
equipment, other documents or property, or reproductions of any aforementioned items developed by
the Employee pursuant to employment with the Company or otherwise belonging to the Company, its
successors or assigns. In the event of you committing default of the above clause, you shall be liable to
indemnify the Company for any losses or charges or loss of profits or business that may arise on account
of the breach of the above clause.
20. PROFESSIONAL ETHICS
You are required to deal with the Company’s money, material and documents with utmost honesty and
professional ethics. If you are found guilty, at any point of time, of moral turpitude or dishonesty in
dealing with the Company’s money, material or documents or of theft or misappropriation regardless of
the value involved, your services would be terminated with immediate effect, notwithstanding other
Terms & Condition as mentioned in this Letter of Appointment.

21. GOVERNMENT LAWS
The employment terms and conditions shall be governed construed in accordance with the laws of India.
The invalidity or non-enforceability of any part shall not affect the rest.
22. NON-SOLICITATION AND COMPETITION
You shall not during the Employment Period with the Company and for a period of 12 (Twelve) thereafter
immediately following the termination of employment with the Company for any reason, whether with or
without cause, you shall not either:
(i) Directly or indirectly solicit, induce, recruit or encourage any of the Company’s employees to leave
their employment to leave their employment, or join any other employment or undertake any other
activity that is similar nature so as to give any sort of competition to the business of the Company.
(ii) Take away any clients or customers of the Company or attempt to solicit, induce, recruit, encourage or
take away clients or customers of the Company, either for himself/herself or any other person or
entity.
(iii) Join the services or be associated with any former employee or attempt solicit, induce, undertaking or
seeks to undertake any activity competing with the business of the Company.
(iv) A breach under this clause shall be construed to be competing with the business of the Company.
23. SEVERABILITY
If one or more of the provisions in this Letter of Appointment is declared void by law, then the remaining
provisions of this Letter of Appointment in so far as they are enforceable or capable of being enforceable
shall continue in full force and effect being applicable to the Letter of Appointment.
24. WAIVER
No failure or delay by either of the parties to this Letter of Appointment in exercising of any right, power
or privilege given under this Letter of Appointment will operate as a waiver thereof. The waiver by either
of the parties of a breach of any provision of this Letter of Appointment will not operate or be construed
as a waiver of any other or subsequent breach.
25. LIQUIDATION
If the Company shall entirely discontinue operation, liquidate and or dissolve no compensation shall be
due to you.

26. SAFE CUSTODY OF COMPANY MATERIAL
You will be responsible for the safe keeping and good condition and other of all the Companies property
entrusted to/his care and charge. The Company reserves the right to deduct the cost of such articles from
your dues, or take such action as may be deemed proper in the event of failure or damage to account for
such property.
27. SURVIVAL
The provisions of this letter of appointment shall survive the termination of employment and the
assignment of this letter of appointment by the Company to any successor in interest or assignee.
This letter is made in duplicate and a copy is to be submitted to the Talent function as a token of your
understanding and acceptance of the terms and conditions of your employment.
