PHILIPPINE CORPORATION LAW
AND SECURITIES REGULATIONS

Professor Timoteo B. Aquino

COURSE DESCRIPTION: A study of laws and jurisprudence governing


private corporations. These include the Revised Corporation Code and other
special laws as well decisions of the Supreme Court, rules and opinions
issued by the Securities and Exchange Commission (SEC). There will be an
examination and analyses of the applicable law and commercial principles
underlying the various business organizations, their components and the
different stakeholders. The students will understand not only the structure of
corporations and the regulatory framework that applies thereto but also how a
corporation can be an effective tool in business and its role in the society. The
course likewise includes a study of the basic rules on securities regulations
particularly the pertinent provisions of the Securities Regulations Code and its
implementing rules.

2. INCORPORATION AND ORGANIZATION

A study of the concept and nature of the Articles of Incorporation of a


corporation and corporate contract law. This study aims to understand to
how corporations acquire their personality under the Corporation Code and
the requirements for incorporation; to understand the effect of defects in the
incorporation process and the different kinds of defectively formed
corporations; to understand the different conditions precedent that must be
