Legal Memo for Winding Up Petition

The petitioner filed a case to wind up the respondent company for failing to repay a debt. When serving the statutory notice, the petitioner provided two acknowledgements from the managing director, one signed and stamped and one signed only. By mistake, the petitioner filed only the signed version. The court objected and asked for the signed and stamped version. The petitioner now asks the court to allow filing of the proper signed and stamped acknowledgement and direct the office to accept it in the interest of justice.

1.It is humbly submitted that the above C.P has been filed for winding up of the
Respondent Company since it had fallen due and failed to repay to the petitioner. At
the time of the serving the statutory Notice under the Companies Act, the Petitioner has
served the same to the Managing Director of the Respondent Company BY HAND.

2.It is respectfully submitted that the Respondent has given the acknowledgments two
in number on the statutory notice, one with stamp and another without stamp of the
Company.

3. It is submitted that due to over look, the Petitioner has filed the one which is signed

but unstamped acknowledgment against the statutory Notice. This Hon’ble Court has

raised an objection regarding the same and permitted the Petitioner to file signed and

stamped acknowledgment against the statutory Notice. (The Original

acknowledgement which is signed along with stamp is herewith filed as part and parcel

of this Memo)

Hence, it is prayed that this Hon’ble Court may be pleased to permit the Petitioner to

file the “signed and stamped acknowledgment against the statutory Notice” and direct

the office to take it on file the in the interest of justice.
