FLEXIBLE MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (MOU) is entered on the 09 May 2019(Date of Signing of
Agreement) at Industrial Training Institute, Gwalior, Madhya Pradesh
Between
Symbiosis Pvt.ITI Dabra Gwalior represented through its Director Mr. Hanumat Kishor
Shukla in after to be called THE FIRST PARTY (which expression shall, unless excluded by or
repugnant to the context, be deemed, to include its successors, administrators, executor and assigns)
And
Dee Control & Electric (P) Ltd., located at – Plot No. C-8, UPSIDC, Industrial Area, UdyogKunj,
Site No. 5, Panki, Kanpur and Registration No. is U29306UP2001PTC026160. Mr. Pradeep Pandey
(Educative Director). Here in after to be called as THE SECOND PARTY (which expression shall,
unless excluded by or repugnant to the context, be deemed, to include its successors, administrators,
executors and assigns)
And whereas it is one of the aim of ‘THE FIRST PARTY’ that the skills imparted by them must keep
pace with the technological demand of the industry and the expanding universe of knowledge to
produce world class work force
And whereas ‘THE SECOND PARTY’ being a responsible corporate citizen has always contributed to
society, Inter alia, by educating and sharing the people / technicians / technical/Trainees its learning in
the technical area during its journey to become world class.
And whereas ‘THE FIRST PARTY’ has expressed its interested to ‘THE SECOND PARTY in getting
assistance in achieving its goal of imparting latest and up to date technical knowledge in the field of
Electrician Trade.
First party and second party have decided to sign this memorandum of understanding with the
following objectives:

Objective
This subject agreement may be considered a Memorandum of Understanding towards promoting long-
term sustainable THE FIRST PARTY AND THE SECOND PARTY relationship for skill Training,
providing industry based inputs to trainees enrolled via THE FIRST PARTY, allowing medium level
regional/state level industries like THE SECOND PARTY to participate in skill training through short
term inputs such as guest lectures, on-the-job trainings, mentoring support etc.
1. Role of First Party
1.1. It shall conduct the due diligence of THE SECOND PARTY as per the list of documents in
Annexure 1 in addition to the physical infrastructure verification of the company
1.2. It shall provide the existing infrastructural support such as class rooms, computer laboratory,
internet etc.
1.3. It will help in student mobilization to help SECOND PARTY select trainees for guest faculty
interaction, Industry Visits, Placement drives and any other activities
1.4. Trainees’ factory visit commutation charges to be borne by ITI
1.5. Ensuring student safety & dress-code during industrial visits
1.6. It shall review the success of the memorandum of understanding on a continuous basis. The
report shall have data on number of students trained, passed, drop outs, placements and
Industry feedbacks
2. Role of Second party (Please tick the check boxes for which you can provide support,
here by default Training Section need to be ticked)
2.1. Eligibility Criteria: THE SECOND PARTY should meet the minimum eligibility criteria
which is as follows/Any industry registered under the Companies Act/ Average turnover of last
three years should be at least INR 5 crore in case of individual firms /Average turnover of last
three years should be at least INR 25 crore in case of a consortium/ At least 20 employees in
case of an individual firm/ At least 50 employees in case of a consortium /Organization/all
partner organization should have a good reputation and not be involved in any illegal activity
2.2. Workshop up-gradation
2.2.1. It shall provide required machines, tools and equipment to the FIRST PARTY for setting
up facilities for ____________________________________(Please mention the
job roles/trades in case the respective ITI has no such machines, tools and equipment
available) trades

2.2.2. Please mention what tools and equipment’s will be provided and by what time, please
provide the list as per Annexure 1
3. Validity
3.1. This MOU is valid for 60 months from the date of signing
4. Intellectual Property Rights
4.1. Neither THE FIRST PARTY nor THE SECOND PARTY will divulge any technical information
official data, training records, database, training literature and course module or any other
relevant information pertaining to one or either of the parties to any third parties without the
prior written consent of the other party.
5. Confidentiality
5.1. Neither THE FIRST PARTY nor THE SECOND PARTY shall disclose during the term of this
agreement or thereafter to any third party any information, course materials or make public the
documents, materials, equipment’s, diagrams. etc. of joint course provided by THE FIRST
PARTY AND THE SECOND PARTY
6. Termination
6.1. Both parties will have the right to terminate this MOU with one month notice in writing with a
reason.
7. Miscellaneous
7.1. For effective implementation and monitoring MOU, both FIRST PARTY and SECOND PARTY
shall designate a nodal officer for successful implementation. The nodal officer from FIRST
PARTY and SECOND PARTY shall be proactive, have good Hindi and English written and oral
skills, shall have email access and shall be able to get things executed.
7.2. This MOU is one of its kind hence learning from this shall be taken by both the nodal officers to
evolve best practices by the end of MOU.
7.3. All disputes, if any, both the parties FIRST PARTY and SECOND PARTY shall first seek
settlement of the disputes and only then shall it be referred to the Director, Directorate of Skill
Development, Government of Madhya. The decision of director will be binding for both parties.
7.4. Both parties will have the right to terminate this MOU with one month notice with signing a
reason

7.5. The MOU guidelines can change as per the changes in the Flexi MOU policy, please refer to
Flexi MOU Policy for further details
7.6. As per the due diligence documents, kindly please go through the list of documents that need to
be attached with MOU s per Annexure 2
IN WITNESS THERE OF THE PARTIES HAVE DULY EXECUTED THESE PRESENTS THE
DAY MONTH AND YEAR HERE UNTO WRITTEN ABOVE.
