Undertaking
I, Akber Ali S/o Muhammad Ali, having NIC # 42301-0761060-5, employee of ARY Communication
and serving in the Legal Department of ARY Communications, do hereby declare and state: -
1) That I am willfully, due to some personal reasons and without any coercion, force or threat
resigning from ARY Communications and resigning from all other officer, employee, member, ,
and/or agent positions that I holds with the ARY Communications in the manner and time
determined by the ARY Communications ; provided however, that as of the Effective Date, I
does hereby resign all positions that I Hold with the ARY Communications and or its subsidiaries
and affiliates.
2) That I agree that my employment status with the ARY Communications shall be “Terminated”
from the Effective date through 16th May 2019. (hereinafter referred as the Effective Date)
3) That I, agree, that for a period of five (5) years from Effective Date, to cooperate and make
myself reasonably available to ARY Communications, its affiliates and their respective attorneys
to discuss, consult and assist on matters in which I was involved prior to the Execution Date. I,
agrees to cooperate with the ARY Communications and to execute all such necessary and
appropriate documents to orderly transfer Employee’s responsibilities.
4) That I have received all the Base Salary, allowance due in my favor till the Effective date, and as
such I have no claim with ARY Communication of any kind, whatsoever.
5) That I, hereby further covenants and agrees that, for a period of two (2) years following the
Effective Date, I shall not, directly or indirectly, solicit or attempt to solicit for employment any
management level employee of ARY Communications or its affiliates on behalf of any business
that is in competition in any manner whatsoever with the principal business activity of ARY
Communications or its affiliates, in or about any market in which ARY Communications or its
affiliates currently operate or have announced, publicly or otherwise, a plan to have operations.
6) That I, shall immediately return to ARY Communications all original and copies of files,
memoranda, records, legal documents, notes and all other documents or physical items which are
the property of ARY Communications (collectively “ARY Communications Property”) and I
shall not retain any copies of the ARY Communications Property
7) That, I, shall keep confidential and not disclose to anyone any information concerning ARY
Communications (including but not limited to any non-public information relating to the
Company’s officers, directors or employees), legal information, methods, trade secrets and other
“know how”, and any other information not of a public nature, regardless of how such
information came to my knowledge, custody or control.
8) That I agrees to act in a manner that is not adverse, detrimental or contrary to the best interests of
ARY Communications and its affiliates, and specifically I, will not knowingly directly or
indirectly make or publish any oral, written or recorded statement or comment that is negative,
disparaging, defamatory or critical of Company, its affiliates, or their respective officers, directors
or employees.
