Terms and Conditions, Agreement for Distributors / Dealers (PD)
1. Security Deposit: A deposit should be given as a scurity deposit drawn on Noble
Agro Biotech Pvt Ltd (NABPL) (hereinafter called “the company”) payable at
Bangalore, for appointment as Distributor / Dealer (PD) (herein after called as “the
distributors”). This deposit is refundable without interest. If deposit is not given, the
transactions will be on Cash & Carry basis.
2. Security cheque: We will present the cheque whenever necessary if debit balance
exceeds the limit defined by NABPL on our oral instruction. I/We do not have
objection in honoring the cheque as per our books of account.
3. Distribution Territory: Area of operation will be fixed based on the capacity of the
Distributors and potentiality of the area after mutual consultations. And limited
credits.
4. Credit: Available for 60 days for distributors based on their deposit amount and
their credit rating. Cash rebate and trade discounts will be announced from time to
time by the company based on the production/ import costs and availability of
products.
5. Payments: Interest of 2% will be levied per month for payments received from
Distributors after 60 days of receipt of stocks from the company. All payments shall
be made by DD/ RTGS/ At-Par cheques drawn on nationalized banks. Cash payments
through Company’s sales staff is not encouraged except under specific instruction
from the company. Cheque Return charges Rs. 2000/- per cheque.
6. Supplies: Stocks will be supplied as per the prevailing price list at the time of
dispatch. However, the company reserves the right to cancel the order or to reduce
the quantity in case of non-availability of stocks or due to overdue outstanding from
the distributors.
7. Agreement validity: The agreement is valid till satisfactory dealings, and payment
are made in due time frame. The agreement is subject to the jurisdiction of
Bangalore.
8. Sales Returns: When Sales returns are received at our godown within 90 days from
the date of receipt of stocks by the distributor, a credit note will be issued after
adjusting 5% service charges along with the expenses incurred in revalidation of
stocks i.e. 5% of value for revalidation along with courier charges, packing charges
etc.
