19 argum entrem ains in dispute because D efendantdid not benefitor gain
20 financially in any directorm eaningfulmannerfrom thesaleofthesubject
21 securities(Facts,A-11),asheneverreceived any portionoftheproceedsof
22 salesofthesubjectsecuritiesbased on hisshareofownership ofNevW est
