MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Agreement made and executed by and between:
PURE THIRST Purified Drinking Water, represented herein by Ma. Lynette A. Ricaforte, of
legal age, Filifino, married with office address at Ilano Compound, Brgy. H-2 Congressional
Road, Dasmarinas , Cavite, Philippines, herein referred to as BAILOR;
-And-
Mr. ANTONIO CARLOS S. OCAMPO, (General Manager) of legal age, Filipino,
single/married, and a resident of __________________________________, Philippines,
hereinafter referred to as the BAILEE, representing Eagleridge Golf and Country Club, with
Telephone no. (046) 419-2841
WITNESSETH
That the BAILOR is the absolute owner of (13) units UREKA Hot and Cold Water
Dispenser with Serial Numbers listed in the attachment and with prevailing market value of P
4,500.00
That the BAILOR does hereby loans the abovementioned Hot and Cold Water Dispenser
unto the BAILEE subject to the following terms and conditions:
TERMS AND CONDITIONS
1. Quota Requirement – is required to procure not less than sixty five (65) containers (5
gallon capacity ) of Pure Thirst Purified Drinking Water from the BAILOR every week at
the agreed price of PHP 35.00/container with initial delivery to commence on Nov. 2,
2017.
2. That the BAILEE shall be responsible for all repairs, minor or major in case the
abovementioned Water Dispenser is damaged or malfunctioned.
3. That the BAILEE is hereby prohibited to allow the use of Water Dispenser by any other
person except employees of this company, and also not to use water from other sources
unless permitted;
4. The electric bills of the said Water Dispenser shall be for all account of the BAILEE.
5. That should the BAILEE decide the stop using purified water from the BAILOR,
BAILLE is obliged to return the said Water Dispenser in its functional/useable condition;
6. That in case the BAILEE decides to discontinue / using procuring water from the
BAILOR, the BAILEE shall notify the BAILOR one (1) month prior to the termination
of the supply and to return the water dispenser in pursuance to the immediately preceding
paragraph;
7. That should the above mentioned Water Dispenser be totally lost of destroyed while still
in the possession of the BAILEE, whether caused by fortuitous event of not, the BAILEE
is bound to pay the BAILOR the depreciated value of the water dispenser as provide by
law;

8. This contract shall take effect for a minimum of two (2) years.
9. All check payments will be in the name of PURE Thirst Purified Drinking Water.
10. The parties hereto hereby agree to abide in good faith with all provisions and conditions
of this agreement.
In WITNESS WHEREOF, the parties have hereunto their hands on this ____th day of
November, 2019 at the municipality of Dasmarińas, Cavite Philippines.
