AGREEMENT

This Agreement is made and entered into this January 1, 2022 in Makati City, Philippines by and
between:

SWITCH RED CORPORATION, a corporation duly existing and registered under the laws of the
Republic of the Philippines with principal office at 17th Floor, Empire Building, 2104 Ayala Ave.,
Makati City, represented by its HR Director, Ricardo Roces herein referred to as “EMPLOYER;”

-and-

GEORGE V. SOLOMON, Filipino, of legal age with residence address at 25 N. Guevarra St.,
Mandaluyong City, herein referred to as “EMPLOYEE.”

WITNESSETH THAT:

WHEREAS, EMPLOYER, who is in the business of providing IT solutions, intends to hire the Employee
as an IT Manager from January 1, 2022 to May 31, 2022, on the terms and conditions set out below;

WHEREAS, EMPLOYEE having 20 years of IT experience and is an expert in the field of IT, the
Employee recognizes that the Corporation is in the business of providing IT solutions, and in light of this,
the Employee desires to be hired by the Employer on the terms and conditions set out herein;

NOW THEREFORE, for and in consideration of the foregoing premises, the Parties hereby agree as
follows:

1. TERMS AND CONDITIONS.

The parties must adhere to the terms and conditions that have been agreed upon.
1.1. Duties and Responsibilities

The EMPLOYEE is responsible for performing the following duties and obligations
professionally, in good faith, and to the best of his or her abilities, talents, and
experience:

1.1.1. Analyze and diagnose IT infrastructure


1.1.2. Provide strategic advice
1.1.3. Design IT systems and networks
1.1.4. Provide support the implementation of new IT systems
1.1.5. Provide assistance with technical issues
1.1.6. Review existing IT systems
1.1.7. Produce a report

1.2. Term of Contract

The employment will start on January 1, 2022, and will be subject to a six-month
probationary term that will finish on May 31, 2022. The EMPLOYEE will be placed on
probation for a period of time. The individual will be employed permanently if the
probationary evaluation findings are satisfactory.

1.3. Compensation

After all required employment deductions, the EMPLOYEE will be paid a gross
monthly pay of P100,000 on the 15th and 30th of each month.
1.4. Permanency

The EMPLOYEE will be employed on a permanent basis upon the successful


completion of the probationary period.
1.5. Evaluation

An annual evaluation of the employees' performance will be conducted based on


performance criteria required by top management's performance targets and the
corresponding key result areas and performance objectives. The employee must be
informed of the criteria at the start of the review period, as well as the expected
outcomes.
Failure to attain a suitable level of performance for two (2) consecutive evaluation
periods will be a ground for termination.
1.6. Leaves

The EMPLOYEE shall be entitled to the following leaves:

1.6.1. Vacation Leave: Five (5) working days each year of service
1.6.2. Sick Leave: Five (5) working days each year of service

1.7. Other Terms

1.7.1. The EMPLOYEE recognizes the right and prerogative of the EMPLOYER to,
without limitation, assign and reassign him/her to perform such other tasks within
the organization.
1.7.2. MEDICAL/DRUG TESTS, at the expense of the EMPLOYER, are consented to
and agreed to by the EMPLOYEE upon request by the EMPLOYER. This will be
done to determine the EMPLOYEE'S physical and mental fitness to execute the job
functions.
1.7.3. Employee is prohibited from working for competing companies or competing with
the employer if they leave, including misusing confidential information within one
year of separation from the Company except with written permission.
1.7.4. Employee may not recruit other co-workers to join them when they leave the
company. Furthermore, the employee is not allowed to ask the company’s
clients or customers to follow them to their new company.

2. CONFIDENTIAL INFORMATION.
The Parties shall not divulge any information to third parties that it may have access to and any
such information will only be used for the purposes related to this Agreement.
3. DATA PRIVACY
Personal Data disclosed by either party shall not be shared with third parties and/or sold and/or
used for purpose other than for this agreement without the written permission/consent of the
disclosing party. Both parties shall exercise at least the same degree of care it uses with its own
personal data and confidential information on personal data. Personal data disclosed or shared
that is no longer needed by either party shall be securely disposed of or erased. Each party shall
notify the other party if it has knowledge of any data breach or security incident involving
personal data shared or disclosed by the other party.

4. PARTIAL INVALIDITY.
The invalidity or unenforceability of any particular provision of this agreement shall not affect
the other provisions hereto and the agreement shall be construed in all respects as though such
invalid or unenforceable provisions were omitted.
5. This Agreement shall be governed by, construed, enforced and performed in accordance with the
laws of the Philippines.

IN WITNESS WHEREOF, the Parties hereby affix their signatures on this 1st day of January, 2022 in
Makati, Philippines.
