CONTRACT ENFORCING A PRIOR
DEED OF ABSOLUTE SALE
 KNOW ALL MEN BY THESE PRESENTS:
This CONTRACT, made and executed this ___________________ by and between: 
        We, JESSIE NESTOR E. MAGDIRILA, of legal age, Filipino citizen, single and with residence and
postal address at Brgy. 1, Laoag City, Ilocos Norte, hereinafter referred to as the "SELLER"; 
                                                 -AND- 
        SPOUSES RODOLF AGUILLON GABAT and JONABELLA MARTINEZ GABAT, both legal age,
Filipino citizens, and residing at Lagasca St., Brgy. 10, Laoag City, Ilocos Norte, Philippines,
hereinafter referred to as the "BUYERS" 
                                             WITNESSETH: 
        WHEREAS, the SELLER is the owner of 1/2 portion of a parcel of land located at Brgy 4, Laoag
City, Ilocos Norte, Philippines, covered by TCT No. T-21282; 
        WHEREAS, the BUYERS purchased a one hundred fifty square meter portion of the said lot;
        NOW THEREFORE,  for and in consideration of the full purchase price in the amount of ONE
MILLION FIVE HUNDRED PESOS (Php1,500,000.00) Philippine Currency, and of the covenants herein
after set forth, both PARTIES agree on the following terms and conditions: 
 
          1. The total purchase price of the One Hundred Fifty (150) square-meter portion of the lot as
              appearing in the Deed of Absolute Sale previously executed shall be One Million Five
              Hundred Pesos (PHP1,500,000);
         2. One million three hundred fifty thousand pesos of the total purchase price is hereby
            acknowledged by the seller as previously received from the buyer while the remaining
            balance of one hundred fifty thousand pesos shall constitute a loan by the buyer which
            shall be paid to the seller without any stipulation on interest;
         3. In the event of rescission of the contract by reason that it is adjudged by a competent
             court that a third person owns the property and not the seller, the purchase price shall be
             returned by the seller to the buyer and the loan previously constituted in the amount of
             one hundred fifty thousand pesos shall be annulled;
         4. Pending litigation, the buyers shall have the authority to sell the property to interested
            third persons without the consent of the seller-co-owner;
         5. Pending litigation, the buyers shall have the authority to enter into a partition agreement
            in court without the consent of the seller-co-owner as long as it does not prejudice his
            rights.
