LEGAL PLEADINGS
Issue I
WHETHER THERE HAS BEEN BREACH OF
The Counsel on behalf of the respondent most humbly submits before the Hon’ble Court that
there has been no breach of contract by the respondent.
The breach is on part of La Magnifique
in support of the argument, following contentions are made:
1. That, the respondent sent an order confirmation by email with the Terms &
Conditions which clearly stated as follows:
a. In case of any confusion regarding the order at any stage, the customer
(petitioner) should contact the customer care and
b.
c. The goods once delivered cannot be returned or exchanged.
2. That, as per Sec. 33 & Sec. 36(1) of SOGA, the entire order was delivered to La
Magnifique on 20th December 2018 by Greenwood.
The respondent humbly submits that with reference to Paras 6, 7, 10, 11, 14, 15 of the legal
pleadings it is clear that the respondent has fulfilled all the contractual obligations and is not
responsible for any breach as claimed by the petitioner.
Also, it is submitted that with reference with Paras. 8 to 16 of the legal pleadings, it is clear

WHETHER OR NOT THE CLAIM MADE BY
It is most humbly submitted by the Respondent before the Hon’ble Court that La Magnifique
Hotel making claims against Respondent for acts of Greenwood is not justifiable & that the
petitioner is liable to make payment to the respondent for the delivered goods.
The Counsel on behalf of the respondent most humbly submits before the Hon’ble Court :
1. That, the petitioner has accepted the goods as per Sec. 42 of SOGA, which defines
‘Acceptance’ by the
2. That, the above-mentioned para. 7 to para. 13, clearly reflect that the petitioner has
not approached this court with unclean hands and supressed material facts like:
a. Not informing the respondent about the damaged 300 coffee tables.
b. Non- payment of the delivered goods.
c. By threatening Greenwood, a stranger to a contract.
d. Not confirming with the respondent regarding the petitioner’s arrangement
e. Passing on the sole responsibility to the respondent
It is hence, most humbly submitted by the respondent that respondent has completed their
part of commitment by delivering the goods as per the contract terms & the claim for
damages made by the petitioner is not valid.

PRAYER
Wherefore in the light of issues raised, legal pleadings and authorities cited, the respondent
respectfully requests this Hon’ble Court to adjudge and be pleased to:
Hold that the present petition not maintainable, and dismiss the same thereof.
Hold that the petition should not be entertained for violation of Sec.
Hold that the breach of contract is on the side of the petitioner and not on the
respondent.
Hold that the petitioner is liable to make payment of Rs. 1,78,00,000/- along with the
interest component to the respondent for the delivered goods under Secs. 55 & 61 of
S.O.G.A.
Pass any other order as it deems fit in the interest of justice, equity and good
conscience.
