We refer to the subject works under the purchase order mentioned as above, we hereby agree and accept the final value
of work done as below stated.

Also we confirm that the above values are full and final settlement against the said purchase order and there shall not be
any claim from us and as well as our subcontractors and suppliers in any manner. We accept to release "Think and Learn
Pvt. Ltd." from all its obligations as per the Purchase order / Work Order.

We hereby accept that the final settlement gross value Amt /- after all applicable deductions, against being the full and
final settlement against the said Contract and all Change orders till date.

We hereby confirm we have no claim whatsoever except


a) the final bill certified value of Rs. Amt .00 prior to TDS Deduction
b) retention money CASH (0.03 of the Final Bill Value amounting to INRs.amt against the above said Contract
Number and Change Orders, that is due after completion of 12 Months from the date of handing as per Contact.

c) withheld money CASH (Lump sum amount INRs.0/-) against the wastages of cables supplied by client works, is due
after successful completion of Rectifications.
d) Retention money @ 3% is held including taxes which shall be paid with taxes upon successful completion of DLP.
Retention amount will be interest free.
The detailed Invoice tracker reconciled based on the above details is attached as supporting document

This is issued without any prejudice to any claims by M/s. Think and Learn Pvt. Ltd., on us during the Defects Liability
This Final Settlement and No claim Certificate is signed under no duress.
