QUESTION 1
Jenny appointed Rose, a realty agent, to buy a 3-bedrooms terrace at the price of
RM280,000 and the location must be near to his office at Bukit Tempoyak. Upon
receiving the instruction, Rose bought an apartment on behalf of Jenny at the price of
RM320,000 by paying RM1000 as booking fee. She also agreed with the developer to
pay 10% from the purchasing price as deposit within one week from the date of
purchase. Jenny after being informed by Rose about the contract, agreed with the price
but she only agree to pay 5% from the purchasing price as deposit.

With reference to Contracts Act 1950 and decided cases, advise Jenny on the
conditions for a valid ratification of agency.

QUESTION 2

Siti Nurfazura hired a boat from VV Boatworld Sdn. Bhd. for RM20,000.00 payable
immediately to view the National Day display at Putrajaya. Siti Nurfazura paid
RM8,000.00 upon booking and will pay the balance sum upon collecting the boat.

The display was cancelled due to heavy rain and storm. Siti Nurfazura claims for return
for the RM8,000.00 that she had paid to VV Boatworld Sdn. Bhd. on the ground that the
contract has been frustrated. VV Boatworld Sdn. Bhd. in return sued Siti Nurfazura for
the balance sum of RM12,000.00.

Explain the law relating to the frustration of contracts and advise Siti Nurfazura on the
above factual situation
QUESTION 3

Joseph the owner of Joe & Joe Sdn Bhd entered into negotiations to construct low-cost
houses and shophouses for his workers. Joseph wrote a letter to Suria Contractors Sdn
Bhd on 19 November 2022 accepting their proposal in respect of the project subject to
certain terms and conditions in the letter that were to be instituted in an agreement
between Suria Contractors and Joe & Joe Sdn Bhd. After receiving the said letter, Suria
Contractors Sdn Bhd proceeded to construct the low-cost houses, although no formal
agreement in writing had been executed. Subsequently, Joe & Joe Sdn Bhd instructed
Suria Contractors Sdn Bhd to cease all work and informed Suria Contractors their
intention to discontinue negotiations and that they will not be liable for any work already
completed by Suria Contractors Sdn Bhd. Suria Contractors Sdn Bhd initiated legal
proceedings against Joe & Joe Sdn Bhd for sums due to them for work completed. Joe
& Joe Sdn Bhd however, contends that there is no contract between them.

Discuss the circumstances and conditions the courts will take into consideration when
deciding whether there is a binding contract between the disputing parties.

QUESTION 4

Clark placed an advertisement in the New Start Times to sell her yellow scarf for
RM2,000.00 on 13 December 2022. Jimm wrote a letter to her, offering to purchase the
said red scarf for RM1,000.00 on 14 December 2010. On 21 December 2010, Clark
replied by return of post stating that she would accept RM1,300.00. Having received no
reply from Jimm, Clark wrote again on 31 December 2010 saying she would accept his
offer at RM1,000.00.

Advise Clark.

QUESTION 5

Aaron sold her four (4) penthouses in New York to Bill. At the time when she signed the
contract, she was surrounded by Bill and his gang. Fearing for her life, Aaron signed the
contract. Three weeks later, Aaron was no longer in fear of - and would like to set aside
the contract as it was entered into not of her own free will.
