Clauses of Contract
Party A and Party B agree to execute the following binding clauses and contents after a friendly negotiation between both
parties. All members mentioned in this contract are paid members of JCtrans.
1.0 Contents of Services
‘The following services are provided by Party B.
1.1 Party A has the right to obtain global freight agency resources with full contact details, and find reliable partners for
business cooperation on www,ctrans.net provided by Party B.
1.2 Party A has the right to post and receive online inquiry, quote, transaction, etc. on hijctrans.com provided by Party B .
1.3 Party A enjoys exclusive corporation website to post and display company news, company information, business
advantages, contact details, ete.
1.4 Party A enjoys priority of ranking in the front of Company Directory
1.5 Party A is covered for Financial Protection Service.
1.6 Party A.as afresh member enjoys global promotion service.
1.7 Party A enjoys email marketing service.
1.8 Party A enjoys one-on-one service from Party B's customer manager.
1.9 Party A has the right to display Party B's Membership Logo and Certificate.
1.10 Party A can attend annual Global Freight Forwarders Conference and Global Freight Forwarder Cloud Conference
launched by Party B with lowest registration fee and enjoy unique membership identification and priorities.
1.11 Party A can make cross-border payments to members for settlements by the safe platform of Transaction Clearance
Service (T.C.S.) provided by Party B.
2.0 Register for JCtrans Projects Membership
2.1 Application for Enrollment
‘As Party B’s required, Party A shall fill in the Application Form together with a full set of documents and certificates. Party B
‘may request Party A to present live video to prove the relevant information, such as office site, facilities and certified
documents if needed
2.2. Projects Membership Fee

3.0 Rights and Obligations of Party A
3.1 Party A enjoys the rights to all outlined services stated in Clause 1.0,

3.2.4 Party A shall keep Party B informed promptly in writing including but not limited to any change to the company’ s

3.3 Party A should take full responsibil

3.4 If Party A provides false or unlawful contents, the contents are in violation of this Contract or other contents that may
result in Party B being given extra responsibilities, Party B has the right to delete the contents, suspend or terminate
‘membership of Party A and refuse to provide Party A with services both now and in the future without returning membership
fee.

3.5 Party A shall ensure strict compliance with international conventions, laws and regulations, trading rules, customary
Practices and goverment restrictions while cooperating with all JCtrans members for international freight forwarding
business. Party A should maintain good faith while cooperating with all JCtrans members and make prompt settlement of fees
and charges. Party A must notify Party B in time if Party A encounters a sudden financial crisis and cannot settle the expenses
to the cooperative member or other members, or fulfill the liability of cargo transportation properly in accordance with the
‘cooperation agreement, Party A shall notify both Party B and Party A’ s cooperator within 3 working days since Party A has
known or should have known the aforesaid emergency.
3.5.1 Party A ensures that a written principal-agent contract/agreement should be signed with all JCtrans members for
business cooperation and will execute the terms strictly. Freight forwarding business will be developing on the basis of
written instructions and contract/agreement.
3.5.2 Party A assures Party B to carry out business cooperation with other members in accordance with the principal-agent
contractagreement and follow the written instruction for each shipment, such as confirmed freight, Incoterms, the method of
freight payment, settlement of freight and charges, mode of transport, each one’s liability of transport, confirmed Bill of
LLading, cargo arrangement for transportation and completion of cargo delivery.
3.5.3 Patty A shall promise to establish friendly and sincere cooperation with Party B's all alliance members, support each
‘other in business, and ensure that no fraudulent action can be done to prejudice the interests of other members.
3.5.4 If party B is needed to mediate or resolve business dispute or complaint between Party A and its cooperative member,
Party A shall fully cooperate with Party B’s investigation and evidence collection, and will obey party B's final verdict on this,
case,
3.6 Party A shall promise to use the services provided by Party B for the purposes of real commercial communication or to

not be refunded by Party B.
3.9 A number of branches or subsidiaries belong tothe same group, or the head office's branches and subs
become JCtrans members in case of areas, they willbe jointly and severally liable to each other forthe eases of debts

4.0 Rights and Obligations of Party B
4.1 Party B has the right to conduct background checks on Party A.
42 Upon receipt ofthe fall amount of Projects membership fee paid by Party A, Party B will begin the Projects membership
services according to the Contract.
43 Party B reserves the right to optimize and upgrade the services proved on the website, but this should not have any
negative impact on the form or contents of the services purchased by Party A.
44 Party B does not have the obligation, nor should take any responsibility forthe authenticity and accuracy of information
Posted or provided by members or the thd parties. If Party A incurs any losses, Party A should ask compensation from the
member who has posted the information on line
45 Party B must guarantee that the network system operates normally. If the service is suspended asa result of force majeure
Party B will not assume responsibility, but should use every endeavor to return the network service to normal as soon as
possible within a reasonable period of time
4.6 IfPary A has been proved to be Debtor ora Liable Paty, Party B shall have the right to take any measures to pursue
liabilities of Party A, including but not limited to suspend Party A's membership service and notify all members, and also
Party B will ag “suspended” for Party A on Party B’s website to war other members (As Party A is being marked, the

members.
4.753 Party A supplies the false information and documents as the evidence, lke fake principal-agent transport contrat,
tamper with emails, bills and falsification of evidence
474 Paty A refuses or fails to provide the evidence required by Party B within the effective time, hamper the successful
development of bad debts or disputes.
4.7.5 Party A violates the contents ofthis Contract or does not obey, execute or agree to the Arbitration result
4.7. Panty A makes a claim to Party B as a Creditor, ifParty A has received compensation in advance from Party B, and then,
Party also gets the Debtor’ payment, Party A shall refund the full amount of compensation to Party B if Party A refuses to

5.0 The Statement of Financial Protection Service
5.1 General Definition
‘The Financial Protection Service is Party B’s guarantee that each enrolled Projects member can be covered business
‘cooperation risks with corresponding USD amount, aiming to provide compensation for money lost due to non-payment of
confirmed fees and charges incurred in entrusting transportation of projects cargo and related special cargo between the
enrolled Projects members within the clauses and conditions of this Contract
51.1 The limited amount of guarantee for cooperation between Projects members: Each member is covered for claims of up
to USD 50,000 Financial Protection Service per year.
5.1.2 The limited amount of guarantee for cooperation with the members of cross membership aliance:Projects member is
covered for claims of up to USD 25,000 Financial Protection Service per year.
5.2 Limitation of Compensation
$2.1 The Financial Protection Service is restricted to the business cooperation between Party A and Projects member. The
date of Ocean Bill of Lading / Air Waybill issued by Cartier or its Agent shall be recognized asthe staring day of Party A's
cooperation with Projects member, and on the day, both Parties should be listed on member directory of Party B’s website
and both of them are within the valid period of membership Contract as well. Party A's name and its cooperative member's
name must be printed in the columns of Shipper and Consignee in the Bll of Lading.
5.2.2,As a-claimant, Party A must disclose to Party B all other networks which Part A or any of its enrolled branches or
Subsidiaries have joined. Ifthe claimant refuses to provide the information, or if Party B finds the information provided by
Party A i incorrect or incomplete, the claim will be rejected
52.3 The export cargo claim shall be filed by Party A within 90-150 days from the issue date of Ocean Bill of Lading / Air
‘Waybll. The import cargo claim shall be filed by Party A within 90-150 days from the date of completion of delivery, te
from the date of completion of Delivery Order (D/O) or from the date of delivery of goods to Consignee with Consignee’s
Sign and Receipt of goods according to Party A’s business liability. Party B will not accept the claim ifthe date is less than 90
days or more than 150 days.
52.4 The claimed amount cannot be changed or added by Party A after Party B has accepted the claim against Party A’s
cooperative member.
5.2.5 When Party A (Creditor) makes claim for bad debt from the Debtor, each case is filed against each Ocean Bill of
Lading/Air Waybill which is shipped on board of the same Vessel/Voyage No./same Flight No.
$2.6 Party B does not assist Party Ato obtain evidence for claim from other Parties. If Party A cannot provide required
documents or proofs, the claim will be rejected by Party B.
5.2.7 Party B does not assist Party A to handle any complaints that do not cover the clauses and conditions of the Contract.
5.3 Claim Procedure
‘A prerequisite forthe claim is that Party A and its cooperative member have completed the full obligation of shipment or
delivery of goods.
The specific process of complaint is as follows:
5.3.1 Claims must be submitted in writing via email to gepservice@jctrans.net,
‘The evidence provided by Party A must include but not limited to the followings: Agency Contract/Agreement, Claim Form,
Confirmed Booking Order, Confirmed Freight Offer, Master B/L, House B/L, Airway Bill, Seaway Bil, Mate's Receipt,
Customs Declaration Form, Commercial Invoice, Packing List, Delivery Order (D/O), Confirmed Land Freight, Receipt of
Cargo Delivery, Debit Note, SOA, Emails, communications and the related documents conceming about the case, ete.
5:32 When Party B has received the entire claimed documents provided by Party A, it will ake 3-5 working days for Paty B
{oreview the evidence, and Party B will inform Party A whether or not the claim covers the condition of Financial Protection
Service, Party B has the right to question the contents of Party A's claim and deduct unreasonable fees, charges, et.
$3.3 When Party B accepts the claim, Party B will communicate and mediate with Party A and the Debtor on the contents of
claim within 60 days of coordinated period,
534 When this claim is considered to be complicated by Party B, Party A will be required to provide additional evidence,
and Party B will inform Party A to need additional 30 days for processing the claim. If Party B makes verdict, its final and

binding on Party A and the Debtor. Party A and the Debtor shall abide by the arbitration result unconditionally
5.3.5 In necessity, Party B will submit the case to an external Arbitration team for trial (confirmed by Creditor and Debtor).
Arbitration shall be conducted in accordance with the commission's arbitration rules in effect atthe time of applying for
‘arbitration, Both parties shall sign a supplementary agreement and agree thatthe arbitration award is final and binding upon
the parties, Party B may disclose some relevant information of arbitration eases within members’ circle.
5.3.6 If Party A’s claim is to be confirmed as true, clear and sufficient, and the claimed amount is reasonable, Party B will
assist Party A to persuade the Debtor to pay Debit Note in the following 30 days.
53.7 Ifthe Debtor fails to pay Party A within 30 days, Party B has the right to terminate the Debtor's membership at any
time and issue official notification to all members to stop cooperation with the Debtor to avoid more risk, post the Debtor on

5.3.8 Party A (Creditor) shall give Party B a formal Payment Receipt/Invoice and sign Subrogation Form and authorize,
transfer all rights to Party B to claim for payment from the Debtor before Party B makes remittance to Party A for
compensation in advance.

5.3.9 Party B will initiate Financial Protection Service to pay Party A’s losses (Creditor) within the next 15 days upon receipt
ofa formal Payment ReceipUInvoice and Subrogation Form from Party A. The compensation shall be remitted to Party A at
the exchange rate of USD on the day of payment.
5.3.10 Party A(Creditor) should bear Bank charges and fees for compensation in advance from Party B by T/T remittance.
6.0 Exclusions
‘The following contents, transactions, losses, fees and charges are specifically excluded from coverage under Financial
Protection Service.
6.1 Payment for the cost of cargo or related cost of cargo, loss of cargo, shortage or damage of cargo, destruction of cargo,
container damage, or damage and losses caused by means of transport.
6.2 Losses resulting from the failure to obtain a proper endorsed original Bill of Lading.
6.3 The losses and charges occurred due to negligence, mistake, improper control of cooperation risk of Party A, in the
completion of freight forwarding business under the principal-agent transport contract.
6.4 Losses resulting from the cooperation between non-members or between Party A and its clients, agents who are not
ICtrans member; Any transactions with terminated JCtrans members whose membership Contracts are expired or terminated
prematurely or not renewed; Losses caused by the intervening acts ofthe third county, non-members of the third parties.
6.5 Losses resulting from delayed paymentinon-payment caused by any political event, economic difficulty, bans, or
legislative measure.
6.6 Any loss resulting from any measure or decision of national, regional or local authorities/policies in any country that
result in confiscation or seizure of merchandise.
6.7 Losses resulting from force majeure including war, rebellion, hostilities, riot, strike, sanctions, martial law, chaos,
epidemic and natural disasters and losses resulting from non-atrival of goods to port of destination,
6.8 Losses resulting from the subsequent cooperation between Party A (Creditor) and the Debtor during the claim is
processing by Party B and the case isnot settled, and losses resulting from the cooperation with members during the period
of Party A’s membership suspension.
6.9 The Debtor has paid Party A (Creditor) during the processing of the claim: ‘The underwriter has executed compensation
for Party A (Creditor) during the processing of the claim; Claims have been paid by other similar organizations; In case of a
mutual agreement is concluded by Party A and the Debtor or by Party B's mediation, the claim is closed without
compensation.
6.10 Including but not limited to losses resulting from container demurrage fee, container detention fee, warehousing charges,
storage charges, lashing fee, loading & discharge fee, stuffing & unstuffing fee, tally fee, fines, penalties, duties, taxes,
customs examination, inspection fee, insurance fee, waiting time charge, profit share, commission, deposit/bond, slot charge,
chartered carrier fee, dead freight, labor fee, fumigation charge, cancellation fee/withdraw fee, delay fee, SOC fee, telex
release fee, courier fee, surcharge, security inspection/screen fee, money collected or paid for another, bank transfer charges
not confirmed in advance, or other unconventional operations involved/related fee.

6.11 Any losses resulting fiom general cargo, reefer cargo, dangerous cargo, couriers! packages delivery, livestock transport,
valuable cargo, rail transport, TANK and liquid tank transport, military goods transport, chartering & leasing of aircrat
6.12 Coverage for any losses wherein either or both members either knowingly or should have known that the movement,
contents or other aspects of the transaction are illegal, or participate inthe transport of prohibited goods, smuggling, illegal
Declaration, cargo seized/auctioned by Customs or otherwise circumscribed by either the importing or exporting countries
laws.
6.13 Beonomic losses due to the fact that the cooperation contractiagreement reached between Party A and the cooperative
‘members is illegal or the seal or signature on the documents is false and or invalid.
6.14 Legal cost, lawyer fees or consulted services fees, court execution fees.

6.16 Any loss wherein Party A (Creditor) has extended credit to the Debtor longer than 90 days. Losses caused by failure to

Claimant Company is Origin Agent. Losses for shipments invoiced more than 30 days for settlement to the Debtor after
arrival of the shipment when Claimant Company is Destination Agent.
6.18 Transactions between branches/subsidiaries of the same company, between companies shi
wherein a company involved is a progeny of the other company.
6.19 Loans and interest, late payment fees and interest, overdue fine, liquidated damages and penalties; Losses resulting from
currency exchange fluctuations.

not match the company name and information of Party A's application form submitted to Party B for Projects membership
and the company name and information displayed on the Party B’s website www.etrans.net
6.23 Losses caused by Hacker attacks, telecom fraud, internet fraud and customer fraud.
6.24 Losses incurred by Party A’ s incorrect provision of payee account or payer account or email box; Losses resulting from
Party A’ s payment error or email sending error: Any third party has tampered with Party A's information and other similar
circumstances resulting in losses.
7.0 Force Majeure
Party B's failure to perform any clause or condition of this Contract as a result of conditions beyond its control such as, but
‘not limited to, war, strikes, fires, floods, governmental restrictions, pandemic, sanctions, natural disasters shall not be deemed
‘a breach of this Contract. If such an event occurs, both parties don’t need to assume responsibility.
8.0 Expiration of Contract
8.1 When the period of all the services purchased by party A has ended, the Contract is terminated,

9.0 Laws and Jurisdiction
9.1 This Contract and any disputes arising from or in connection with this Contract shall be governed by, constructed and
explained in accordance with the laws of the People’s Republic of China,
9.2 The arguments and disputes arising from this Contract between Party A and Party B shall be settled amicably in principle
through negotiation. If the arguments and the disputes cannot be resolved, the plaintiff shall take a legal action before a court
with jurisdiction in Dalian, China, The trial of the cases shall be govemed by Chinese Law.
