INTRODUCTION

Established in 1988, Zydus Wellness Ltd. is a leading consumer wellness company with an Indian
heritage and a global footprint. We believe, a healthy lifestyle is not just about being active but
also about feeling good from within. So, we approach health and wellness in a holistic manner.
We nourish, nurture and energize millions of lives by offering a variety of innovative, industry-
leading products. With over 30 years of operational excellence, we have seven leading brands in
our portfolio, namely Complan, Sugar Free, Glucon-D, Everyuth, Nycil, Nutralite. Headquartered
in Ahmedabad and Mumbai, we have 4 manufacturing facilities across 3 locations
- Aligarh, Ahmedabad and Sikkim. We also have 8 co-packing facilities in India, Oman and
Newzealand. Our core pillars -manufacturing integrity, supply chain efficiency, and product
innovation, form the basis of the legacy we’ve built over the last few decades. Today the Zydus
Wellness business spans over 20 countries and 3 continents.

HISTORY
Carnation Nutra-Analogue Foods was founded in 1994 as a producer of dairy substitutes. Over
the next decade, its margarine product Nutralite became the largest selling margarine brand in
India.
In 2006, Cadila Healthcare acquired a 14.96% stake in the company. Cadila's stake in the
company increased to over 70% in 2008, after the merger of Cadila's consumer goods business,
which included sugar substitute brand Sugar Free and EverYuth range of skincare products, into
Carnation. The merged entity was then named as Zydus Wellness Limited in January 2009.
In 2009, the company began manufacturing men's grooming and skincare products. In 2011,
Zydus Wellness launched its milk additive brand Actilife.
In 2017, Zydus Wellness developed stevia products as part of its sugar substitute business. In
2018, it launched its second sugar substitute brand called Sugarlite.
In January 2019, Zydus Wellness acquired a part of Heinz India's business for ₹4,595 crore
(US$580 million), which included the health drink brand Complan, glucose-based energy drink
additive Glucon D, talcum powder brand Nycil and Sampriti Ghee. It also took over Heinz India's
manufacturing facilities in Aligarh and Sitarganj.
In 2020, Zydus Wellness began making hand sanitisers and chocolate products. With the
convergence of healthcare, nutrition, wellness and cosmeceuticals, only those companies with the
ability to innovate, expand market reach and offer niche products in this domain will have a clear
advantage in the marketplace. Zydus Wellness Ltd., has strong credentials and is best placed to

Dr Sharvil Patel is the Managing Director of Zydus Lifesciences Ltd., one of the leading global
healthcare providers and the 4th largest life sciences company in India. He also officiates as the
Chairman on the Board of Zydus Wellness Ltd., which is creating several novel experiences for
the health conscious consumers and has a basket of niche products and iconic brands such as
Sugar Free, Everyuth and Nutralite, Complan, Glucon D, and Nycil. With a specialisation in
Chemical and Pharmaceutical Sciences from the University of Sunderland, U.K., and a doctorate
also from the same university for his research work in Breast Cancer at Johns Hopkins, Bayview
Medical Centre, USA, Dr Sharvil combines both pharma and research expertise.

His leadership inspires people to look at an expansive canvas of thoughts and ideas while
focusing on a well-defined implementation roadmap. He was conferred the ‘40 Under 40 Most
Influential Asians’ Award by the Asian Business & Social Forum 2018 (ABSF) and the Young
Business Leader ’40 under Forty’ Award by ET Now in 2017.

Recently he has been conferred the ET Pharmaleader of the year at the ET Healthword India
Pharma Awards. He has also been conferred the ‘The Economic Times Most Promising Business
Leaders of Asia 2020-21’ Award,’ GenNext Entrepreneur of the Forbes India Leadership Awards
(FILA) 2020-21’ by the Forbes India and ‘Young Turks Award’ by India Pharma Awards 2021.

Zydus is the only Indian lifesciences company to launch its own patented NCE – Lipaglyn, the
novel drug to be approved for the treatment of diabetic dyslipidemia. The group is also the first in
the world to announce a treatment for non-cirrhotic NASH, an unmet healthcare condition
globally. Supporting the nation in the fight against the novel Coronavirus, Zydus is at the

Product range of the company: -

It is a pioneer in the low calorie sweetener segment and a trendsetter in skincare


products. It acquired Nutralite, India’s largest selling margarine in FY 06–07 and
revamped it. Nutralite grew by over 25% y–o–y post acquisition. Sugar Free–
India’s largest selling sugar substitute with market share of over 82%. Everyuth
range of skincare products are also category leaders. Recently launched Menz–a
skincare range for men.

Zydus Wellness is a leading FMCG company in India. It has a market share of around
4.8% in the health food drink (HFD) category. The company has been losing market share
in recent years due to competition from other brands. However, it is still the second-
largest player in the HFD category after Horlicks.

In the personal care category, Zydus Wellness has a market share of around 10%. The
company is the market leader in the hair oil category with a market share of around 30%.
It is also the second-largest player in the soap category with a market share of around
15%.

Overall, Zydus Wellness is a strong player in the FMCG sector in India. It has a leading
position in some key categories and is well-positioned to grow in the future.

CSR INITIATIVES: -
The company has the following thrust areas in its CSR Policy:

● Environment protection During the financial year ending March 31, 2020, the
expenditure of the company on various CSR activities was Rs 2.21 crore.

The CSR initiatives of Zydus Wellness are spearheaded by Zydus Foundation and the company
also follows the same in line with the holding company. Zydus Shrishti encourages employee
volunteerism and is completely an in-house effort. The team carries out initiatives in the field of
education, health, and research. The focus through these programs is to develop communities
which we are a part of inclusive education and creating knowledge platforms for the research
community.

In line with its policy, the company has contributed towards education, healthcare, and social
outreach programs and a majority of its CSR spending in the previous financial year has been in
these areas. To serve the needs of the patients and bring world-class medical education to the
rural interiors of Gujarat, the company has set up the Zydus Medical College and Hospital at
Dahod.

The hospital provides free treatment including OPD, indoor, all investigations, surgeries,
anaesthesia, oral medicines, injectables, and food for patients. The Zydus Medical College is the
first medical college to be set up in Dahod and the first batch of the MBBS programme
commenced in August 2018.

MERGERS AND ACQUISITIONS: -
Zydus Wellness have integrated the business of Heinz, including a portfolio of popular brands
Complan, Glucon-D and Nycil, which it has acquired in a Rs 4,595-crore acquisition.

Besides, Zydus Wellness is also expanding into new markets with relevant offerings and building
scale in international business by focusing on SAARC (South Asian Association for Regional
Cooperation), MEA (Middle-East and Africa) and SEA (South-East Asia) regions.

"The company targets 8-10 per cent revenue contribution from international markets over the next
five years," it said.

In FY22, Zydus expanded its international footprints by entering new geographies such as Hong
Kong, Lebanon, Zimbabwe, Muscat, Ethiopia and Australia. "The international business
continued to grow at high double digits. The company aims to build scale in international business
by focusing on key regions like SAARC, MEA and SEA; entering new geographies and
introducing suitable innovations and extensions to address the needs of international markets," the
annual report said.

It has also incorporated its wholly-owned subsidiary Zydus Wellness (BD) Pvt Limited in
Bangladesh, aimed at serving local consumers at a competitive price.

In FY22, it had registered a growth of 7.6 per cent on its total revenue from operations, which
stood at Rs 2,009.10 crore.

"This is despite the fact that there has been a surge in inflation and a rise in geopolitical issues
which have impacted consumer sentiments; softening consumer demand," the company said.

Its power brand Glucon -D has maintained its number one position with a market share of 58.5
per cent in the Glucose Powder category.

While Sugar-Free continues to hold its leadership position in sugar with a market share of 95.7
per cent.

Similarly, Nycil has maintained its number one position with a market share of 33.7 per cent in
the prickly heat powder category, the annual report said.

Its e-commerce business had a growth more than 1.5 times in FY22
