LETTER OF INTENT

LETTER OF INTENT ONLY


This document is an expression of the intent of the Parties only, and nothing herein shall
create any legally binding obligations upon either of them. No obligations on either Party shall
arise unless and until mutually satisfactory Project Agreements concerning the deal have
been entered into between the Parties.
The failure of the Parties to reach an agreement on the matters under negotiation shall neither
expose either Party to any liability to the other Party nor give to any Party the right to claim
damages whatsoever.

REQUESTED PRODUCTS
We, The RUSSIAN-ROMANIA CHAMBER OF ECONOMICAL AND CULTURAL COOPERATION ,
hereby state that we are in a posesion of a LOI TO PURCHASE received by our organisation ,
from a client are ready, willing and able to enter into a contract for a term of one year to purchase
of Coal at below mentioned analysis, mentioned quantity and the outlined terms:

Trial Shipment: Total Quantity: Quantity per Month: Contract Term:


100,000MTon (as per Buyer's preference)
1,200 ,000 Mton (with Buyer's option of +/-10%) 100,000Mt/12 months
Destination Port: Mongala port Bangladesh
Packing: Bulk
Terms of Delivery: CIF Mongala port Bangladesh (in accordance with lncoterms 2010)
(Partial shipment might be possible as per the mutual agreement of Parties)

Payment: Stand by Letter of Credit
First Shipment: February 2022

Procedures:

1. Buyer submits LOI.


2. Seller issues FCO (to valid for 15 days)
3. Buyer returns signed and stamped FCO.
4. Seller issues Contract with full banking.
5. Buyer and Seller sign and exchange contracts.
6. Seller provides Proof of Product.
7. Buyer's Bank opens Standby Letter of Credit.
8. Shipment commences as per contract.
