Dear Mr Sanket,
With reference to your application and subsequent interview’s we are pleased to appoint you as
Quality Specialist, with Quality And Service Delivery department of Quality And Service Delivery division, at
Facile Info-Serv Private Limited with effect from 01-Feb-22 on the term enumerated below:
1. CONSOLIDATED SALARY
1.1. You will be entitled to a CTC (cost to company) of INR "288000" /- ("Rupees Two Lacs Eighty Eight
Thousand Only") per annum. The CTC details are attached in Annexure A.
1.2. The CTC includes benefits including but not limited to Provident Fund, Mediclaim, Gratuity, Allowances and
other benefits as per the prevailing Company Policies and statutory provisions in force from time.
1.3. To time and subject to appropriate taxes at source.
2. PROBATION PERIOD
2.1. You shall be on Probation for a period of Six (06) months from the date of joining. Based on the Company’s
review / assessment you will be confirmed. In case your performance is not found satisfactory during such
period of training / probation, your probation may be extended upto three (03) months with an interim
review.
2.2. Your services will not be deemed to be automatically confirmed at the end of the probation period in the
absence of a formal communication of the decision from the management of the Company. In case your
performance is not found satisfactory during such period of probation including the extended period, if any,
your services may stand terminated, by the company at its sole discretion.

3.2. However, during this period of probation, you can be transferred to any other department/division of the
company, anywhere in India or overseas.
3.3. You may be assigned such other duties as may be required by the Company at the discretion of the
Company, in any branch or office of the company and/or its subsidiaries, client or associate companies.
7. APPOINTMENT

7.1. You should produce appropriate identification proof and documents providing your educational
qualifications (i.e., original mark sheets & certificates along with photocopies thereof) as and when required
by the Company.
7.2. You need to be medically fit for the aforesaid appointment by the Company for which you will have to
undergo a medical check-up as decided by the Company.
7.3. You are required to maintain the highest order of discipline and confidentiality with respect to the work
assigned to you by the company and/or its subsidiaries, client or associate companies and in case of any
breach of discipline/trust or confidentiality, your services may be terminated by the company with
immediate effect.
7.4. This appointment has been made based on the information furnished in your application for employment
and subsequent interviews. If, at any time in future, it comes to light that any of the information is incorrect
or any relevant information has been withheld, then your employment is liable to be terminated without
notice or compensation in lieu thereof.
7.5. You represent that you are free to enter into this Agreement/s and that the aforesaid appointment does not
violate the terms of any agreement between you and third party/ies person/s, executed earlier. Further you
have represented and assured to the Company that you have left the service of your previous employer as
per the applicable rules and the terms of your appointment letter / contract duly after only completing all
the handling over formalities and you have not committed any contractual breach/es of the same.
In the event you are assigned on a crucial / important project / task, either in India or abroad, the Company
may require you to execute an additional agreement / undertaking in its favour for successful execution,
implementation and completion of the said project / task whereby you may, inter alia, have to commit
services continuity for a particular period as necessitated by the nature of the project / task assigned by the
Company. It is agreed that in the event of any breaches of the term of said agreement/s undertaking/s
and / or terms of appointment, you shall be required to pay to the Company, a mutually agreed
predetermined sum of money as and by way of liquidated damages to the Company for the losses
suffered / incurred by the Company due to the said breach/es.
9. CONFIDENTIALITY
9.1. You will not any time without the consent of the company either during the term and / or end of your
employment or thereafter, disclose, divulge or make public, any of the software programs, documents,
codes, scientific investigation or result thereof, problems, practices, arts, records, suggestions, discussions,
accounts, maps product / manufacturing secrets and / or any other information of the Company which
ought not to be disclosed, divulged or made by the public whether the same may be confirmed or become

known to you in the course of your service or otherwise nor will you remove from the premises of the
Company any notes, papers or other document/s or material including pen drives / CDS / files / hard disk /
data / material / files, etc., relating to such knowledge or information.
9.2. You will maintain total confidentiality of all processes, know-how, security arrangements, administrative
and all matters of confidential nature, all Company related information issues, materials and
software/documents to which you may access directly or indirectly. You will not make copy of software(s)
& document(s) with respect to the products developed / manufactured / used in and for the Company or
any of the clients of the Company database for your personal gain and / or for anybody else’s benefit or for
any illegal purpose.
9.3. Any information that you receive from time to time regarding the Company’s business and practices,
concepts, working methods, client portfolios, strategies etc., whether the same may be confided or become
known to you in the course of your service or otherwise should be treated as being of the utmost
confidential character and you shall not divulge any such information to any third party / person.
9.4. You shall not accept any kind of gratification in cash or kind from any person/s, firm/s, institution/s or
organization/s having dealings with the Company and if you are offered any such gratification, you shall
immediately report the same to the Company.
9.5. You shall always keep the details of your salary and employment benefits in complete confidence and shall
not disclose such details to any other person within the Company/client/vendor.
9.6. You shall use the company name, logos, trademarks or other identifiers strictly in the manner permitted by
the Company’s policies or for the purposes of provision of services delegated to you to the extent required.
9.7. You shall at all times, whether during or after the termination of your employment, act with utmost fidelity
and shall not disclose or divulge any such confidential information to external parties or make use of such
information for your own benefit and/or for the benefit of any external party, either during the term of your
employment or thereafter.
9.8. This clause applies during the employment and continues for 24 months years after expiry or termination of
employment. Failure to adherence to this clause will invite legal action by the Company.
10. NON-DISCLOSURE

10.1. It is specifically and particularly drawn to your attention and it is accepted by you unequivocally that your
services may involve working on assignments for clients who are governed by Data Protection Acts and
other confidentiality covenant/s or where confidentiality is of utmost importance. You understand the
seriousness of and consequences of disclosure of any information like client names, project details etc.,
intentionally or other fore mandatory to abide by the Company. Hence, you may be required to execute
details Non-Disclosure Agreement/s as well as the property of the Company.
10.2. Further, during accomplishment of your work and employment at the Company and ‘also thereafter’, you
agree and undertake to be bound by the stipulation as regards Non-Disclosure and are required to sign the
Non-Disclosure Agreement in acceptance.
10.3. Any breach of the stipulations contained in such Non-Disclosure Agreement executed by you shall entitle
the Company to forthwith terminate your services and initiate necessary legal action against you, including
claim of pre - determined liquidated damages.
10.4. You shall not communicate or attempt to communicate to the public, media bodies, journals, academic
institutions, etc. or cause to disclose at any time, any information or documents, official or otherwise
relating to the Company, except with the prior written approval of the Company. At any time, if it is found
that there is any breach of this condition on your part, your services are liable to be terminated with
immediate effect at the sole discretion of the Company.
11.1. During your employment with the Company, you shall not enter into or engage in or be an officer,
employee, director, partner, agent or consultant of or have any material direct or indirect investment or
other interest in any business, person/s, firm/s, corporation/s or other entity involved in any other business
competitive with the business of the Company or similar to the business of the Company (other than a
passive investment interest in a publicly traded company).
11.2. This clause applies during the employment and continues for 12 (twelve) months after expiry or termination
of employment. Failure to adherence to this clause will invite legal action by the Company.
11.3. You agree that for a period of 24 (twenty four) months after your separation from the Company you will not
endeavour to solicit or entice away any person who is an active employee of the Company or who was in its
employment up to 06 months preceding your severance.

12.1. The Company may terminate your services with immediate effect in the event, you remain absent from
your services for more than three (03) consecutive working days without any written intimation to your
immediate Supervisor or the HR department of the Company.
12.2. Your employment may be terminated forthwith by the company without prior notice if you commit any
act/s, some of which are listed below. Any such termination shall be without prejudice to any other rights of
the company. If the company becomes entitled to terminate your employment, it shall be (without
prejudice to its right subsequently to terminate the employment on the same or any other ground) to
suspend you without pay and exclude you from any premises of the Company for a reasonable period. Your
Services may be terminated if you commit:
12.2.1. If at any time during the course of your employment, it is found that you have made a
false or an incomplete declaration with regard to your
qualification/experience/previous salary and other detail, your appointment will be
treated void with immediate effect and without any payment in lieu of notice period;
12.2.2. If found any breach of your confidentiality obligations, breach of faith or trust towards
the Company;
12.2.3. Repetition or persistence of any material breach;
12.2.4. Commits / is charged or convicted of any offence of disrepute to the Company;
12.2.5. Misuse Internet Access provided in the office for downloading unnecessary or
prohibited things like games/songs/pictures and other unofficial matters;
12.2.6. Use any software disc on any computer of the Company that has not been authorised
for use by the Company;
12.2.7. Is in infringement of the Company’s intellectual property rights;
12.2.8. Remove from the premises of the company assets, including any product in the
course of development, tools without prior permission of the company in writing;
12.2.9. Any act/s of indecency or you are held guilty of / any complaint is received of sexual
harassment or any misbehave with other colleagues;
12.2.10. Any act/s within and /or beyond the premises of the Company that may bring any
disrepute or malign the reputation / image of the Company;
12.2.11. If guilty of any other misconduct or if in the opinion of the management, you are
found to be guilty of breach of any of the above clauses, other rules and regulations,
insubordination, gross negligence of duty, dishonesty, embezzlement or placing
personal consideration above the company’s interest in any business dealing or
involvement in any unlawful acts under any statute and / or suppress any information
from the company or give false information to the company, the management can
relieve you from the service forthwith without any notice or payment of salary;

12.2.12. Upon termination of your employment / dismissal, you will have to return all
documents, papers, files, hard disk or other storage devices, soft copies and other
data or in any form of reproduction of such data etc., relating to the affairs of the
Company or any other material which may have been in your possession and
complete the necessary handing over formalities.
13. DEDUCTION
13.1. During your employment or in the event of any termination, the Company is entitled to deduct such
amount from your CTC, which is due from you to the Company, which may include but is not limited to:
13.1.1. Any debt or advance for the time being owed by you to the Company;
13.1.2. Any deduction related to unauthorized leave or leaves availed in excess of
entitlement as at the date of termination of employment; and
13.1.3. Any deduction with respect to expenses incurred by the Company or the cost of
repairing damage to the Company’s property caused by you (and of recovering the
same).
14. DISCIPLINE
14.1. You will be expected to devote your full time & attention for the benefit of the Company and you will not
associate yourself, in any way, with any other Company, group or individual for any type of business for
profit during the tenure of your appointment with us.
14.2. You will be expected to conduct yourself at all times in a manner becoming of your and the status of the
Company.
14.3. You will be required to adhere to office rules and / or similar instruction of force from time to time, to entire
satisfaction of your superiors. Your service under the Company shall be governed by the service Rules,
Standing Orders and other regulations as well as various schemes and policies of the Company in force, as
amended and / or altered from time to time by the management of the Company.
14.4. You will not misbehave and act in such manner, which may create nuisance to colleagues, visitors and
customers.
14.5. You will not commit any act/s or indulge in activities, during or after working hours, which would be
detrimental to the interest and reputation of the Company / its officials and / or its employees and / or its
clients, etc., and would not associate with the Company and/or concerns and/or commit any act/s, which
would cause loss to the Company and/or jeopardize the interests of the Company in any manner
whatsoever.

14.6. Your any act, which constitutes misconduct, even if committed out of establishment, is subjected to
disciplinary action.
14.8. You should not talk for long time on office / on site(s) phones or cell for personal work even if there is an
incoming personal call it should be tackled in short time.
14.9. You will be bound by rules and regulation regarding general conduct and discipline which may be framed
time to time by the Company. Any amendment to this HR policy will be communicated through email.
15.1. If you conceive any new or advanced method of improving designs / processes / formulae / systems, etc. in
relation to the business / operations of the Company, such developments will be fully communicated to the
company and will be and remain the sole right/propend of the Company. You will be required to maintain
utmost secrecy in respect of Project documents commercial offer design documents Project cost &
Estimation, Technology, Software packages license, Company’s policy, Company’s patterns & Trademark
and Company’s Human assets profile. Also, the usage of personal USB Drives and CD ROMs are strictly
prohibited within the organization.
15.2. Any invention(s) discoveries made by you and your assistance during the employment shall belong to and
shall be absolute property of the Company and the Company shall have the sole and exclusive right to
obtain the patent and / or copyrights for the same. You hereby perpetually assign all right, title and interest
as regards the above-mentioned intellectual property rights to the Company. You will not have any claim/s
on such work/s.
15.3. In case of “economic slowdown”, “pandemics”, “epidemics” or “outbreaks of any disease” any “force
majeure events” or “events which are outside of the parties” control (Force Majeure Events) and such
Force Majeure having an adverse business impact on the business of the Company, the Company, at its
discretion may terminate the said agreement and your employment with reasonably short notice period.
16. COMPETITION
16.1. During your employment with the Company and for a period of 24 (twenty-four) months after the
termination of your employment with the company, you will not directly or indirectly be associated with,
manage or advise a Company, individual or firm that is in the same business as the Company, unless with
written approval of the Company, in writing.

16.2. For a period of 24 (twenty-four) months after termination of your employment with the Company you
agree not to hire the services of or solicit on behalf of others, any individual employed with the Company or
existing customers of the Company, either on a permanent or temporary basis.
17.1. If any declaration given or information furnished by you, to the company proves to be false, or if you are
found to have wilfully suppressed any material information, in such cases you will be liable to removal from
services without any notice.
17.2. You assure that there are no dues pending in respect of your previous employment whatsoever and shall
indemnify the Company in respect of any breach of the same during all times.
18. RETIREMENT
18.1. You will automatically retire from the service of the Company on attaining the superannuating age of 58
years. You will be expected to provide acceptable evidence of your date of birth at the time of joining the
company.
19. GENERAL
19.1. You will receive the details of the Projects assigned, Roles, Responsibility and Duties from the department
assigned to you.
19.2. You shall be required to submit your address proof for residence and communication. Any changes thereof
shall be communicated by you to the Company from time to time to writing. All communication made in
writing on the address furnished by you will be binding on you and any communication send to you on the
said address would be deemed to be served upon you.
19.3. In all matters including those not specifically covered in this appointment will be governed by rules and
regulations as may be applicable to personnel of our category in the employment of Company and are in
force for the time being and as may be framed from time to time. The Company reserve the right to
change/amends the rules and regulations of the Company from time to time.
