第二条 质量要求、技术标准

按国家有关标准执行；没有国家标准的按行业有关标准执行；没有行业标准的按出卖人的企业标准执行。

according to the relevant industry standards. If there is no industry standard, the enterprise standard of the Seller
shall prevail.
第三条 合同履行地：出卖人住所地仓库。

出卖人代办运输，单价含中国境内运费。

The Seller shall transport the goods on behalf of the Seller, and the unit price shall include the freight in China.
第五条 付款方式

Article 5 Terms of Payment

买受人合同签订后支付出卖人 30%预付款，为美元 10,245.00，乙方应当在收到预付款后随即安排生产。

After the contract is signed, the Buyer shall pay the Seller 30% of the advance payment, which is the 10,245.00
in USD, and Party B shall arrange the production immediately after receiving the advance payment.
出卖人应在 60 天内完成生产。发货前 4 日/工作日，买受人应付清剩余的 70%尾款即美金 23,905.00。

The Seller shall complete the production within 60 days. The Buyer shall pay off the remaining 70% of the final
payment, namely the 23,905.00 in USD, 4 days/working days before delivery.
1、如果本合同项下的标的物是分批次交付，对已交付部分出卖人有权要求买受人支付对应货款。

Buyer to pay the corresponding payment for the delivered part.
2、买受人采用银行转账方式支付货款的，应将货款转入出卖人指定账户。买受人采用非银行转账方式支付货款的，在付款时应取

得出卖人开具的收款收据，否则视同未向出卖人支付货款。买受人在未取得出卖人收款收据的前提下，支付现金、票据等造成的损失

be borne by the Buyer.
第六条 产品发货

Article 6 Product Delivery

1、交货前付清全部货款的，出卖人收到全部货款后安排发货。

1. If the full payment is made before delivery, the Seller shall arrange the delivery after receiving the full
payment.
2、如在本合同约定的发货日前，买受人尚有在其他交易中产生的，到期应支付给出卖人的货款（以下简称为逾期货款）未付清的，

买受人应当在本合同约定的发货日前向出卖人付清全部逾期货款，否则出卖人有权顺延发货时间至买受人付清全部逾期货款且不承担

任何违约责任。

2. If the Buyer fails to pay off the due payment for goods (hereinafter referred to as "overdue payment for
goods") to the Seller in other transactions before the delivery date agreed in the Contract, the Buyer shall pay off
all the overdue payment for goods to the Seller before the delivery date agreed in the Contract. Otherwise, the
Seller shall have the right to postpone the delivery time until the Buyer pays off all the overdue payments without
assuming any liability for breach of contract.
第七条 产品交付

Article 7 Delivery of Products

买受人变更收货单位(人)、收货经办人以及货物到达地址的，应当在发货前书面通知出卖人。

第八条 产品验收

出卖人代办运输，货到买受人指定地点三日内按照出卖人“产品验收交接单”验收，验收完毕，双方在“产品验收交接单”上签

字或盖章。如有异议，须到货后三日内书面提出；若有异议但未书面提出，视为验收合格，出卖人按“产品验收交接单”向买受人履

行了交货义务。若到货后三日内,买受人不在“产品验收交接单”上签字或盖章，出卖人有权解除合同并处置货物，并有权向买受人追

偿损失。

fails to sign or stamp on the "Product Acceptance Handover Sheet" within three days after the arrival of the goods,
the Seller has the right to terminate the contract and dispose of the goods, and has the right to recover losses from
the Buyer.

第十条 质保条款

Article 10 Warranty Terms

1、质保定义：是指出卖人承诺在一定期限内，免费提供质保件,远程线上指导、不提供人员现场服务。人为损坏、意外损坏及不

可抗力损坏不在质保范围内。

1. Definition of quality assurance: It means that the seller promises to provide quality assurance parts free of
charge within a certain period of time, remote online guidance, and no on-site service. Man-made damage, accidental
damage and force majeure damage are not covered by the warranty.
2、质保期限：是指出卖人对所出卖的产品的零部件进行质保的期限，逾期出卖人不提供质保服务。质保期限自买受人收到产品之

3、延长质保期

3. Extend the warranty period

出卖人可为买受人提供延长质保期服务，需根据情况另行签订出卖人产品延长质量保证期补充条款。

The Seller may provide the Buyer with the service of extending the warranty period, and the supplementary terms
for extending the warranty period of the Seller's products shall be signed separately according to the circumstances.
4、未满足以下条件之一的，即视同买受人自行放弃质保服务；且由此造成的损失，由买受人承担。

service; And the losses caused thereby shall be borne by the Buyer.
① 产品操作人员必须经过出卖人专业培训，具有正确操作、使用、维护、保养本产品的能力。

② 按产品使用说明书、维护手册的使用要求正确操作、维护、保养本产品。

⑦ 按合同约定支付主机款和配件款。

⑧ 在发现故障时，买受人应立即采取措施并停止使用。

5、买受人按本质保条款享受质保服务，质保期内出卖人只承担质保范围内的部件在维修过程中产生的合理人员工时及材料费用；

质保期外出卖人将收取维修费、材料费等费用。双方对故障原因存在争议时，出卖人不应当以此拖延或拒绝售后服务；买受人亦不能

以此拒绝或拖延出卖人提供的售后服务，包括但不限于修理、更换等。否则，由此扩大的损失由相关责任方承担。

5. The Buyer shall enjoy the warranty service according to the warranty terms. During the warranty period, the
Seller shall only bear the reasonable labor hours and material costs incurred during the maintenance of the parts
within the warranty scope; The Seller will charge the maintenance fee, material fee and other fees outside the
warranty period. The Seller shall not delay or refuse the after-sales service in case of any dispute over the cause
of the failure; The Buyer shall not refuse or delay the after-sales service provided by the Seller, including but not
limited to repair, replacement, etc. Otherwise, the extended loss shall be borne by the relevant responsible party.
第十一条 包装标准、包装物的供应与回收

Article 11 Packaging standards, supply and recovery of packaging materials

整机为裸装，随机文件用资料袋包装，随机工具用工具箱包装，随机附件、备品、配件用通用物包装，包装物不回收。

The complete machine is packed in the nude, the accompanying documents are packed in the data bag, the
accompanying tools are packed in the toolbox, the accompanying accessories, spare parts and accessories are packed in
the general materials, and the packaging materials are not recycled.
第十二条 产品随机附件、备品、配件、工具、文件数量及供应办法

Article 12 Quantity and Supply Method of Attached Accessories, Spare Parts, Accessories, Tools and Documents of
Products
由出卖人按“产品验收交接单或者产品签收单”提供，随同主机发运“产品验收交接单或者产品签收单”作为本合同的附件。

It shall be provided by the Seller according to the "Product Acceptance Handover Form or Product Receipt Form",
and the "Product Acceptance Handover Form or Product Receipt Form" shall be delivered together with the main machine
as an annex to the Contract.
第十三条 违约责任

Article 13 Liability for Breach of Contract

1、出卖人迟延履行交货义务,需承担买受人已支付货款万分之五/日的违约金；买受人未按合同约定付款，逾期需承担欠款总额的万

分之五/日的违约金并且出卖人有权停止售后服务，并有权要求买受人停止产品使用，所造成的一切损失（包括但不限于出卖人的直接

损失、间接损失、追索债务产生的律师费、保全费、保全保险费、差旅费等）由买受人承担。

1. If the Seller delays the performance of the delivery obligation, it shall bear the liquidated damages of five
ten thousandths/day of the payment for goods paid by the Buyer; If the Buyer fails to make the payment as agreed in
the Contract, it shall bear the liquidated damages of five ten thousandths of the total amount of the arrears per
day, and the Seller shall have the right to stop the after-sales service and require the Buyer to stop using the
products. All losses (including but not limited to the Seller's direct loss, indirect loss, attorney fees,
preservation fees, preservation insurance fees, travel expenses, etc. arising from debt recovery) shall be borne by
the Buyer.
2、买受人未按本合同及附件约定履约，由买受人承担相应违约责任。如买受人选择非标配加装特殊配置、特殊涂装的产品，电动、

天然气底盘产品，其他非常规品种底盘及规格产品的，买受人应向出卖人支付该产品金额的 20%作为定金。因买受人原因取消购买的，

该定金出卖人不予以退还，作为买受人取消购买的违约金支付给出卖人，如该定金仍不能弥补出卖人损失的，买受人还应将损失另行

一次性支付给出卖人。

2. If the Buyer fails to perform the Contract and its annexes, the Buyer shall bear the corresponding liability
for breach of contract. If the Buyer chooses non-standard products with special configuration and special coating,
electric and natural gas chassis products, and other unconventional varieties of chassis and specifications, the
Buyer shall pay 20% of the product amount to the Seller as a deposit. If the Buyer cancels the purchase, the Seller
shall not return the deposit, and the deposit shall be paid to the Seller as the liquidated damages for the Buyer's
cancellation of the purchase. If the deposit still cannot make up for the loss of the Seller, the Buyer shall pay the
loss to the Seller in a lump sum.
3、买受人未按合同约定付款，经出卖人催告后 30 日内，买受人仍不履行付款义务的，出卖人可以收回产品。

3. If the buyer fails to pay as agreed in the contract and the buyer still fails to perform the payment
obligation within 30 days after being urged by the seller, the seller may take back the product.
第十四条 合同解除

Article 14 Termination of the Contract

买受人出现下列任何一种情况，出卖人有权解除合同：

The Seller has the right to terminate the Contract under any of the following circumstances:
1、若买受人未按本合同约定支付定金或预付款的，出卖人有权解除合同；

1. If the Buyer fails to pay the deposit or advance payment as agreed in the Contract, the Seller has the right
to terminate the Contract;
2、若货到买受人指定地点三日内买受人不在“产品验收交接单或者产品签收单”上签字或盖章，出卖人有权解除合同并处置货物，

给出卖人造成的损失由买受人承担；

2. If the Buyer fails to sign or stamp on the "Product Acceptance Handover Form or Product Receipt Form" within
three days after the goods arrive at the place designated by the Buyer, the Seller has the right to terminate the
contract and dispose of the goods, and the losses caused to the Seller shall be borne by the Buyer;
3、若买受人未按合同约定期限付款超过 60 日，出卖人有权解除合同；

4、若买受人未支付到期货款的金额达到全部货款五分之一的，出卖人有权解除合同，收回产品。买受人还应自发货之日起每台

（套）按人民币 1500 元/日向出卖人支付产品使用费，产品使用费出卖人有权从买受人已付货款中直接扣除。

contract and take back the products. The Buyer shall also pay the Seller a product use fee of RMB 1500 per day for
each set from the date of delivery, and the Seller has the right to deduct the product use fee directly from the
payment for goods paid by the Buyer.
第十五条 合同纠纷的解决方式

Article 15 Settlement of Contract Dispute

如因买卖合同发生纠纷，由双方协商解决，协商不成的，双方均应向则应将争议提交华南国际经济贸易仲裁委员会（深圳），依

据其仲裁规则进行仲裁。仲裁委员会的裁决为最终裁决，对双方均有约束力,双方当事人不得向法院或其它机关提出变更的要求。仲裁

费用由败诉方承担。。

In case of any dispute arising from the sales contract, both parties shall settle it through negotiation. If the
negotiation fails, both parties shall submit the dispute to the South China International Economic and Trade
Arbitration Commission (Shenzhen) for arbitration in accordance with its arbitration rules. The award of the
Arbitration Commission shall be final and binding upon both parties. The parties shall not request the court or other
authorities to change the award. Thee arbitration fee shall be borne by the losing party.
第十六条 产品质量检验、鉴定机构

Article 16 Product quality inspection and appraisal institution

双方就产品质量产生异议，协商不成时，应当申请国家质量技术监督局直接授权或国家认证认可监督管理委员会直接授权的、对

争议产品有质量检验、鉴定资质的产品质量检验、鉴定机构进行产品质量检验、鉴定。

If both parties have objections to the product quality and the negotiation fails, they shall apply for the
product quality inspection and appraisal by the product quality inspection and appraisal institution directly
authorized by the State Bureau of Quality and Technical Supervision or the Certification and Accreditation
Administration of the People's Republic of China, which has the qualification of quality inspection and appraisal for
the disputed products.
第十七条 特别约定

Article 17 Special Agreement

1、 本合同附件、补充协议和其他增加、变更、减少出卖人权利义务的文件必须加盖出卖人合同专用章后方具有法律效力，否则

出卖人不予认可；合同、附件、补充协议、文件所有条款文字、数字更改、涂划必须在更改、涂划处加盖出卖人合同专用章后方具有

法律效力，否则出卖人不予认可。

Appendices to the Contract, supplementary agreements and other documents that add, change or reduce the Seller's
rights and obligations must be stamped with the Seller's special seal for contract before they have legal effect,
otherwise the Seller will not recognize them; Any change in the words and figures of all clauses in the contract,
annexes, supplementary agreements and documents shall have legal effect only after the change and drawing are stamped
with the Seller's special seal for contract, otherwise the Seller will not recognize it.
2、 如未对配置作出特别说明，按出卖人出厂时的标准配置交货。

If no special instructions are made for the configuration, the goods shall be delivered according to the
standard configuration of the Seller when it leaves the factory.
3、 对底盘车、副发动机质保保养，按照底盘车、副发动机生产厂家规定到其服务站进行维修处理。

carried out at the service station according to the regulations of the chassis and auxiliary engine
manufacturer.
4、买受人所支付的货款必须汇入本合同约定的出卖人指定开户银行和帐号，否则出卖人不予认可，由此造成的一切损失由买受人

承担。

4. The payment for goods paid by the Buyer must be remitted to the bank and account designated by the Seller as
agreed in the Contract, otherwise the Seller will not recognize it, and all losses caused thereby shall be borne by
the Buyer.
5、双方共同约定本合同项下文件、发票、收据、权证及相关司法文书（包括但不限于开庭传票、诉讼材料、裁定书、判决书等）

的送达以买受人在本合同签字栏中提供的信息为准，因买受人提供或者确认的地址、联系方式不准确无法送达，或者地址、联系方式

变更未及时告知出卖人无法送达，或者买受人拒绝接收文件而导致退回的，相关文件应于向邮寄地址发出后的第二日视为已送达给买

受人。

5. Both parties agree that the delivery of documents, invoices, receipts, warrants and relevant judicial
documents (including but not limited to court summons, litigation materials, rulings, judgments, etc.) under the
Contract shall be subject to the information provided by the Buyer in the signature column of the Contract. Since the
address and contact information provided or confirmed by the Buyer are inaccurate, the delivery cannot be made. If
the change of address and contact information is not timely notified to the Seller, or the documents are returned due
to the Buyer's refusal to receive them, the relevant documents shall be deemed to have been delivered to the Buyer on
the second day after they are sent to the mailing address.
6、出卖人在出卖人处将车载信息系统安装调试完毕后，作为产品的一部分交付给买受人。买受人知悉并认可本合同项下的产品已

加装车载信息系统，并且同意出卖人通过车载信息系统对本合同项下的产品进行信息化管理。

6. The Seller shall deliver the vehicle information system to the Buyer as a part of the product after the
installation and commissioning of the vehicle information system at the Seller's place. The Buyer knows and
recognizes that the products under the Contract have been installed with the on-board information system, and agrees
that the Seller shall carry out information management on the products under the Contract through the on-board
information system.
7、买受人未按本合同约定付款的，出卖人有权随时对产品进行停机、锁机；出卖人对买受人采取上述措施给买受人以及第三人造

成损失的，出卖人不承担任何责任。

7. If the Buyer fails to make payment as agreed in the Contract, the Seller has the right to shut down and lock
the product at any time; The Seller shall not be liable for any loss caused to the Buyer and the third party due to
the above measures taken by the Buyer.
8、未经出卖人书面同意，买受人不得擅自拆卸、损坏车载信息系统；如有违反，由此造成的设备故障与产品损失概由买受人承担。

8. Without the written consent of the Seller, the Buyer shall not dismantle or damage the on-board information
system without authorization; In case of violation, the equipment failure and product loss caused thereby shall be
borne by the Buyer.
第十八条 本合同一式四份， 出卖人执三份，买受人执一份；具有同等法律效力，经各方当事人签章（自然人签字，法人或其它组织

盖章）后生效。 使用电子签约平台签约的，自双方加盖电子印章、电子签名之日起生效。
