Letter Of Appointment

With reference to your subsequent interview you had with us, we are pleased to appoint you as
(Designation). We are pleased to have you with us and look forward to your excellent career
progression and contribution in our Company.

Your appointment is effective from DOJ on the following terms and conditions:

1. You will be paid a gross salary of Rs (CTC) per annum.

2. You will be on probation for a period of six months. Your confirmation in the services at
the end of the probation period is subject to your satisfactory performance. The
management shall have right to terminate your services during or at the end of your
probation period without any notice if your performance is not satisfactory. The period
of probation can be extended at the discretion of the Management and you will
continue to be on probation till an order of confirmation has been issued in writing.

3. After completion of your probation and your confirmation of services therein, the
management shall have right to terminate your services by giving one month notice or
compensation in lieu thereof. Compensation in lieu of notice pay will not be applicable in
case of termination due to Misconduct. In the same way you shall also have right to
resign from the services by giving one month’s notice to the management or
compensation in lieu thereof.

4. Your salary rise or increment shall be subject to and be determined on the basis of
efficient & satisfactory job performance, conduct etc. and such salary rise or
increment shall not accrue as a matter of right.

5. You shall retire from the services of the Company on attaining the age of 58. At the time
of retiring from the service it shall not be necessary to give you any notice or salary in
lieu thereof.

6. Your services shall be liable to be transferred, without any additional remuneration, to


any other branch, office of the Company or to any other establishment under the same
management or associate or subsidiary companies situated anywhere in India or abroad
whether such branch, office, establishment and associate or subsidiary companies are at
present in existence or which may come into existence in future.
7. While in our employment, you shall not accept employment elsewhere either for
remuneration or otherwise, nor shall you directly or indirectly engage yourself in any
trade, business, consultancy or occupation. You shall devote your full time and energy in
discharging your duties efficiently and diligently.

8. After your employment with us, you shall not accept employment in competitor
companies or companies having similar business lines for a minimum period of 2 years.

9. You will be governed by the Rules & Regulations of the company which
are in force or which may be brought in to force from time to time.

10. You shall work as required by the Company and the hours of attendance and weekly off
shall be related to suit the duties entrusted to you from time to time.

11. You shall be required to tour and travel anywhere in India or outside India for the
purpose of company’s work or the work of the customer of the company, as the case
may be.

12. You will be governed by the Head Office at (Location) and the Head Office at
(Location) will have the ultimate control on all your activities. Your salary
will be deemed to have been paid at (Location) and for all purposes your
appointment will also be deemed to have been made at Mumbai. In case of
any claims, matters & dispute that may arise between you and the company
in connection with your employment or in connection with any other matters specified
in the letter of appointment, jurisdiction will be only at (Location). It is also agreed that
the Courts and Authorities situated in(Location) alone shall have jurisdiction to try and
entertain such claims, matters and dispute

13. You shall not at any time, either during the continuance of your employment or at any
time thereafter, use or utilise for yourself or divulge or disclose directly or indirectly to
any person, firm or body corporate, any details or information regarding the know-how,
drawing, knowledge, trade secret, financial matters, business activities, etc., of the
company which you may come across during the course of your employment
