THE FOLLOWING USER AGREEMENT DESCRIBES THE

TERMS AND CONDITIONS ON WHICH MERIDIAN LIMO, LLC.
OFFERS YOU BOOKING WITH THE MERIDIAN LIMO NETWORK.
Meridian Limo Terms of Service – February 28, 2023. THE FOLLOWING
USER AGREEMENT DESCRIBES THE TERMS AND CONDITIONS ON
WHICH MERIDIAN LIMO, LLC. OFFERS YOU BOOKING WITH THE
MERIDIAN LIMO NETWORK. These terms of service constitute a legally
binding agreement (the "Agreement") between you ("you" or "your") and
Meridian Limo LLC. Located at 8 The Green Suite #4631 Dover, DE 19901
("Meridian," "we," "us," or "our"), a Delaware corporation governing your use
of the Meridian Limo application, website, and network (collectively, the
"Meridian Limo Network"). Meridian Limo is a broker that sells ground
transportation reservations on behalf of independently owned and operated
transportation vendors. We offer FLAT, PER MILE, OR/AND HOURLY
RATES; Meridian Limo provides a marketplace where persons who seek
transportation service to specific destinations ("Passengers") can be matched
with professional vendors at those destinations ("Chauffeurs" or "Affiliates").
Chauffeurs and Passengers are collectively referred to herein as "Users," Each
User shall ask for or create a User account that enables such User to access the
Meridian Limo Network.

For purposes of this Agreement, the driving services provided by Chauffeurs to

Passengers matched through the Meridian Limo Network shall be referred to
collectively as the "Services." By requesting or creating your User account and
using the Meridian Limo Network, you expressly acknowledge that you
understand this Agreement and accept all its terms. MERIDIAN PROVIDES
BOOKING SERVICES, AND MERIDIAN IS NOT A TRANSPORTATION
CARRIER. IT IS UP TO THE CHAUFFEUR TO SET THE PRICE WITH
MERIDIAN LIMO OR DECIDE WHETHER OR NOT TO ACCEPT A TRIP
FROM A PASSENGER CONTACTED THROUGH THE MERIDIAN LIMO
NETWORK, AND IT IS UP TO THE PASSENGER TO DECIDE
WHETHER OR NOT TO ACCEPT OR KEEP A RIDE FROM ANY
CHAUFFEUR CONTACTED THROUGH THE MERIDIAN LIMO
NETWORK. ANY DECISION BY A USER TO OFFER OR ACCEPT
SERVICES ONCE SUCH USER IS MATCHED THROUGH THE
MERIDIAN LIMO NETWORK IS A DECISION MADE AT SUCH USER'S
SOLE DISCRETION. EACH TRANSPORTATION SERVICE PROVIDED
BY A CHAUFFEUR TO A PASSENGER SHALL CONSTITUTE A
SEPARATE AGREEMENT BETWEEN SUCH PERSONS. IF YOU
DISAGREE WITH BEING BOUND BY THE TERMS AND CONDITIONS
OF THIS AGREEMENT, YOU MAY NOT USE OR ACCESS THE
MERIDIAN LIMO NETWORK OR THE SERVICES.

1. We reserve the right to modify the terms and conditions of this Agreement
at any time, effective upon posting the amended terms on this site. If we make
changes, we will notify you by, at a minimum, revising the "Last Updated" date
at the top of this Agreement. You are responsible for regularly reviewing this
Agreement. Continued use of the Meridian Limo Network or Services after
any such changes shall constitute your consent to such changes. If you disagree
with such changes, you may not use or access the Meridian Limo Network or
the Services.

2. The Meridian Limo Network is available only to, and may only be used by,
individuals who can form legally binding contracts under applicable law.
Without limiting the preceding, the Meridian Limo Network is not available to
children (persons under 18) or Users who have had their User account
temporarily or permanently deactivated. By becoming a User, you represent
and warrant that you are at least 18 years old and have the right, authority, and
capacity to enter into and abide by the terms and conditions of this Agreement.

3. Text Messaging. By booking or creating an Account, you agree that the

Services may send you text (SMS) messages and emails as part of the regular
business operation of your use of the Services. You may opt out of receiving
text (SMS) and email messages from Meridian limo LLC at any time by
following the directions at https://viaegroup.com/unsubscribe/. You
acknowledge that opting out of receiving text (SMS) messages may impact
your use of the Services.

4. The prices are estimates only. All drop-off times are estimates and subject to
change due to traffic and other circumstances. Additional charges for incurred
stops, waiting time, parking, tolls, etc., may apply. Final costs for the trip are
determined upon ride completion. Balances are to be paid on the run date
before the beginning of the run. All hourly trips are billed Garage-to-
Garage, charged by the hourly rate, and the miles incurred less the miles per
hour restriction for the vehicle type with a minimum of hours accordingly to
the vehicle type. Overtime pay will apply after the prearranged time described
on the run sheet. Waiting time is charged by the hourly overtime rate for the
vehicle type set in 1' or 15' increments. A 10% gratuity and 30% STC
surcharge are applied to the base rate, plus any waiting time for each ride. All
trips between 11:00 PM and 6:00 AM have assessed a $10 to $25.00 late-night
/ Early morning fee, depending on the market area. A holiday fee of $25.00 is
charged on trips on New Year, Easter, Memorial, Independence, Labor,
Thanksgiving and Christmas Eve and Day, and New Year's Eve. On P2P (Point
to point Rides), additional stops are charged per mile or on flat rates; each extra
stop minimum is $15.00 plus other distance and time incurred.

5. Not responsible for articles left in the Vehicle; no one is authorized to

waive this rule. The client assumes entire financial liability for any damage to
the Vehicle caused during the rental duration by them or any party members.
There will be a $250.00 cleaning charge if the Vehicle is returned excessively
dirty. The sanitation fee is $250.00. Smoking is not permitted, and the penalty
fee is the sanitation fee. Local and Federal Laws may prohibit Alcohol
Consumption and drug use. Vehicles cannot be loaded beyond seating capacity.
Meridian Limo LLC, its agents, and affiliates are not responsible for delays.
Meridian Limo LLC may refund any monies paid as total compensation for
damages claimed and is not liable for consequential damages. Minors (any
person under 18) are not allowed on our vehicles at any time unless
accompanied by at least one adult chaperone. The chaperone must be at least
25 years of age and be a parent, teacher, school employee, or other responsible
adult. For Any Special Vehicle like Stretch, Part Bus, Regular Bus, or Coach
Bus, unscheduled stops are not allowed. If you wish to add any holidays or side
trips not on the original itinerary when you booked the trip, please inform the
Driver before you depart so he can get the necessary approvals from the office.
The Driver is governed by many state and federal laws that cover the Vehicle's
safe operation. These include limits on driving time and hours of service,
minimum rest time, restrictions on roads that can be traveled by commercial
vehicles, and other safety-related items. Please do not ask the Driver to bend
the rules or break the law for your and your group's safety. The Driver will be
the final authority on the Vehicle's safe operation.

6. On overnight trips, the customer will provide single hotel rooms for each
Driver. The customer will pay for any fines incurred. Any admission charges or
required entrance permits are additional. Any parking charge at your
destination is additional

7. Company is not liable in the event of a mechanical breakdown. Not

responsible for delays or termination caused by unsafe road conditions. The
Driver has the right to terminate the run without a refund if there is blatant
indiscretion on the part of the client(s).

8. Company is not responsible for paying for any missed flights of

passengers.

9. All oversized vehicles require a credit card authorization form, copy of

credit card, and any state-issued I.D. & will be charged per hour, garage to
garage.

10. Vehicles cannot be loaded beyond seating & luggage capacity.

11. We reserve the right to switch vehicles before a run based on availability
without prior notice if a car that was previously requested is unavailable or
there is a risk of a driver not making it on time for a pick-up

12. Cancellations made with less than the minimum time are billable. For
all rides with a Sedan or SUV with service within any major city in the United
States, the minimum cancellation time with our Executive Class is 2 hours and
Our Business Class 4 hours. For any Special Vehicle like Vans, Stretch, Party
Bus, Regular bus, or Coach Bus, and if the Vehicle has been dispatched before
pick up, a private event (Like a wedding, prom, parties, etc...), multivehicle
bookings (when more than 3), any major local event (like Formula one, Super-
Bowl, United Nations Week, etc...), or rides outside any U.S. major city or
rides outside the United States the minimum cancellation time is 72 hours. All
cancellations must be made over the phone, On-Line, or using our app (Sending
Us just an email or Text cancellation notice is not a valid form). Our Economy
Class is Non-Refundable and does not allow free cancellations; the cancellation
Charge is the total price.

13. Modifications are billable and subject to availability and

approval. For any booking with the requested Vehicle, Sedan or SUV on
service type transfers, hourly, airport Arrival or departure with rides within any
major city in the United States, the minimum modification time is 2 hours for
Executive Class, 4 hours for Business Class or 24 hs for Economy class. For all
other types of vehicles and services, like a wedding, proms, corporate or
private parties, multivehicle bookings (when more than 3), and any booking
during a significant local event (like Formula one, Super-Bowl, United Nations
Week, etc...), rides outside any U.S. major city or rides outside the United
States bookings date, the Vehicle or service type cannot be modified, for
modifications on time and locations, the minimum modification time is 72
hours and subject to approval. Modification Charges: you will have to pay any
increase in fares due to any new extras incurred, distance (For Transfer Rides),
or Extra hours (for hourly rides) increase. In Economy Class, each
modification occurrence is subject to an additional modification charge fee.

14. Deposits are non-refundable. For regular transfers and hourly services
with our Executive or Business Class in a Sedan or SUV, the minimum deposit
is 0%. The minimum deposit for any vehicle with our Economy Class is
the Full Price. For Special Vehicles like Vans, Stretch Limos,
Party Bus, Regular Bus, Coach Bus, or when the transportation requested is for
an event like a wedding, prom, bachelor and bachelorette party, sweet 16,
quinceanera, or there is a significant event in the city like United Nation Week
in N.Y. or CES in Las Vegas the minimum deposit is 50%. Full payment is
required 30 days before departure. Meridian Limo does not accept cash or
personal check as a form of payment; we accept Visa, MasterCard, Discover
Card, American Express, and Diners Club Credit Card. Debit Cards are
accepted with one of the above-listed symbols on them. If payment is not
received, the Billing Contact above agrees that they are personally liable for the
charges with payment due "net ten days." In the event of non-payment, interest
shall accrue at 1 and 1⁄2 per month, compounding monthly.

15. Disclaimers; Limitation of Liability; Indemnity. DISCLAIMER.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
MERIDIAN LIMO LLC DISCLAIMS ALL REPRESENTATIONS AND
WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT
EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN
ADDITION, MERIDIAN LIMO LLC MAKES NO REPRESENTATION,
WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY,
TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE
SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH
THE USE OF THE SERVICES OR THAT THE SERVICES WILL BE
UNINTERRUPTED OR ERROR-FREE. MERIDIAN LIMO LLC DOES
NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY, OR
ABILITY OF THIRD-PARTY PROVIDERS. YOU AGREE THAT THE
ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND
ANY SERVICE OR GOOD REQUESTED IN CONNECTION IN
ADDITION TO THAT, REMAINS SOLELY WITH YOU, TO THE
MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

LIMITATION OF LIABILITY.
MERIDIAN LIMO LLC SHALL NOT BE LIABLE FOR INDIRECT,
INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR
CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST
DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO,
IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY
USE OF THE SERVICES, EVEN IF MERIDIAN LIMO LLC HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU
ACKNOWLEDGE THAT THIRD-PARTY TRANSPORTATION
PROVIDERS PROVIDING TRANSPORTATION SERVICES REQUESTED
THROUGH SOME REQUEST BRANDS MAY OFFER RIDESHARING OR
PEER-TO-PEER TRANSPORTATION SERVICES AND MAY NOT BE
PROFESSIONALLY LICENSED OR PERMITTED. MERIDIAN LIMO
SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY, OR LOSSES
ARISING OUT OF: YOUR USE OF OR RELIANCE ON THE SERVICES
OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR ANY
TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD-
PARTY PROVIDER, EVEN IF MERIDIAN LIMO LLC HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MERIDIAN
LIMO LLC SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN
PERFORMANCE RESULTING FROM CAUSES BEYOND MERIDIAN
LIMO LLC'S REASONABLE CONTROL. IN NO EVENT SHALL
MERIDIAN LIMO LLC'S TOTAL LIABILITY TO YOU IN CONNECTION
WITH THE SERVICES FOR ALL DAMAGES, LOSSES, AND CAUSES OF
ACTION EXCEED FIVE HUNDRED US DOLLARS ($500).

MERIDIAN LIMO LLC SERVICES MAY BE USED BY YOU TO

REQUEST AND SCHEDULE TRANSPORTATION, GOODS, OR
LOGISTICS SERVICES WITH THIRD-PARTY PROVIDERS. Still, YOU
AGREE THAT MERIDIAN LIMO LLC HAS NO RESPONSIBILITY OR
LIABILITY TO YOU RELATED TO ANY TRANSPORTATION, GOODS,
OR LOGISTICS SERVICES PROVIDED TO YOU BY THIRD PARTY
PROVIDERS OTHER THAN AS EXPRESSLY outlined in THESE TERMS.

THE LIMITATIONS AND DISCLAIMER IN THIS SECTION 15 DO NOT

PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A
CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE
LAW.

Indemnity.
You agree to indemnify and hold MERIDIAN LIMO LLC and its officers,
directors, employees, and agents harmless from any claims, demands, losses,
liabilities, and expenses (including attorneys' fees) arising out of or in
connection with: your use of the Services or services or goods obtained through
your use of the Services; your breach or violation of any of these Terms;
MERIDIAN LIMO LLC's use of your User Content; or your violation of the
rights of any third party, including Third Party Providers.

16. The laws of the State of Delaware shall govern this Agreement. The Billing
 Contact agrees that all causes of action shall be brought in the State Courts of
the State of Delaware, City, and County of Dover. Meridian Limo LLC has the
right to recover any fees and costs, including all attorney's fees, in collecting
sums due hereunder and enforcing the terms and conditions hereof.

By providing your payment information, you authorize MeridianLimo, LLC to

charge my credit card for the listed amount or any amounts pre-approved. You
understand that the execution of this authorization constitutes such approval.
