RECITALS
WHEREAS, PARTY A is the rightful owner of a vehicle described as follows:

WHEREAS, PARTY B is interested in purchasing the above-mentioned


vehicle from PARTY A;

NOW, THEREFORE, in consideration of the mutual promises and covenants

1. PURCHASE PRICE

1.1 PARTY B agrees to purchase the aforementioned vehicle from PARTY A


for the total consideration of ____________

2. VEHICLE TRANSFER

2.1 Upon receipt of the full payment as specified in Clause 1.1, PARTY A
agrees to transfer the ownership of the vehicle to PARTY B, including all
associated documents, such as the vehicle's title, registration, insurance,
and any other relevant paperwork.

3. REPRESENTATIONS AND WARRANTIES

3.1 PARTY A represents and warrants that they are the rightful owner of
the vehicle and have full authority to sell the vehicle to PARTY B.

3.2 PARTY A further represents and warrants that the vehicle is sold free
and clear of any liens, encumbrances, or claims, and that there are no
pending legal actions or disputes related to the vehicle.

4. AS-IS CONDITION

4.1 PARTY B acknowledges that they are purchasing the vehicle in its
current condition, "as is," without any warranties or guarantees, expressed
or implied, including but not limited to, merchantability or fitness for a
particular purpose.

5. INDEMNITY
5.1 PARTY B agrees to indemnify and hold PARTY A harmless from any
claims, damages, liabilities, or expenses arising out of or related to the use,
possession, or ownership of the vehicle after the Effective Date of this
Agreement.

6. GOVERNING LAW

6.1 This Agreement shall be governed and construed in accordance with


the laws of the state of ______________.

7. ENTIRE AGREEMENT

7.1 This Agreement constitutes the entire understanding between the


Parties and supersedes all prior discussions, negotiations, and agreements,
whether oral or written, relating to the subject matter hereof.
