and  not  by  way  of  limitation,  the  rights  in  and  to  the  Content  assigned  include  the  copyright,  any  and  all  renewals  
thereof  throughout  the  world,  as  well  as  the  rights  to  exploit  the  Content  and  receive  any  income  derived  from  such  
exploitation.

Nothing  contained  herein  shall  be  deemed  to  relieve  Assignor  of  Assignor’s  obligations  under  the  TOS.    In  the  event  of  a  
breach  of  any  of  the  terms  of  the  TOS,  Assignor  and  Assignee  shall  be  jointly  and  severally  liable  to  Shutterstock  for  any  
losses  and/or  damages  sustained  by  it.

The  undersigned  (“Assignor”)  hereby  assigns  all  of  Assignor’s  right,  title  and  interest  in  and  to  the  images  and/or  footage  
clips  identified  below  (“Content”)  to  _________________________________________        (“Assignee”),  with  an  address  
at  ___________________________________________________________________________________.    By  way  of  
illustration  and  not  by  way  of  limitation,  the  rights  in  and  to  the  Content  assigned  hereunder  include  the  copyright,  any  
and  all  renewals  thereof  throughout  the  world,  as  well  as  the  rights  to  exploit  the  Content  and  receive  any  income  
derived  from  such  exploitation.    
 
Neither  Assignor  nor  Assignee  is  under  any  legal  disability  or  contractual  restriction  that  prevents  Assignor  or  Assignee  
from  entering  into  and  being  bound  by  the  terms  of  this  Assignment  and  Assumption  Agreement.    Assignor  warrants  and  
represents  that  it  has  not  previously  assigned  and  shall  not  in  the  future  assign,  any  of  Assignor’s  rights  in  and  to  the  
Content  to  any  other  party.  
 
Nothing  contained  herein  shall  be  deemed  to  relieve  Assignor  of  Assignor’s  obligations  under  the  TOS.    In  the  event  of  a  
breach  of  any  of  the  terms  of  the  TOS,  Assignor  and  Assignee  shall  be  jointly  and  severally  liable  to  Shutterstock  for  any
