Whereas VENDOR is the sole, exclusive and absolute owner of Plot
Np. 34/A, bearing MCH No. 16-11-16/M/34/1, admeasuring 220 Sq. yds, of land,
in Sy. Nos. 76, 84 & 86, situatd atrTeegalaguda, Moosarambagh, Hyderabad
having purchased same from Mrs. B. Alak Nanda and othersunder the registered
Deed dated 22-10-1992, vide Doc: No. 1137/1994, Book I, in the Office of the
Sub Registrar, Azampura.

Whereas the VENDOR has offered to sell Plot No. 34/A, bearing
MCH No. 16-11-16/M/34/ 1, admeasuring 220 Sq. yds, of land, in Sy. Nos. 76, 84
& 86, situated at Teegalaguda, Moosarambagh, Hyderabad which is more fully
described in the SCHEDULE PROPERTY hereunder to the VENDEE for a total sale
consideration of Rs.26,82,000/- (Rupees Twenty six lakhs eighty two thousand

NOW THIS DEED WITNESSTH AS FOLLOWS:

1. In pursuance of the.said agreement the VENDEE has paid the entire sale
consideration of Rs.. 26,82,000,/- (Rupees Twenty six lakhs eighty two
thousand only) to VENDOR a sum of Rs.5,00,000/- (Rupees Five lakhs only)
through Account Transfer from Andhar Bank, Vijawada, a sum of
Rs.8,15,000/- (Rupees Eight lakhs Fifteen thousands only) through
D.D Nos. 748954, dated 2-11-2007, drawn on Andhra Bank, Wanaparthy, a
sum of Rs.3,60,000/- (Rupees Three lakhs sixty thousands only) through
D.D.No.820332, dated 2-11-2007, drawn on Andhra Bank, Dilshuk Nagar
Branch and a sum of Rs.10,07,000/- (Rupees Ten lakhs seven thousands
only) through D.D. 32409Sb dated 3-11-2007, drawn on ICICI Bank.
The VENDOR hereby admits and acknowledges the receipt of the same
2. The VENDOR hereby transfers all his right, title and interest together with
appurtenances hereto in the schedule property more clearly hatched and
delineated in the plan annexed to the VENDEE by way of absolute sale.
3. Theschedule property hereby conveyed shall be quietly and peacefully held
and enjoyed by the VENDEE without any interruption or disturbance
whatsoever by the VENDOR or his legal representatives etc.
4. The VENDOR assures the VENDEE that there are no other persons
whomsoever that can claim any title to the Schedule property and the
VENDEE is kept indemnified for and against any loss, damage and cost
which the VENDEE may sustain, incur or suffer or be put to by reason of
defective title of the VENDOR herein to the Schedule property hereby
conveyed or any part thereof.
5. The VENDOR assures the VENDEE that the Schedule Property is free from
any encumbrance, charge, liern and mortgage and prior agreement for sale
etc.

6. The VENDOR has paid all taxes and other dues to the various authorities in
respect of the Schedule Property and if any dues are still found payable by
the VENDOR till the date of registration of this sale deed, the VENDOR
herein alone shall be liable for payment of the same. The purchasers will
have to pay such taxes etc., payable hereafter.

7. The VENDOR hereby agrees to co-operate with the VENDEE to get the
Schedule Property mutated in the name of the VENDEE, in the Gram
Panchayat, Municipal records, Electricity and other local departments, after
the registration of this sale deed. The VENDOR shall sign necessary papers
for this purpose.
8. The VENDOR do hereby further agree with the VENDEE at all times
hereafter and at the cost of the purchaser to do and execute all such lawful
acts, deeds and things for further and more perfectly assuring the said
property to the VENDEE according to the true intent and meaning of this
Deed.

9. The VENDOR has handed over to the VENDEE the entire available
documents in respect of the Schedule Property.
10.The VENDOR has this day delivered the vacant, physical and peaceful
possession of the schedule property to the VENDEE, TO HAVE AND TO
HOLD' absolutely and forever
11.The Schedule Property is not an assigned land and the provisions of
Act.No.9/77 have no application to this sale.
12.The VENDOR hereby declares that the Transfer of Property affected by this
document is not in violation of any of the provisions of the Urban Land
(Ceiling 8& Regulation) Act, 1976
13. That the VENDEE hereby declares that if any suppression of facts found in any
future date the VENDEE is liable for payment of deficit duties if any under Sec. 27
& 64 ofI.S. Act 1899.

Market Value of the property is Rs.26,82,000/- (Rupees Twenty six lakhs
