Memorandum of Understanding (MOU)
This Memorandum of Understanding (MOU) is entered into on 30/01/2024 by and between
Assetgro Fintech Private Limited, hereinafter referred to as "StockGro" and Co-curricular
Affairs council, SVNIT located at Ichchhanath Surat- Dumas, Road, Keval Chowk, Surat, Gujarat
395007, hereinafter referred to as Co-curricular Affairs council, SVNIT.
“StockGro” and “Co-curricular Affairs council, SVNIT” are hereinafter individually referred to as
“Party” and collectively referred to as “Parties”.

1. Purpose
i. This MOU establishes the provisions committed by Co-curricular Affairs council, SVNIT
and the commitments made by StockGro to Co-curricular Affairs council, SVNIT along
with the specific details and particulars to promote theoretical and practical learning about
Stock market investments with all the students of Co-curricular Affairs council, SVNIT
ii. Both Parties agree to collaborate on activities aimed at equipping the students of
Co-curricular Affairs council, SVNIT with valuable knowledge and skills related to the
stock market
iii. StockGro shall provide its platform to conduct a One-time virtual stock simulation
PrepZone for the students of Co-curricular Affairs council, SVNIT along with technical
support throughout the event.
2. Agreed Deliverables
i. The Parties acknowledge that specific deliverables shall be mutually agreed upon and
accepted as an Annexure A to this MOU. The annexure shall outline the details, timelines,
and terms of the deliverables, including the scope of work and responsibilities.
ii. The Parties agree that the deliverables mentioned in the annexure shall form an integral
part of this MOU and shall be binding upon both Parties upon mutual acceptance.
iii. The Parties further agree that the process of agreeing upon the deliverables shall be
conducted over separate email communication. Both Parties shall exchange written
acceptance of the deliverables via email, clearly indicating their agreement. Once
accepted, the agreed-upon deliverables shall be attached to this MOU as an annexure.
iv. In the event of any conflict or inconsistency between the terms of this MOU and the
annexure, the provisions of the annexure shall prevail.
3. Confidentiality
i. Both parties agree to maintain the confidentiality of any non-public information shared
between them during the term of this MOU.
ii. Such confidential information may include, but is not limited to, proprietary or confidential
information, trade secrets, or personal data.
iii. Each party agrees not to disclose such confidential information to any third party, unless
required by law. This clause shall survive the termination or expiration of this MOU
indefinitely.
iv. Any breach of this confidentiality clause shall be subject to legal action.
4. Intellectual Property
i. All intellectual property developed or created during the course of this collaboration shall
be the sole property of the party that created it, subject to any licences or agreements
entered into by both parties.
ii. Neither party shall use the other party's intellectual property without obtaining prior
written consent.
iii. In case of any infringement or unauthorised use of intellectual property, the party owning
such intellectual property may take legal action against the infringing party.
iv. This clause shall survive the termination or expiration of this MOU indefinitely.
5. Liability
Notwithstanding anything else in this MOU, both parties agree to indemnify, defend, and hold
harmless the other party, its affiliates, officers, directors, employees, and agents from and
against any and all claims, liabilities, damages, losses, costs, or expenses arising out of or in
connection with any breach of this MOU or any act or omission by either party. The total
liability of each party under this MOU shall be limited to INR 10,000/- (Indian Rupees Ten
Thousand only) in the aggregate for all claims, liabilities, damages, losses, costs, or expenses
arising out of or in connection with this MOU except as explicitly provided otherwise in this
MOU. This limit on liability explicitly excludes claims related to unforeseen technical glitches,
app malfunctions, software interruptions, or technical downtime during the event. In such
cases, neither party shall be entitled to claim any amount within the stated limit of INR
10,000/-.
In the event of any unforeseen technical glitches, app malfunctions, software interruptions, or
technical downtime during the course of the event, Stockgro, its employees, shareholders,
officers, directors hereby expressly disclaim any liability for any loss, damage, or
inconvenience suffered by Co-curricular Affairs council, SVNIT or any other party involved. It
is acknowledged and agreed by all parties that such malfunctions are unprecedented and
beyond the reasonable control of Stockgro. This disclaimer extends to any present or future
consequences arising from such technical issues. By entering into this Memorandum of
Understanding (MOU), all parties acknowledge and agree that StockGro shall not be held
responsible for any direct, indirect, incidental, consequential, or special damages, including
but not limited to loss of data, revenue, or profits, arising out of or in connection with any
technical issues encountered during the event. This disclaimer encompasses the entire
extent of Stockgro's responsibility and liability regarding technical disruptions and is binding
on all parties involved in the MOU.
6. Term
This MOU shall commence on the date of signing and shall remain in effect until the
completion of the stock simulation PrepZone. Upon the completion of the stock simulation
PrepZone, both Parties acknowledge that there may be post-program obligations and
deliverables to be fulfilled as agreed upon in the Annexure referenced in Section 2. Such
obligations and deliverables outlined in the Annexure shall continue to be binding upon both
Parties even after the completion of the stock simulation program, until such obligations and
deliverables have been fulfilled. The Parties agree to act in good faith and diligently fulfil their
respective obligations as outlined in the annexure.
7. Governing law
This Agreement shall be governed by and construed in accordance with the laws of India and
both parties submit to the exclusive jurisdiction of courts in Bangalore, India in respect hereof.
8. Entire Agreement
This MOU, including all attached annexures, constitutes the entire agreement between the
parties and supersedes all prior oral or written agreements, understandings, or
representations. Any modifications or amendments to this MOU must be in writing and signed
by both parties.
IN WITNESS WHEREOF, the parties hereto have executed this MOU as of the date first above
written.

Terms and Conditions:
1. The PrepZone requires a minimum of 30 participants to commence
2. Only the participants who place an order in the PrepZonewill be eligible for rewards
3. The first prize awarded cannot exceed 10% of the total Prize pool.
4. Cash sponsorship will be released upon completion of the PrepZone and fulfilment of all
deliverables by the partner college.
5. Payments will be made in accordance with Stockgro's payment cycles and will be subject
to deduction of tax as applicable on the date of payment.
6. The partner college/club will specify the type of event (Free/Paid) and the mode of
participation (Individual/Team).
7. Stockgro will distribute the bonus amount prize to the top 65% of total participants.
8. The Hosting party is responsible for resolving any pending queries or issues at least 30
minutes prior to the event start time
9. Once the league has commenced, no additional users can be added
10. If the partner college is charging any entrance or registration fee for conducting
competitions on stockgro, no sponsorship will be will be allocated and we will collect
20-25% of the total fees collected by the partner college
