1. Why MEFC

2. Terms & Conditions
Delivery Time: To be discussed after the approval of quotation and design.
Termination: The buyer has no right to terminate the contract/order unless mutually agreed with
MEFC, or MEFC is compensated for any loss incurred by the termination.
Packing:
For SM: All types of cable length shall be 2, 4 & 6 km. The combination of each group shall be 6 KM,
12 KM, 18 KM or 24 KM.
For MM: All types of cable length shall be 2 or 4 km. The combination of each group shall be 6 KM.
The maximum length per drum can be specified based on cable outer diameter and design
constructions.
Tolerance: Nevertheless, MEFC can entertain specific length requirements within its discretion. In
addition MEFC reserves the rights to a +2/- 1% tolerance on any agreed shipping length, and buyer will
be invoiced for actual lengths shipped. MEFC reserves the right to manufacture the goods in any of
MEFC’s affiliated factories.
Validity: The offered prices are valid only for 15 days from the stated date and if raw material price
increases, we will be compelled to increase the offered prices ,an extension to the validity needs
MEFC written approval
Terms:
i. MEFC shall have the right to suspend deliveries, maintenance and cancel warranty on cables or
products sold if the payment is not received by the due date.

ii. If the sale is made on instalments and any instalment is not settled on its due date, then all

remaining instalments shall automatically become due.
iii. The price does not include expenses attributable to storage, loading or shipping the goods
purchased hereunder or to the export packaging thereof. The credit facility shall also include
payment to be made by Buyer to MEFC regarding any charges made by MEFC or others for
storage, export packaging, loading or shipping the goods on behalf of the Buyer. Revision of the
prices stated on the applicable quotation, acknowledgement or invoice to correct any clerical or
computational errors incorporated therein shall be effective upon the giving of written notice
thereof to the buyer.
iv. The prices are exclusive of any VAT taxes or any other taxes that might be introduced in the future.
v. The Buyer acknowledges that payment shall not be affected by loss, damage or delay in
manufacture, shipment or delivery of the goods or for MEFC inability to perform any or all of its
obligations hereunder due to the failure or happening of events or conditions rendering
performance commercially impracticable, or to any causes beyond MEFC control, including but
not limited to, acts of God, any acts or omissions of Buyer, acts of civil or military authorities, fire,
floods, windstorm, earthquake, strikes or other labor disturbances, civil commotion, war, delays
in transportation, late delivery by MEFC’s suppliers or subcontractors, fuel or other energy
shortages or an inability to obtain necessary labor, materials, supplies, equipment or
manufacturing facilities because in such eventualities, MEFC being seller shall not be liable. If any
such failure of events or conditions results in a delay in performance, the date of delivery or of
performance shall
be extended for a period equal to the time lost by reason of the delay, and such extension shall
be the Buyer’s exclusive remedy.
vi. The Buyer further acknowledges that the payment shall not be affected due to defective goods
because the Buyer’s sole and exclusive remedy for defective goods shall be, at MEFC’s option,
repair, replacement or refund of price. MEFC shall not be liable under any circumstances,
including but not limited to, any claim for breach of warranty (express or implied), tort (including
negligence) or strict liability, for any actual, incidental, contingent, special or consequential
damages arising from or out of these Terms and Conditions or goods supplied hereunder. MEFC
shall also be not liable for loss of profits, revenues, goods or services or other items to be furnished
to the Buyer hereunder, cost of capital, costs of substitute equipment, additional costs incurred
by the Buyer at its plant or in the field (whether by way of correction or otherwise) or claims of
Buyer’s customers or other third parties for damages.
vii. The Buyer agrees that prior to full payment; it shall not assign rights to the goods purchased on
credit without MEFC’s prior written consent.
viii. In case of default in making payment on or before the due date, both Buyer and the guarantor
shall become liable jointly and severally.
ix. MEFC reserves the right to suspend further sales/ services until the situation of default is rectified.
x. The Buyer understands and acknowledges that waiver by MEFC of any remedy available
hereunder or under the applicable law against the breach of Terms and Conditions by the Buyer

shall not be deemed a waiver of future compliance therewith, and such provisions, as well as all

other terms, covenants and conditions hereof, shall remain in full force and effect.
xi. If any provision or provisions hereof are declared to be void, such provision or provisions shall be
deemed to have been severed from the Terms and Conditions hereof and the remaining
document shall remain in full force and effect.
xii. In case of any dispute between the parties, the applicable law shall be the law of Kingdom of Saudi
Arabia and the Saudi Courts shall have the exclusive jurisdiction.
xiii. The PO referencing to this quotation abides to all the terms and conditions above.
