with the terms and conditions enclosed along with this letter of Consent.

Terms and Conditions :ROLE AND RESPONSIBILITY OF SOCIETY & Adani Electricity Mumbai Limited (AEML)
(i) Society has represented that it is the absolute owner of, entitled to, seized , or in possession of and / or has the right to deal with the
property referred as Society above ( hereinafter referred to as “the said Premises”)
(ii) Society authorizes AEML to setup EV Charging Station (EVCS) and associated equipment ( Cable, Switchgears etc) and maintain EV
Charging Station in said premises for the period of 7 Years from date of signing this consent form without any cost to Society and
without any fee / charges to AEML.. Either party at their sole discretion, may extend the duration for further period along with
additional EV Chargers and on such terms and conditions as may be mutually agreed between the Parties at the time of such extension
(iii) Society shall allow AEML officers, employees, visitors, authorized representatives, subcontractors to freely access the AEML’s EVCS
and associated equipment in the said premises during operational hours of the day and on all working days ( excluding Public
Holidays) for inspection, service / maintenance, repairs and replacement of chargers and associated equipment in the EVCS.
(iv) Society shall have the right to restrict the entry of any undesirable person/goods in its Premises as may be permitted by AEML in
writing from time to time. Society shall not provide any other facility to AEML as otherwise expressly provided in this consent letter.
(v) Society shall ensure that the area where Charging Stations are installed by AEML is under CCTV Surveillance with sufficient lighting
arrangement. Safety, Security, general housekeeping and site hygiene will be the responsibility of the Society on best effort basis
without any cost to AEML.
(vi) Society shall ensure that Common Space or Visitor parking space is allotted for setting up the EV Charging Station.AEML shall
deploy the EV Charging Station in Society Premises as mutually decided between the Parties. The deployment cost including
procure, Supply, Installation, Commissioning, and maintenance shall form part of AEML’s scope.
(vii) AEML will not have or claim any license, right or authority to access any part of Society premises that are not open to the public.
(viii) EV users can charge their EV as per Electricity Tariff approved by MERC under DSM Scheme. The rates are subject to change without
notice to Customer depending upon changes in applicable laws / regulations by competent Authorities.
(ix) Society shall not hold AEML liable for any loss, damage, delay, or failure of performance, resulting directly or indirectly in respect of
the EV Charging Stations.
(x) AEML holds every right on its equipment and its accessories installed within Society premises for setting up EV Charging Station.
AEML reserves the right to take custody of EV chargers in case of end of tenure of the agreement, or at the time of upgradation or
premature retirement of the EV Chargers
(i) Society shall allow AEML to install sign boards, billboards or branding board at EV Charging Station. Society shall retain the branding
till Operation of EV Chargers. The EVCS to be installed and operated in the said premises is and shall be known and advertised /
publicized as a AEML network of EVCS during the term of this Consent.
(xi) AEML shall carry out and conduct at its costs , from time to time and at any time, refurbishment, repairs, alterations and maintenance
including but not limited to the installation, fastening, removal . alteration. and rearrangement of EVCS and associated equipment
and cabling, signage etc provided that such works are conducted in conformity with applicable laws, rules and regulations. AEML
shall take necessary approval of Society for the same.
(xii) RESOLUTION OF DISPUTES: Any disputes arising out of the EV charging Station shall be amicably settled by both the Parties. Any
unsettled disputes under this Terms and Condition, shall be governed by and interpreted in accordance with laws of India and the
courts at Mumbai, Maharashtra], India shall have exclusive jurisdiction over all matters arising out of and relating to the present
terms and conditions.
(xiii) INDEMNIFICATION: Society shall fully indemnify, hold harmless and keep AEML fully indemnified against any and all actions, costs,
claims, demands, damages, expenses (including legal fees), liabilities and losses incurred by other arising as a result of a breach of
any representations and warranties or failure to comply with any obligations under this terms and condition or violation of any law,
rules or regulations or the rights of a third party by it.
(xiv) Society has agreed to be in complete compliance with the rules and regulations issued by the statutory authorities pertaining to the
EV Charging Station from time to time.
