SUMMARY TERMS & CONDITIONS
Terms: By placing an order customers accept and agree to terms and conditions of Imperial Supplies LLC (“Imperial”), the full text of which can be
found at www.imperialsupplies.com.
Wholesale Only: Imperial sells products for business use to customers with proper business identification.
Prices: Prices listed are wholesale, do not include freight, handling fees, taxes, and/or duties, and are subject to correction or change without
notice. Imperial reserves the right to accept or reject any order.
Sales Tax: Customers are responsible for payment of all applicable taxes, or providing a valid sales tax exemption certificate.
Shipping Charges: Products are shipped F.O.B. shipping point with costs and handling fees paid by Imperial and charged to customer. Orders
over U.S. $400 (including any backorders) are shipped freight free. C.O.D. shipments are not permitted. Other terms and conditions may apply for
freight collect, special handling, or shipments outside the contiguous United States. Fuel surcharges and other surcharges may be applied. Title
and risk of loss pass to customer upon shipment to carrier. Vendor drop-shipped products are excluded from our standard freight policy and the
customer is responsible for freight on drop-ship products.
Payment Terms: Imperial accepts cash, checks, money orders, Visa, MasterCard, and American Express. For customers with established Imperial
credit, payment terms are one-half percent (1/2%) ten (10) days, net 30 days from the date of shipment. If payment is not received within the 30-day
period, Imperial may defer or cancel all or part of any shipment or order.
Product Return: Product returns must be made within one year from date of purchase, unless otherwise indicated. Returned product must be in
original packaging, unused, undamaged and in saleable condition. Proof of purchase is required.
Product Substitution: Products and country of origin may be substituted and may not be identical to Catalog or website published descriptions
and/or images.

LIMITED WARRANTY: IMPERIAL WARRANTS PRODUCTS FOR A PERIOD OF ONE YEAR FROM THE DATE OF PURCHASE, UNLESS
OTHERWISE STATED. PROVIDED THAT IMPERIAL ACCEPTS THE PRODUCT FOR RETURN, IMPERIAL MAY, AT ITS OPTION, REPAIR,
REPLACE, OR REFUND THE AMOUNT PAID BY CUSTOMER. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF
INTELLECTUAL PROPERTY RIGHTS ARE SPECIFICALLY DISCLAIMED.
LIMITATION OF LIABILITY: IMPERIAL SHALL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE
DAMAGES. IMPERIAL’S LIABILITY, IN ALL CIRCUMSTANCES, SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT
THAT GIVES RISE TO ANY LIABILITY.
