For the purpose of this Agreement, "Confidential Information", means any and all
technical and non- technical information provided by the Disclosing Party to the
Receiving Party, including but not limited to (a) patent and patent applications,
(b) trade secrets, and (c) proprietary information, ideas, techniques, sketches,
drawings, work of authorship, models, know-how, processes, apparatuses, equipment,
algorithms, software programs, software source documents, and formulae related to
the current, future, and proposed products/business, or investment ideas and
services of the Disclosing Party and including, without limitation, information
concerning research, experimental work, development, design details and
specifications, financial information, procurement, requirements,purchasing.
manufacturing, customer lists investors, employees, business and contractual
relationships (actual or prospective), business forecasts, sales and merchandising,
marketing plans and information regarding third parties or any other data
which,although not related to such subject matter, is nevertheless disclosed, as a
result of the Parties'discussions in that regard, and which, in any case, is
disclosed by the Disclosing Party or an affiliate of the Disclosing Party to the
Receiving Party in document or any other tangible or electronic form indicating its
confidential or proprietary nature, or which, if initially disclosed orally or
visually is identified as confidential at the time of disclosure or if disclosed
visually be electronic means and where the identification of such information as
confidential may be delayed for a reasonable time, a written summary thereof, also
marked with such confidentiality, is provided to the Receiving Party within a
reasonable time of initial disclosure. Any information that is not readily
available to the public shall be considered as Confidential Information and,
therefore, within the Scope of this Agreement, unless otherwise specified in
writing.
Governing Law And Dispute Resolution:
This Agreement shall be governed by and construed, interpreted and take effect in
accordance with the laws of the People's Democratic Republic of Algeria and the
Parties hereby submit to the exclusive jurisdiction of the courts of Algiers -
Algeria.
The duration of the confidentiality obligation :

It is important to understand that the termination of an NDA only results in the
termination of the exchange of confidential information between the signatories and
cannot, under any circumstances, have the effect of extinguishing the
confidentiality commitments to which the Parties are bound. In this sense, it may
be stipulated that the confidentiality obligation does not end with the termination
of the underlying contract.
