Police Station-Ballygunge, Kolkata-700020, represented by its
Director, Mr. Prateek Tulsyan, (PAN: ADWPT2235R) (AADHAAR
NO.454715833029), son of Mr. Ashok Kumar Tulsyan, by occupation-

West Bengal, Pin-711227, represented by its Authorized
Representative, Mr. Sourav Kumar Lodha, (PAN: ABNPL9639A)
(AADHAAR NO.440437110429), son of Mr. Sajjan Kumar Lodha, by
occupation-Business, by Nationality-Indian, residing at Urban Greens,
Block-3, Flat-1A, Rajarhat Main Road, Atghara, Gopalpur (M) Post Office &
Police Station- Rajarhat, District-North 24 Parganas, Pin–700136, West
Bengal, pursuant to the resolution passed in the meeting of its Board of

expression unless excluded by or repugnant to the subject or context
shall be deemed to mean and include their respective successors or
successors-in-interest) of the ONE PART;

Office & Police Station-Ballygunge, Kolkata-700019, hereinafter referred
to as “the PURCHASER” (which expression unless excluded by or
repugnant to the subject or context shall be deemed to mean and
include her heirs executors administrators legal representatives and/or
assigns) of the OTHER PART:

WHEREAS:

A. Definitions: In addition to the other terms defined elsewhere in


this Deed by inclusion in quotations and/or parenthesis, unless the
context otherwise requires, each of the following terms when used in this
Deed shall have the meaning respectively attributed to each of them as
under:

“Applicable Law” shall mean and include all applicable Indian


statutes, laws, regulations, ordinances, rules,
judgements, orders, decrees, bye-laws, approvals,
notifications, directions, directives, guidelines,
policies, binding actions of any Governmental
Authority, board, acts of legislature or parliament,
requirement or other governmental restriction or
any similar form of decision of or determination by
any Governmental Authority, board, having
jurisdiction over the matter in question, in effect, as
updated or modified or substituted or revised or
amended from time to time;

Authority(ies)” shall mean: (a) the Government of West Bengal;


and/or (b) any semi-governmental, administrative,
fiscal, judicial or quasi-judicial body, department,
commission, authority, tribunal, municipality,
panchayat, zila parishad, agency or entity
exercising powers conferred by Applicable Law;
and/or (c) any central, national, state, city,
municipal or local government, governmental
authority; and/or (d) any agency or instrumentality
of any of the authorities referred to in (c) above;
and/or (e) any non-governmental regulatory or
administrative authority, body or other organization
to the extent that the rules, regulations, standards,
requirements, procedures or orders of such
authority, body or other organization have the force
of law; and/or (f) any competent court or tribunal.

“Costs” shall mean and include all costs, charges, expenses,


fees, monetary consideration paid or to be paid in
respect to any work/ obligation to be carried out by
either of the Parties in terms of this Deed.

“Encumbrances” shall mean any and all sorts of encumbrances,


mortgages, charges, leases, tenancies, liens
lispendens, attachments, debutters, trusts, wakfs,
uses, occupancy rights, bargadars, bhagchasis,
encroachments, trespassers, third party rights,
claims, demands, acquisition, requisition, alignment
and/or liabilities whatsoever or howsoever.

B. The Vendors herein have held out, represented before and assured
the Purchaser, inter alia, as follows:

ia) That the Vendor No.1 herein is seized and possessed of


and/or otherwise well and sufficiently entitled as the sole and
absolute owner / raiyat, amongst other properties, to All
Those various pieces or parcels of land containing an area of
175.02 Sataks more or less, comprised in various Dags in
Mouza Uttar Gazipur; J.L. No.17, under Police Station Polerhat
under Kolkata Police, Sub-Registration Office ADSR
Bhangore, District South 24 Parganas, West Bengal, fully
described in Part-1a of the SCHEDULE hereunder written,
absolutely and forever free from all encumbrances and
liabilities and is in khas peaceful vacant physical possession
thereof;

ib) That the Vendor No.2 herein is seized and possessed of


and/or otherwise well and sufficiently entitled as the sole and
absolute owner / raiyat, amongst other properties, to All
Those various pieces or parcels of land containing an area of

Mouza Uttar Gazipur, J.L. No.17, under P.S. Bhangore, Sub-
Registration Office ADSR Bhangore in the District of South
24-Parganas, fully described in Part-1b of the SCHEDULE
hereunder written, absolutely and forever free from all
encumbrances and liabilities and is in khas peaceful vacant
physical possession thereof;

ic) That the Vendor No.3 herein is seized and possessed of


and/or otherwise well and sufficiently entitled as the sole and
absolute owner / raiyat, amongst other properties, to All
Those various pieces or parcels of land containing an area of
66.00 Sataks more or less, comprised in various Dags in
Mouza Uttar Gazipur, J.L. No.17, under P.S. Bhangore, Sub-
Registration Office ADSR Bhangore in the District of South

24-Parganas, fully described in Part-1c of the SCHEDULE


hereunder written, absolutely and forever free from all
encumbrances and liabilities and is in khas peaceful vacant
physical possession thereof;

All the above properties described in Part-1a to Part-1c of the


Schedule hereunder written are hereinafter collectively referred
to as “the SAID PROPERTIES”, being the subject matter of
present sale. Details of the facts pertaining to the Vendors' title is
also mentioned in the Schedule hereunder written.

ii) That the said Properties are all free from all Encumbrances
and liabilities whatsoever or howsoever;

iii) That the Vendors are in khas physical vacant peaceful


exclusive possession of their respective Properties without
any disturbance obstruction claim or objection whatsoever
from any person or persons;

iii) To the extent mentioned in the Schedule hereunder written,


portions of the said Properties are duly recorded in the
names of the respective Vendors in the Records of Rights of
the Government and remaining portions thereof as on date
are yet to be mutated in the names of respective Vendors.

iv) That no portion of the said Properties had been and/or is


affected and/or acquired and/or vested and/or attached
and/or subject to any alignment by any notice and/or scheme
and/or order of any Authority under any Applicable Law and
no notice in respect thereof has been served upon or
received by any of the Vendors.

v)v) Portions of the said Properties being Dag Nos.5, & 50 are
abutting the public road namely Haroa Road

vi) The Vendors or either of them have not acted in violation of


any Applicable Laws thereby affecting their respective right
title interest in the said Properties.

vi)vii) There is no excess land held by the Vendors under the


Applicable Laws nor is there any violation of the same.

vii)viii) As far as the Vendors are aware, the Urban Land


(Ceiling & Regulation) Act, 1976 is not applicable to the said
Properties.

viii)ix) There is no Public/ / Panchayat Road passing through


the said Properties or any part thereof.

ix) The said Properties or any part thereof is not affected by or


subject to (a) any right of residence or maintenance under
any testamentary disposition settlement or other
documents or under any law, (b) any trust resulting or
constructive arising under any debutter name benami
transaction or otherwise, (c) any debutter wakf or devseva,
(d) any right of way water light support drainage or any
other easement with any person or property, (e) any burden
or obligation other than payment of municipal/ panchayat
rates and taxes, (f) any restrictive covenant, (g) any latent
or hidden defect.

x)xi) There is no legal bar or restriction or impediment or decree


judgement or any other order having been made or passed
affecting the said Properties or any part thereof or the title /
interest of the Vendors thereto;
xi)
xii) All original documents of title in respect of the said
Properties are in the exclusive possession and custody of the
Vendors and no other person or entity has any right or
entitlement in respect of the same.

xii)xiii) The Vendors have duly made upto date payment of the
Khajana in respect of the said Properties;

C. Pursuant to an understanding between the parties and based on


the afore-mentioned representations and assurances made and/or
given by the Vendors and upon the Purchaser becoming fully and
completely satisfied with the clear and marketable title of the
Vendors upon conducting independent title due diligence, the
Purchaser has agreed to purchase from the Vendors and the
Vendors have respectively agreed to sell to the Purchaser the said
Properties free from all Encumbrances and liabilities together-with
khas physical peaceful vacant exclusive possession of the said
Properties.

D. The Purchaser has at or before execution of this Deed of Sale paid


to the Vendors the entire amount of the mutually agreed
consideration and has called upon the Vendors and each of them
to grant this conveyance in favour of the Purchaser.

I. NOW THIS INDENTURE WITNESSETH that in pursuance of the


said agreement and in consideration of the sum of
Rs.3,24,82,928/=(Rs._________/=(Rupees Three crores twenty

the Vendors at or before the execution hereof (the receipt whereof
the Vendors do and each of them doth hereby as also by the
receipt and memo of consideration hereunder written admit and
acknowledge and of and from the payment of the same and every
part thereof acquit release and forever discharge the Purchaser
and the properties benefits and rights hereby granted sold
conveyed transferred assigned and assured or expressed or
intended so to be) the Vendors do and each of them hereby
indefeasibly unconditionally and absolutely grant sell convey
transfer assign and assure unto and to the Purchaser All That the
said Properties, fully mentioned and described in the Schedule
hereunder written, each Vendor selling conveying and transferring
its respective property in respective Parts of Schedule, with all
their respective right title and interest to own hold possess use and
enjoy the same Together With the respective right title and
interest whatsoever or howsoever of the respective Vendors in the
respective Dags owned by such Vendor in the said Properties and
also in all roads, paths and passages leading to and/or abutting
and/or appertaining to the said Properties and/or meant for
beneficial use and enjoyment of the said Properties Together
With all and singular the intangible assets edifices fixtures gates
courts courtyards compound areas sewers drains ways paths
passages fences hedges ditches trees walls water courses lights
and all manner of former and other rights liberties benefits
privileges easements quasi-easements appendages and
appurtenances whatsoever belonging or in any way appertaining
thereto or reputed or known to be part or parcel or member
thereof which now is or are or heretofore were or was held used
occupied or enjoyed therewith Together With all legal incidents
thereof AND reversion or reversions remainder or remainders and
rents issues and profits thereof and all and every part thereof AND
all the raiyati and other estate right title interest use trust property
claim and demand whatsoever both at law or in equity of the
Vendors and each of them into out of or upon the properties
benefits advantages and rights hereby granted sold conveyed
transferred assigned and assured or expressed or intended so to
be Together With all deeds pattahs muniments writings and
evidences of title in anywise relating to or connected with the said
Properties or any part thereof which now are or is or hereafter may
be in possession power custody or control of the Vendors or any of
them or any person or persons from whom the Vendors or any of

them can or may procure the same without any action or suit at
law or in equity To Have And To Hold the same unto and to the
use of the Purchaser absolutely and forever for a perfect and
indefeasible estate of inheritance in fee simple in possession
without any manner of condition use trust or other thing
whatsoever to alter defeat encumber or make void the same and
free from all Encumbrances and liabilities whatsoever or
howsoever.

II. THE VENDORS DO AND EACH OF THEM DOTH HEREBY


COVENANT WITH THE PURCHASER as follows:

(i) That notwithstanding any act deed matter or thing by the Vendors
or any of them done committed executed or knowingly permitted
or suffered to the contrary the Vendors are now lawfully rightfully
and absolutely seized and possessed of and/or otherwise well and
sufficiently entitled to the properties benefits and rights hereby
granted sold conveyed transferred assigned and assured or
expressed or intended so to be without any manner of
encumbrances charges conditions uses trusts or any other thing
whatsoever to alter defeat encumber or make void the same;

(ii) And That the Vendors or any of them have not at any time done
or executed or knowingly suffered or been party or privy to any act
deed matter or thing whereby the properties benefits and rights
hereby granted sold conveyed transferred assigned and assured or
expressed or intended so to be or any part thereof can or may be
impeached encumbered or affected in title or possession;

(iii) And That notwithstanding any act deed or thing whatsoever done
as aforesaid the Vendors have now in themselves good right full
power and absolute authority and indefeasible title to grant sell
convey transfer assign and assure their respective properties
benefits and rights hereby granted sold conveyed transferred
assigned and assured or expressed or intended so to be unto and
to the Purchaser in the manner aforesaid according to the true
intent and meaning of these presents;

(iv) And That the properties benefits advantages and rights hereby
granted sold conveyed transferred assigned and assured or
expressed or intended so to be now are free from all
Encumbrances and liabilities whatsoever or howsoever made or
suffered by the Vendors or any of them or any person or persons
having or lawfully rightfully or equitably claiming any estate or
interest therein through under or in trust for the Vendors or the
Vendors' predecessors-in-title.

(v) And That the Purchaser shall or may at all times hereafter
peaceably and quietly hold use possess and enjoy the properties

benefits and rights hereby granted sold conveyed transferred


assigned and assured or expressed or intended so to be and
receive the rents issues and profits thereof without any lawful
eviction interruption claim or demand whatsoever from or by the
Vendors or any of them or any person or persons having or lawfully
rightfully or equitably claiming as aforesaid and free and clear and
freely and clearly and absolutely acquitted exonerated and
discharged from or by the Vendors or any of them and all person or
persons having or lawfully rightfully or equitably claiming as
aforesaid .

(vi) And That the Vendors and all person or persons having or lawfully
rightfully or equitably claiming any estate or interest in the
properties benefits and rights hereby granted sold conveyed
transferred assigned and assured or expressed or intended so to
be through under or in trust for the Vendors or any of them or the
Vendors' predecessors-in-title shall and will from time to time and
at all times hereafter at the request and costs of the Purchaser do
and execute or cause to be done and executed all such acts deeds
and things for further better and more perfectly assuring the
properties benefits and rights hereby granted sold conveyed
transferred assigned and assured or expressed or intended so to
be unto and to the Purchaser in the manner aforesaid as shall or
may reasonably be required by the Purchaser.

(vii) And Also That it is hereby declared recorded and confirmed by


the Vendors that the Vendors are hereby conveying unto the
Purchaser all and whatever their respective rights title and interest
in the respective Dags owned by them respectively comprised in
the said Properties to the end and intent that with effect from this
day the Vendors shall stand fully divested of all their respective
rights title and interest in all such respective Dags and the
Purchaser alone shall be the full and absolute owner thereof and in
case any share right title or interest be found to be vested in the
Vendors, then the same shall also be deemed to have been
transferred and conveyed in favour of the Purchaser by these
presents itself.

III. AND THE VENDORS DO AND EACH OF THEM DOTH HEREBY


FURTHER DECLARE AND ASSURE THE PURCHASER as follows:

i) All Land Revenue and taxes in respect of the said Properties


accruing upto the date hereof shall be for and to the account of the
Vendors and thereafter the same shall be borne and paid by the
Purchaser.

IV. The Purchaser hereby covenant with the Vendors as follows:-

(a) The Purchaser shall not be entitled to raise any dispute on


the title of the Vendors to their respective Properties.

(b) The Purchaser shall make payment of all rates, taxes, cess,
land revenue and outgoings for and in respect of the said
Properties at all times after the date hereof.

c) The money paid towards Consideration or any part thereof is


not “Proceeds of Crime” as defined under Prevention of
Money Laundering Act and/or the same is not in violation of
any provisions of Income Tax Act and in respect to the same
the Purchaser.
