ARTICLE OF PARTNERSHIP

GOLDEN SPOON CATERING SERVICES, LTD.
KNOW ALL MEN BY THESE PRESENTS:
That we, the undersign, all of legal age and residents of the Philippines have agreed to
form a Limited Partnership under the following terms and condition and subject to the
provisions of existing law of the Republic of the Philippines.
AND WE HEREBY CERTIFY:
ARTICLE I: That the name of Partnership shall be:
Golden Spoon Catering Services, LTD.
ARTICLE II: That the principal place of this Partnership is located at Malipayon Village
Blk. 6, Barangay Tiza, Roxas City, Philippines
ARTICLE III: That the names, citizenship, residence and designation of the partner of said
partnership are as follow:

ARTICLE IV: That the term for this said partnership is to exist is 10 years from the original
recording of its Article of Partnership by the Securities and Exchange Commission.
ARTICLE V: That the purpose of this said partnership is formed as follows:
1. To conduct business related to Catering Services
2. To conduct Catering Services for all occasion; and
3. To engage business that is related to Catering Event and Services.
ARTICLE VI: That the capital of the partnership shall be five hundred thousand, Philippine
Currency contributed in cash by the partners as follows:

ARTICLE VII: That the profit and loses shall be divided in proportion among partners.
ARTICLE VIII: That there should be any additional contribution made by limited partnership,
such must be agreed by all the partner in writing and duly recorded by at least five(5) days after
the signing of the agreement.
ARTICLE IX: That the contribution of the limited partner may be returned to her five(5) years
after the original recording of the partnership by the Securities and Exchange Commission.
ARTICLE X: That the remaining general partner or partners have right to continue the
business in cases of death, retirement, insanity or insolvency of a general partners.
ARTICLE XI: That the business shall be under the management of Alyssa Rose Buhayan as
General Manager and such as she shall be in charge in the management of the partnership. The
other partner can be represent in the meeting, event and for collaboration.
ARTICLE XII: That the partners willingly undertake the change the partnership name of the
partnership immediately upon receipt/notice of the Securities and Exchange Commission that
other partnership, corporation or person has been declare misleading, confusingly
similar to a registered name or contrary to public morals or public policy.
