Training Delivery:
o The organization will customize hainiDg content to meet the specific treeds ofdifferent
industries, ensuritrg rclevance and applicability.
o AdvanceTech Shall conduct the end-user training deliveries within specifrc time
frames as mentioned in
the proposal or with a prior intimation by tbe
client/AdvaDceTech- lr
o AdvanceTech"will deploy training resouc€s for the delivery & management ofaaining
as per the defined couse curriculum.
Article 3; Focalyt's Resporsibilities:
l. In recognition of Focal''t's efforts to generate sales in K-12, higher education private and co!{.
iDstitutions, Industries, etc.
2. Focalyt Shall be responsible for business acquisition across various products & verticals as
agreed upon between Focallt & A&"nceTech tecbrclogies.
3, Focalyt actively collaborate in promoting and selling innovation lab.
4. Customer Support & Engagement:
Focalrt vrill take the lead in engaging with customers across rzrious sectors, including
€ducation, K-12, and manufacturing, to promote the adoption of Futue tecbnologies.
The company will provide ongoing support to clients, helping them maximize iie benefits
of the

5. F€€dbsck snd Improv€ment:
Focalyt wiU gather f€€dback from training+articipanb and industy stakeholdcrs to identit
areas for improvement in both the technology and haining programs.
This feedback will be shared with AdvanceTech to facilitat€ co inuous imDrovement and
innovation.
Ardcle 3.1! OEM prlclng Sharlng Agreement
l. Focslyt shall raise a purchas€ order to AdvanceTech at rates agreed upon as per auexure l.
2. Focalyt shall invoice the end user/client directly as per Foca\rt pricing policy.
3. Both parties shall muiually redew the pricing at least every quarterly and shall agree upon
any revisions in writing.
Article 4: Efrective drt€ ond drrrtion of the MOU
The MOU is valid for two yea$ fiom the date of Signing by both parties.
Article 5: Intellectud Property Rightr
Rights regarding publicatioqs, patenls, royalty, owrcrship of software/design/product develop€d, etc.
under the scop€ ofthis MOU, will belong to AdvanceTech.
Article 6: Confidentirlity
Dudng the tenue ofthe MOU, both Focalyt and AdvanceTech will maintaiu strict confidentiality and
plevetrt disclosue of all the information and data exchanged under the scope of this MOU for any
purpose other than following this MOU.
Article 7: Amendments
Any amerdmefi and/or addenda to the MOU shall be in writing and signed by the PARTIES hereto
aad shall ooly after such execution be deemed to form part of the MOU and have th€ effect of
modirying the MOU to the extetrt rcquired by such amendment or addenda.
Article 8: Termlnatlon:
Either party may tenninate this MoU by providing 30 days' written notice to the otler
subject to fulfillihg any outstanding obligations

Article 9r Governing Lrw rnd Jurfudiction
Any disputes arising utrder or in conqection with this MOU shall be subject to the exclusive
jurisdiction ofthe courts of Chandigarhrlr,lohali, Punjab, India.
This MOU represetrts thc entire utrde.standing befiveen Focalyt and Course Partner regarding their
parttrelship and supersedes all prior discussiors, reprEsentatioos, or agre€rnents, whether wftteu or
oral.
