Dear Mr. Shivakant

With reference to your application and subsequent interview with us, we are pleased to appoint you as
International Query Manager – Arabic & English in our organization on the following terms and conditions.

Date of Joining: 22nd January 2024

Gross Salary: Your fixed salary will be Rs. 24,000 per month. Each month’s salary will be disbursed on 7th of
the following month.

Taxation: The gross salary above includes taxation as per the Indian laws. The requisite amount will be
deducted from your salary and net-salary will be transferred.

Leave: You will be eligible to the benefits of the company’s leave rules from day one in the company’s
services. Detailed HR policy will be shared separately with you.

Full Time Position: Your position is a full time employment with the company and you are expected to
devote yourself exclusively to the business of the company. The timings will be mutually decided on joining.

Moonlighting Policy: During the period of your employment with the company, you will devote full time to
the work of the company. You will not take up any part time employment in any company or start any
business of your own. You are expected to protect all the data including our prospective and existing clients’
contact and medical information. Any misuse of such information or by-passing the company will attract
immediate termination and legal action. On instance of breach of this clause, you will not be entitled any Full
and Final or that month’s salary.

Appraisal Process: Performance based salary review would happen for you at the end of Six Month from
joining date.

Notice Period: Though we would never like that but in case for any reason you want to leave the
organization you have to give us a 30 days’ notice period in writing. If the notice period is not served then
you will have to pay an amount to the company equal to your 2 month’s salary or else the company has right
to take appropriate legal action against you. On discontinuation of association, you cannot be in Medical
Tourism industry (as an employer/employee) for a period of 12 months.

Severability Provision: The covenants of this Agreement shall be severable, and if any of them is held invalid
because of its duration, scope of area or activity, or any other reason, the parties agree that such covenant
shall be adjusted or modified by the court to the extent necessary to cure that invalidity, and the modified
covenant shall thereafter be enforceable as if originally made in this Agreement. Employee agrees that the
violation of any covenant contained in this Agreement may cause immediate and irreparable harm to the
Company, the amount of which may be difficult or impossible to estimate or determine. If Employee violates
any covenant contained in this Agreement, the Company shall have the right to equitable relief by injunction
or otherwise, in addition to all other rights and remedies afforded by law.

Conduct during stay


We expect you to have a good conduct while your stay in India. If anything adverse comes to our notice, we
will inform the relevant authorities in India.

Rules to follow:
1.Confidentiality & Non-Disclosure
a. You will be required to maintain utmost secrecy in respect of Project documents, commercial offer, design
documents, project cost & estimation, technology, software package license, company’s policies, company’s
patterns & company’s human assets profile. Upon joining us you undertake to provide appropriate measures
to keep such information confidential.
b. Any of our technical or other important information which might come into your possession during the
continuance of your service with us shall not be disclosed or made public by you even thereafter.
2. You will be required to comply with all such rules and regulations as the company may frame from time to
time.
3. If at any time in our opinion, which is final in this matter you are found non-performer or guilty of fraud,
dishonest, disobedience, disorderly behaviour, negligence, indiscipline, absence from duty without
permission or any other conduct considered by us deterrent to our interest or of violation of one or more
terms of this letter, your services may be terminated without notice and on account of reason of any of the
acts or omission the company shall be entitled to recover the damages from you.

4. Non-Competition Provision: The Employee specifically agrees that for a period of one year after the
Employee is no longer employed by the Company, the Employee will not engage, directly or indirectly, either
as proprietor, stockholder, partner, officer, employee or otherwise, in the same or similar activities as were
performed for the Company in any related business within India which distributes or sells products or
provides services similar to those distributed, sold, or provided by the Company at any time during the one
year or duration of employment (whichever is longer) preceding the Employee's termination of employment.

5. Non-Solicitation of Customers/ Clients Provision: Employee agrees that for one year after Employee is no
longer employed by the Company, Employee will not directly or indirectly solicit, agree to perform or
perform services of any type that the Company can render ("Services") for any person or entity who paid or
engaged the Company for Services, or who received the benefit of the Company's Services, or with whom
Employee had any substantial dealing while employed by the Company. However, this restriction with
respect to Services applies only to those Services rendered by Employee or an office or unit of the Company
in which Employee worked or over which Employee had supervisory authority. This restriction also applies to
assisting any employer or other third party.

6. Non-Solicitation of Employees Provision: For a period of one year from the date that Employee is no longer
employed by the Company, Employee shall not take any actions to assist Employee's successor employer or
any other entity in recruiting any other employee who works for or is affiliated with the Company. This
includes but is not limited to: (a) identifying to such successor employer or its agents or such other entity the
person or persons who have special knowledge concerning the Company's processes, methods or
confidential affairs; and (b) commenting to the successor employer or its agents or such other entity about
the quantity of work, quality of work, special knowledge, or personal characteristics of any person who is still
employed at the Company. Employee also agrees that Employee will not provide such information set forth
in (a) and (b) above to a prospective employer during interviews preceding possible employment.

7. This appointment letter is being issued to you on the basis of the information and particulars furnished by
you in your application, at the time of your interview and subsequent discussions if it transpires that you
have made a false statement or have not disclosed a material fact resulting in your being offered this
appointment, the Management may take such action as it deems fit in its sole discretion, including
termination of your employment.

8. You will be responsible for safekeeping and return in good condition and order of all company property,
which may be in your use.
