This FREELANCE AGREEMENT, CONFIDENTIALITY, NON-DISCLOSURE,
NON-COMPETE AGREEMENT (herein after referred to as“Agreement”)is dated
[ ]
BETWEEN
[KyriacosLeontiou](hereinafterthe“Client”); AND
[REYNALDO CAYA](hereinafterthe“Freelancer”).
WHEREAS
1. TheClientwishestoengagetheFreelancertoprovidespecificservicesasoutlined in this
Agreement.
2. In connection with the freelance services, the Freelancer will have access to
confidentialandproprietaryinformationbelongingtotheClientand/oritsclientsand other
contractors.
3. TheClientandFreelancerdesiretodefineandrestricttheFreelancer’shandling,
disclosure, and post-engagement use of such information to protect the Client’s
interests.
NOWITISTHEREFOREAGREEDASFOLLOWS:
1. Definitions
Permitted Purpose: The services and deliverables agreeduponbytheFreelancerand the
Client, which may change by mutual agreement during the term of the engagement.
Confidential Information: Any information relating to the Client’s business plans, financial
data, strategies, products, services, client data, personnel, relationships, trade secrets,
intellectual property, or other proprietary information disclosed to the Freelancer.

Non-Compete: Prohibition against engaging in activities directly or indirectly competitive
with the Client’s business during and after the freelance engagement as specified herein.
EffectiveDate:TheFreelancer’sstartdateofserviceprovision.
2. FreelanceEngagement
The Freelancer agrees to provide the services as outlined as an appointment setter starting
from [03/10/2025].
TheFreelancer’scompensationshallbe:
$200permonthsalary
$25perappointmentshown
$50perclientsigned
Workinghours:7amest to 4pm est,Monday to Friday.
,payable no later than the end Of the month schedule.
Either party may terminate this agreement by providing thirty (30) days’ written notice. The
Client reserves the right to terminate the engagement immediately for just cause, including
but not limited to violations of this agreement or failure to perform contracted services.
The Freelancer acknowledges that they are an independent contractor and not an
employee of the Client. The Freelancer is solely responsible for all applicable taxes,
insurance, and other obligations.
3. ConfidentialityandNon-Disclosure
TheFreelanceragreestouseConfidentialInformationsolelyforthePermittedPurpose.
The Freelancer shall not, without prior written consent of the Client, disclose Confidential
Information to any third party or use it for personal or unauthorized purposes during or after
the engagement.
Upon termination of the engagement, the Freelancer shall return all documents, materials,
and other property containing Confidential Information in anyformattotheClient

withoutretainingcopies.
The Freelancer acknowledges that any unauthorized use or disclosure of Confidential
Information will cause irreparable harm to the Client and agrees that the Client may seek
injunctive relief in addition to other remedies.
4. Non-CompeteandNon-Solicitation
The Freelancer agrees thatforaperiodofeighteen(18)monthsfollowingterminationof the
engagement, the Freelancer shall not:
(a) Engage directly or indirectly in any business substantially similar to or competitive with
the Client’s business within the geographical area where the Client operates.
(b) Solicitoracceptbusinessfromanyclient,agent,orinvestorwithwhomtheClient conducted
business within the twenty-four (24) months preceding the termination date.
(c) Employ or solicit any employee or contractor of the Client to terminatetheirrelationship
with the Client or to join a competitor.
The Freelancer acknowledges that this clause is reasonable and necessary to protect the
Client’s legitimate business interests.
5. IntellectualProperty
Allworkproduct,inventions,designs,ormaterialscreatedbytheFreelancerforthe Client during
the engagement shall remain the sole property of the Client.
TheFreelanceragreestoassignanyintellectualpropertyrightsarisingoutofthe services provided
to the Client and assist in securing such rights if requested.
6. ConflictofInterest
The Freelancer shall avoid situations where personal interests conflict with the Client’s
interests. Any potential conflict must be disclosed immediately.
Anybreachofthisclausemayresultinimmediateterminationandlegalorfinancial consequences.

7. TerminationandSurvivalofObligations
Uponterminationoftheengagement,allprovisionsrelatedtoconfidentiality,non-disclosure, non-
compete, and intellectual property shall survive.
TheClientreservestherighttorecoverdamages,costs,orlegalfeesresultingfrom breaches of this
agreement.
8. Miscellaneous
Anyamendmentstothisagreementmustbeinwritingandsignedbybothparties.
Ifanyprovision of this agreement is deemed invalid or unenforceable, the
remainingprovisions shall remain in full force.
Thisagreementshallbegovernedbyandconstruedinaccordancewiththelawsof
Cyprus.
The parties acknowledge that theyhavehadtheopportunitytoseeklegaladvicebefore signing
this agreement and agree to its terms as fair and reasonable.
