Acceptance of the Terms and Conditions

These terms and conditions are entered into by and between You and E8 Funding LLC ("E8," "we," or
"us"). The following terms and conditions, together with any documents they expressly incorporate by
reference (collectively, "Terms and Conditions"), govern your access to and use of E8Funding.com,
including any content, functionality and services offered on or through E8Funding.com (the "Site"),
whether as a guest or a registered user.

Please read the Terms and Conditions carefully before you start to use the Site. THESE TERMS AND
CONDITIONS INCLUDE MANDATORY ARBITRATION AND A CLASS ACTION WAIVER. By
using the Site or by clicking to accept or agree to the Terms and Conditions when this option is made
available to you, you accept and agree to be bound and abide by these Terms and Conditions and our
Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms and

provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you

Payment

While we offer portions of the Site for free, we do charge for certain features and content. When paid by
you, these payments are final and non-refundable. E8, in its sole discretion, may offer credits or refunds on
a case-by-case basis including, by way of example, in the event of an error with your order or in the
amounts you were charged.

E8 will charge, and you authorize E8 to charge, the payment method you specify at the time of purchase. If
you pay any amounts with a credit card, E8 may seek pre-authorization of your credit card account prior to
your purchase to verify that the credit card is valid and has credit available for your intended purchase.

E8 reserves the right to establish, remove, and/or revise prices, fees, taxes, and/or surcharges for any or all
services or goods obtained through the use of the Services at any time. Regardless of the cause, E8 reserves
the right to charge the final price after checkout, including without limitation all applicable transaction
taxes.

If you sign up for any automatically renewing subscriptions, you may terminate your subscription prior to
the next renewal term and you will be responsible for all payment of the then applicable term.

Intellectual Property Rights

The Site and its entire contents, features and functionality (including but not limited to all information,
software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are
owned by E8, its licensors or other providers of such material and are protected by United States and
international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights
laws.

These Terms and Conditions permit you to use the Site for your personal, non-commercial use only. You
must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform,
republish, download, store or transmit any of the material on our Site, except as follows:
  Your computer may temporarily store copies of such materials in RAM incidental to your
accessing and viewing those materials.
 You may store files that are automatically cached by your Web browser for display enhancement
purposes.
 You may print one copy of a reasonable number of pages of the Site for your own personal, non-
commercial use and not for further reproduction, publication or distribution.
 If we provide desktop, mobile or other applications for download, you may download a single
copy to your computer or mobile device solely for your own personal, non-commercial use,
provided you agree to be bound by our end user license agreement for such applications.

and slogans are trademarks of E8 or its affiliates or licensors. You must not use such marks without the
prior written permission of E8. All other names, logos, product and service names, designs and slogans on
this Site are the trademarks of their respective owners.

Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms and Conditions. You
agree not to use the Site:

 In any way that violates any applicable federal, state, local or international law or regulation
(including, without limitation, any laws regarding the export of data or software to and from the

which, as determined by us, may harm E8 or users of the Site, or expose them to liability.
Additionally, you agree not to:

 Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere
with any other party's use of the Site, including their ability to engage in real time activities
through the Site.
 Use any robot, spider or other automatic device, process or means to access the Site for any
purpose, including monitoring or copying any of the material on the Site.
 Use any manual process to monitor or copy any of the material on the Site, or for any other
purpose not expressly authorized in these Terms and Conditions, without our prior written consent.
 Use any device, software or routine that interferes with the proper working of the Site.
 Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or
technologically harmful.
 Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Site, the
server on which the Site is stored, or any server, computer or database connected to the Site.
 Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
 Otherwise attempt to interfere with the proper working of the Site.

User Contributions

The Site may contain message boards, chat rooms, forums, and other interactive features (collectively,
"Interactive Services") that allow users to post, submit, publish, display or transmit to other users or other
persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the
Site.

All User Contributions must comply with the Content Standards set out in these Terms and Conditions.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By
providing any User Contribution on the Site, you grant us and our affiliates and service providers, and each
of their and our respective licensees, successors and assigns the right to use, reproduce, modify, perform,
display, distribute and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

 You own or control all rights in and to the User Contributions and have the right to grant the
license granted above to us and our affiliates and service providers, and each of their and our
respective licensees, successors and assigns.
 All of your User Contributions do and will comply with these Terms and Conditions.

You understand and acknowledge that you are responsible for any User Contributions you submit or
contribute, and you, not E8, have fully responsibility for such content, including its legality, reliability,
accuracy and appropriateness.

We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions
posted by you or any other user of the Site.

Monitoring and Enforcement; Termination

The term of this agreement commences when you create your account or otherwise use this Site, and your
acceptance and will continue in effect until terminated by you or E8 as set forth in this section.

You may cancel your account at any time through your account settings. You will be charged in full for the
then applicable term.

We have the right to:

  Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
 Take any action with respect to any User Contribution that we deem necessary or appropriate in
our sole discretion, including if we believe that such User Contribution violates the Terms and
Conditions, including the Content Standards, infringes any intellectual property right or other right
of any person or entity, threatens the personal safety of users of the Site or the public or could
create liability for E8.
 Disclose your identity or other information about you to any third party who claims that material
posted by you violates their rights, including their intellectual property rights or their right to
privacy.
 Take appropriate legal action, including without limitation, referral to law enforcement, for any
illegal or unauthorized use of the Site.
 Terminate or suspend your access to all or part of the Site for any or no reason, including without
limitation, any violation of these Terms and Conditions, you create risk or possible legal exposure
for us, your account should be removed due to unlawful conduct, or our provision of the Services
to you is no longer commercially viable.

E8 reserves the right to remove your account information along with any account settings from our servers
with NO liability or further notice to you. Upon termination of your account. your license to use E8
services terminates.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities
or court order requesting or directing us to disclose the identity or other information of anyone posting any
materials on or through the Site. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS
AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM
ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF
ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF
INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the Site, and cannot ensure prompt
removal of objectionable material after it has been posted. Accordingly, we assume no liability for any
action or inaction regarding transmissions, communications or content provided by any user or third party.
We have no liability or responsibility to anyone for performance or nonperformance of the activities
described in this section.

Content Standards

These “Content Standards” apply to any and all User Contributions and use of Interactive Services. User
Contributions must in their entirety comply with all applicable federal, state, local and international laws
and regulations. Without limiting the foregoing, User Contributions must not:

 Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing,
violent, hateful, inflammatory or otherwise objectionable.

that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy.

 Promote any illegal activity, or advocate, promote or assist any unlawful act.
 Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or
annoy any other person.
 Impersonate any person, or misrepresent your identity or affiliation with any person or
organization.
  Involve commercial activities or sales, such as contests, sweepstakes and other sales promotions,
barter or advertising.
 Give the impression that they emanate from or are endorsed by us or any other person or entity, if
this is not the case.

Copyright Infringement

E8 complies with the Digital Millennium Copyright Act (DMCA). E8 will remove infringing materials in
accordance with the DMCA if properly notified that content infringes copyright. If you believe that your
work has been copied in a way that constitutes copyright infringement, please notify E8's Copyright Agent
by email at Support@E8Funding.com. Please do not send notices or inquiries about anything other than
alleged copyright infringement or other intellectual property claims to our Agent for Notice. Your email
must contain the following information (please confirm these requirements with your legal counsel, or see
the U.S. Copyright Act, 17 U.S.C. §512(c)(3), for more information):

 an electronic or physical signature of the person authorized to act on behalf of the owner of the
copyright interest;
 information reasonably sufficient to permit us to contact you, such as an address, telephone
number, and, if available, an e-mail address;
 a description of the copyrighted work that you claim has been infringed;
 a description of where the material that you claim is infringing is located on the Services, sufficient
for E8 to locate the material; your address, telephone number, and email address;
 a statement by you that you have a good faith belief that the disputed use is not authorized by the
copyright owner, its agent, or the law; and
 a statement by you that the information in your notice is accurate and, under penalty of perjury,
that you are the copyright owner or authorized to act on the copyright owner's behalf.

If you fail to comply with these notice requirements, your notification may not be valid. Under the
Copyright Act, any person who knowingly materially misrepresents that material is infringing or was
removed or disabled by mistake or misidentification may be subject to liability.

In accordance with the DMCA, E8 has adopted a policy of, in appropriate circumstances, terminating User
accounts that are repeat infringers of the intellectual property rights of others. E8 also may terminate User
accounts even based on a single infringement.

Counter-Notice

If you believe that your content that was removed (or to which access was disabled) is not infringing, or
that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the
law, to post and use the material in your content, you may send a written counter-notice containing the
following information to the Copyright Agent: (1) Your physical or electronic signature; (2) Identification
of the content that has been removed or to which access has been disabled and the location at which the
content appeared before it was removed or disabled; (3) A statement that you have a good faith belief that
the content was removed or disabled as a result of mistake or a misidentification of the content; and (4)
Your name, address, telephone number, and email address, a statement that you consent to the jurisdiction
of the federal court in El Paso County, Texas, and a statement that you will accept service of process from

Copyright Agent, E8 may send a copy of the counter-notice to the original complaining party informing
that person that it may replace the removed content or cease disabling it in 10 business days. Unless the
copyright owner files an action seeking a court order against the content provider, member or user, the
removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of
the counter-notice, at E8’s sole discretion.
