MEMORANDUM OF UNDERSTANDING
The following Memorandum of Understanding, henceforth to be called the MOU, conducted between:
Yellow & Grey
(Henceforth to be referred to as the ‘Advertising Agency First Party’)
&
C Square Consulting
(Henceforth to be referred to as the ‘Contracting Party Second Party’)
This MOU should in effect cover the following working areas between the First party and the Second
party:
(A)
The Advertising agency agrees to provide services, based on their communications on the subject to the
Second Party and as per the points in their formal proposal and attached financial outline for a
contractual period of six months starting June 1st 2016. The contract shall be renewed on a mutual
agreed basis if necessary.
The retainer charges will be PKR 30,000 per month (Please note that this amount has to be paid in
complete to the first party net of all taxes). This amount is in effect until renewal of agreement and until
an annual revision in contract is done. This does not include any other services except in the attached
and appendices financial proposal.
-Said services include those attached in the synopsis and proposal submitted and are annexed to this
agreement as Appendix “A”.
-The vending party agrees to provide the following in terms of kind for service disbursed:
· To consider the nature of the work being as highly confidential and not to be discussed under any
circumstances with any outside parties.
· To partake work with the contract party and have timely deliverables according to timelines discussed.
-The second party agrees to provide the following in terms of kind for service disbursed:
· Continuous update on work flow management.
· Timely communications in case of any work allotted.
· To clear any dues for work as quoted by the first party and agreed upon by the second party.
· To keep the outlines or structure of this contract completely confidential from the market or
competitor organizations both related to vending or contracting party sectors.
(B)
The second party and first parties are to sit down and agree to a manageable time framework, with time
allowances, for any works allotted outside of the venues of this contract.
(C)
In case there is a resolvable communication error, both parties and representatives of both parties are
to immediately call a meeting and clear the issue so as to avoid future occurrence again.
(D)
In case of mismanagement due to some unavoidable calamity, in the case of any party, time allowance
should be granted, provided the problem is communicated in time, otherwise the responsibility to be
laid on the shoulders of the said party.
(E)
In case any of the parties want to end the contract a ninety-day notice period is required from either
side to wrap up any work on any current project.
(F)
In case of disagreement a mutually agreed upon arbitrator should be asked to resolve the issue, or both
parties may dialogue and do the same.
(G)
This MOU is signed on this day of June 1st 2016, as a confirmation to all details discussed.

Scope of Services

· All required material to be communicated 2 days before delivery.
· Monthly meetings with key personnel.

· 2D designs as per requirement.
Payment Structure
Retainer to be cleared 50% by 10th of the month, and 50% at the end of the month.
