February 2025 at 2-67, RAYABHUPALAPATNAM, EAST GODAVARI, PEDDAPURAM, ANDHRA
PRADESH, INDIA, 533437
The Board was informed that at the request of the Company, Samunnati Finance Private Limited,
a NBFC incorporated under the Companies Act, 2013 and having its Corporate office at No.129B,
Baid Hi-Tech Park, 7th Floor, ECR, Thiruvanmiyur, Chennai - 600041 and having branch office
amongst other places (hereinafter referred to as "SFPL") has sanctioned a Short Term Loan -
Output loan (credit facility) upto a maximum principal amount of Rs 40,00,000/- (Rupees Forty
Lakhs Only) to the Company, on the terms,conditions and the securities as mentioned in the
sanction letter dated 10oth February 2025 bearing reference number SFPLðFPO/0202/2024-25 &
SRN:SF/5281/FPO/10022025-09022026 (the "Sanction Letter") and as may be stipulated by SFPL
from time to time.
The Board passed the following Resolutions:
Resolved That:
1. The Company be and is hereby authorised to avail of from SFPL the credit facility, as
mentioned in the Sanction Letter, by whatever name called whether granted upto a
maximum principal amount of Rs 40,00,000/- (Rupees Forty Lakhs Only) in the aggregate,
("the credit facilities") on the terms, conditions and securities as mentioned in the
Sanction Letter and as may be stipulated by SFPL from time to time and to furnish / create
the said securities in favour of SFPL.
2. The persons named in the Schedule `A' hereunder written ("Authorised Persons"), any of
them severally, is/are authorized inter alia to do the following acts, deeds and things in
the name and on behalf of the Company;
i. Togive, accept, confirm, make out, draw, execute, endorse, discount, negotiate,
pay, satisfy, withdraw, discharge, issue and transfer all and any sanction letter/s of
SFPL, cheques, drafts, bills of exchange, promissory notes (internal and foreign),
hundies, bonds, dividend or interest warrants, letters of credit, bills of lading.
delivery orders, policies of insurance, negotiable or transferable instruments,
agreements, security documents, declarations, undertakings, writings, indemnities
and allrenewals and/or amendments thereto and also all acknowledgment/s or
confirmation of debt and/or security and deposit the title deeds of immovable
properties of the company as specified in sanction letter of SFPL for the purpose of
creation of securities, as SFPL may require from time to time in connection with /
for the said credit facilities and also to operate any or allof the credit faility
account(s) maintained by the Company with SFPL.

ii. To open accounts (including escrow account) with the SFPL and to charge (in the
form and substance acceptable to the SFPL) such account in favour of the SFPL,as
required by SFPL.
3. The Company do request MS. JILLEDU DIVYA DEEPTHI, MR. NALLALA NAGENDRA and
MR. PAMPANA SATYANARAYANA to offer and execute guarantee in favour of SFPL to
guarantee and to secure the repayment of the credit facilities granted/to be granted to
the Company together with interest, cost, and expenses and other charges thereon.
4. BThe Company do file the requisite particulars of charge/s with the Registrar of the
Companies, ROC Vijayawada in respect of the securities provided/to be provided to
secure the credit facilities after execution of respective documents within the time
prescribed by law.
5. Acopy of the above resolutions be furnished to the certified as true copy by the NALLALA
NAGENDRA, JILLEDU DIVYA DEEPTHIof the Company and that the SFPL is authorised to
act and rely upon these resolutions.
