INVESTMENT AGREEMENT
This Agreement is made effective as of the 28TH of October 2024.
Between:
--------------------------------- aged about 36 years, residing at
----------------------------------------------------------------------------, (the Investor) of ONE PART
And
------------------------------------------------------------------- (the Business Partner) of THE OTHER,
Both Parties being together referred herein as “the Parties”
WHEREAS
a. the Business Partner is in the business of infrastructure development and contracting.
b. the Business Partner being in need of INR. 10,00,000 /- (Rupees Ten Lakhs only), approached
the Investor, for an investment for a period of about One year (hereinafter “The
Investment”)
c. the Investor is in a position to advance the said sum to the Business Partner and is amenable
to do so;
NOW THIS AGREEMENT WITNESSES AND THE PARTIES HERETO AGREE AS FOLLOWS:
1. Investment Amount
The investor will hand over to the Business partner a sum of INR 10,00,000 /- (Rupees Ten
Lakhs only) by cheque no. (000086), to the account of
2. Purpose of Investment
The investment amount has been made available to the Business Partner for the purpose of
working capital to service specific orders and the Business Partner undertakes not to divert
the same for any other purpose without the prior written consent of the Investor.
3. Tenure of Investment
The Business Partner shall complete repayment of the investment at any time from the date
of this agreement.

4. Consideration for the Investment
The Investment shall not attract any Interest or Dividend.
5. Maintenance of Accounts and Records
The Business partner agrees to maintain proper account and records of the proposed
transaction in a clear and transparent manner and present them for monitoring and
inspection to the investor, till such time that the Investor continues to have an interest in the
realizations from the investment.
6. Change in Constitution
The Business Partner shall ensure that no change is made in the constitution of the
organization of the Business Partner except for reasons beyond the control of the Business
Partner in which case the Business Partner shall inform the Investor within thirty days of
such change.
7. Termination of Agreement and Recall of Investment
The Agreement can be terminated:
a. Mutually at the end of the Tenure and repayment of the Investment along with the
compensation as envisaged in this Agreement.
b. By the Investor, in the event of occurrence of an event of default and the same
remaining unaddressed.
c. By the Business Partner, in the event of occurrence of unforeseen circumstances
causing cancellation or inordinate delay in execution of the proposed utilization of
the investment amount.
8. Default & Cure of Default
An event of default shall be assumed to have occurred if there is a willful breach of any of
the clauses of this Agreement by the Business Partner, and after the Investor serving a
notice on the Business Partner to remedy the breach within a period of 7 calendar days and
the breach continuing un-amended even beyond the period of notice. In case of occurrence
of an event of default by the Business Partner, the Investor will have the right to
immediately recall the Investment, even if not then due and seek additional remedies
available under law.

9. Arbitration
The Parties hereto agree that in the event of any dispute between the Parties regarding the
subject of this Agreement, the Parties shall refer the dispute to arbitration under the Indian
Arbitration and Conciliation Act the decision given by the said arbitrator shall be final and
binding on the Parties to the dispute.
10. Jurisdiction
The Parties agree that this Agreement shall be subject to the laws of India and the courts in
Chennai shall have exclusive jurisdiction in all disputes.
