DH and HS shall be individually referred to as a “Party” and collectively referred to as the
“Parties”.

DH and HS agreed to sign this Sales contract for purchasing of Fresh banana fruits.
DH 与 HS 经协商一致，同意签署本销售合同，以购买新鲜香蕉水果。
The terms and conditions of shipment are as following:
运输的条款与条件如下：

Article 2. Payment
第二条 付款条款
2.1. Payment shall be paid by T/T in advance before shipment in favor of the Seller’s bank as
below:

Article 3. Delivery
第三条 交货条款
3.1. Means of transport: By truck/train from Vientiane Province, Laos to Mohan, Railway port,
China

3.1.运输方式：通过卡车/火车从老挝万象省运至中国磨憨铁路口岸。
3.2. Place of receipt: Vientiane Province, Laos.
3.2. 收货地点：老挝万象省。
3.3. Shipping schedule: April 2025.
3.3. 运输计划：2025 年 4 月。
Article 4. Force Majeure
第四条 不可抗力
4.1. If, due to occurrence of an event such as war, floods, typhoon, fire, strikes, earthquake or
other Force Majeure which is unforeseeable, unavoidable and insurmountable, the Seller delays
or fails to make delivery of the commodity, or the Buyer delays or fails to take delivery of the
commodity, neither the Seller nor the Buyer shall be responsible for such delay or failure to
make or take delivery.
4.1. 若因战争、洪水、台风、火灾、罢工、地震或其他不可预见、不可避免且无法克服的不可
抗力事件发生，导致卖方延迟或未能交付货物，或买方延迟或未能接收货物，则卖方或买方均
不对交货的延迟或未能交付或接收货物承担责任。
4.2. However, the party purporting Force Majeure shall advise the other party in writing
immediately upon the occurrence of the Force Majeure event and shall, within 14 days after the
occurrence of the Force Majeure event, provide the other party with a certificate of the Force
Majeure issued by the competent governmental authorities of the place where the Force
Majeure occurred as evidence thereof.
4.2. 然而，声称发生不可抗力事件的一方应在不可抗力事件发生后立即以书面形式通知另一方，
并应在不可抗力事件发生后的 14 天内，向另一方提供由不可抗力发生地主管政府部门出具的不
可抗力证明作为证据。
4.3. In the event the “Force Majeure” causes last over 30 days, the Buyer shall have the right
to cancel the contract or the part of the contract in respect of the undelivered commodity.
4.3. 如果不可抗力事件持续超过 30 天，买方有权取消本合同或与未交付货物相关的合同部分。
Article 5. Dispute Resolution Provisions
第五条 争议解决条款
5.1. The conclusion, validity, interpretation, performance, modification, suspension and
settlement of disputes of the Contract shall be governed by the laws of the People's Republic
of China.
5.1. 本合同的订立、有效性、解释、履行、修改、暂停以及争议的解决应受中华人民共和国法
律的管辖。
5.2. Any dispute arising from or in connection with this Contract shall be submitted to China
International Economic and Trade Arbitration Commission （ CIETAC ） Southwest Sub-
commission for arbitration which shall be conducted in accordance with CIETAC's arbitration
rules in effect at the time of applying for arbitration. The arbitral award is final and binding
upon both parties.
5.2. 因本合同引起或与本合同有关的任何争议，应提交中国国际经济贸易仲裁委员会（CIETAC）
西南分会进行仲裁，仲裁应根据申请仲裁时有效的 CIETAC 仲裁规则进行。仲裁裁决为终局，对
双方具有约束力。
Article 6. Other conditions
第六条 其他条款
6.1. Any amendment and alternation to this Sales contract are valid only after written
confirmation by both sides.
6.1. 对本销售合同的任何修改或变更，须经双方书面确认后方可生效。
6.2. This Sales contract shall be effective as of the date of being signed and sealed by
representatives or authorized officers of both parties. A copy of this original Sales contract sent
by email or message (Zalo/Wechat) has the same legal effect.

6.2. 本销售合同自双方代表或授权人员签署并盖章之日起生效。通过电子邮件或信息（Zalo/微
信）发送的本合同副本具有同等法律效力。
6.3. This Contract is concluded in duplicate in English, each copy of equal value to be held by
the Seller and the Buyer.
6.3. 本合同以英文两份形式订立，每份具有同等法律效力，由卖方和买方各持一份。
