CONSTRUCTION AGREEMENT
This Construction Agreement (hereinafter
referred to as the "Agreement") is made and entered into
on this 01day of October, 2024, by and between:
Excalibur Hotels and Banquets Private Limited, a company
incorporated under the Companies
Act, having its registered office at NH07, Harpal Nagar, Bathinda,
Punjab (hereinafter referred to as
the "Company"), which expression shall, unless
repugnant to the context, mean and include its
successors and assigns.
AND
RS Contractor, having its principal place of business at Mini
Secretariat Road, Bathinda, Punjab
(hereinafter referred to as the "Contractor"), which expression shall, unless
repugnant to the
context, mean and include its successors and assigns.
WHEREAS:
1. The Company is desirous of constructing a Hotel Building (hereinafter referred to as the
"Building") at NHO7, Harpal Nagar, Bathinda, Punjab.
2. The Contractor is engaged in the business of construction and has the
necessary expertise,
equipment, and labor for carrying out such work.
3. The Company has agreed to engage the Contractor for the
construction of the Building, and the
Contractor has agreed to undertake the construction work on the terms and conditions set forth in
this Agreement.
1. Scope of Work
1.1. The Contractor shall be responsible for the construction of the
Building using its expertise,
equipment, and labor.
1.2. The Company shall provide the necessary construction materials, including but not limited to
cement, steel, etc.
1.3. The Company shall provide the Contractor with detailed structural designs, layouts, and other
necessary plans based on which the Contractor shall construct the Building.
2. Payment Terms
The payment shall be calculated based on the surface area of the roof slab of each floor at the
following rates:

3. Additional Terms and Conditions
3.1. The banquet hall with duplex height shall be charged at 1.5 times the normal rate, as the roof
slab will be at the height of two normal slabs.
3.2. All slab areas shall be measured for billingpurposes, except the dome area, which runs from the
ground floor to the sixth floor.
3.3. The Contractor shall undertake plastering outside the Building at no additional cost.
3.4. If the boundary wall hasa complex design, its rate shall be mutually decided later.
3.5. The provision of electricity at the construction site shall be the responsibility of the Company.
3.6. In the event of a power outage, arranging a generator or an alternative power source shall be
the responsibility of the Company.
3.7.If any work arises outside the scope of the drawings provided by the Company, the rate for such
work shall be mutually decided later.
3.8. In case of any mishap resulting in injury or loss of life of any person/laborer employed by the
Contractor, the entire responsibility shall rest with the Contractor.
3.9. Since the labor shallbe engaged by the Contractor, the Contractor shall be solely responsible for
all matters related to labor, including but not limited to wages, safety, and compliance with labor
laws.
3.10 The entire work of construction of building shall be completed by the Contractor in atime
frame of 12 months from the date of agreement subject to condition that the Company provides the
construction materials as required by the Contractor in time.
3.11 The contractor is only liable for doing civil work which will not include the Plumbing, Electrical
Fittings Etc.
3.12 The payment tothe Contractor will be made by the Company after completion of the casting of
ceiling slab of each floor up to the amount due as per the above table by the way of

Cheque/RTGS/UPI or other legally acceptable means in the account details provided by the
Contractor. The Contractor may also be paid in cash up to the limit allowed as per the Income Tax
Act or any other applicable Law(s).
3.13 1f due to some reason or by mutual understanding between theCompany and Contractor,The
Company decides to get some particular work done froma specific person/labour/group of persons
which is in the scopeof this agreement, The company shall pay that person directly by the means of
Cheque/RTGS/UPlor any other legally acceptable means.
4. General Terms
4.1. This Agreement shall be effective from the date mentioned above and shall remain in force until
the completion of the construction work unless terminated earlier by mutual agreement.
4.2. Any disputes arising out of or in connection with this Agreement shall be resolved through
arbitration, as per the Arbitration and Conciliation Act, 1996, with the arbitration proceedings held
in Bathinda.
4.3. This Agreement constitutes the entire understanding between the parties and supersedes any
prior agreements, whether written or oral.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first
above written.
