AGREEMENT FOR NCC SMART ERP SYSTEM

WHEREAS
• Both client = Hiran Jayatilake and c-lento CEO Ranidu Subashitha agree to the
terms of this agreement.
NOW, THEREFORE, the parties agree as follows:
Scope of Work
• The Developer agrees to provide the following software services as per the
Client’s requirement for NCC Smart ERP:

• Super Admin Panel: Creation and management of companies, admins, and
assigning access rights.
• Admin Panel: Profile management, user creation, and module access control.
• Sales Management Module: Customer categories, quotations, invoicing, and
reporting.

• inventory Management Module: Stock management, item, and service tracking.
• Job Card Management Module: Creation of job cards, assignment of work staff,
and tracking progress.
• -HR Management Module: Employee creation, attendance tracking, and payroll
setup.
• Accounts Management Module: Income and expense tracking, financial reports,
and invoicing.
2. Project Milestones
• The development of the NCC Smart ERP will be completed in the following stages,
3. Project Cost
• The total cost for the development of the NCC Smart ERP system is 280000LKR ,
to be paid in accordance with the milestone completion schedule outlined
above.

4.Payment Terms
• Additional charges are incurred for each new requirement.
• Initial Payment: 20% upfront payment upon signing this Agreement.
• Milestone Payments: The remaining amount will be paid progressively upon
the successful completion of each milestone.
• Payments shall be made within 7 days of the Client receiving the invoice for
each milestone.
5. Delivery Timeline
• System Design & Prototyping for 2 weeks, Backend & Frontend Development 7
weeks, Testing & Quality Assurance 1 week,
• from the signing of this Agreement. Specific delivery dates for each milestone
will be agreed upon between the Developer and the Client.
6. Support & Maintenance
• The c-lento agrees to provide 1 year of free technical support
postimplementation to resolve any bugs or system issues.
• After the first year, an annual maintenance some fee will be charged for
continued support and updates.
7. Confidentiality
• Both parties agree that any information disclosed during the term of this
Agreement related to the business, plans, technical specifications, or processes
shall remain confidential.

8. Intellectual Property Rights
• Upon full payment, the ownership and intellectual property rights of the
developed software will be transferred to the Client. both agree to add right as
developed by c-lento & powered by ncc.However, the Developer retains the
right to use any generic, non-client-specific components or techniques for
future projects.
9. Termination
• Either party may terminate this Agreement with a written notice of 30 days. In
case of termination:
• The Client will be liable to pay for any completed milestones.
• Any incomplete work will be handed over in its current state, and no further
development will be performed.
10. Dispute Resolution
• In case of disputes arising out of this Agreement, both parties agree to resolve
them amicably.
