Subject: Job Offer Letter

Dear Sudhakar K,

We are pleased to offer you the position of Scrum Master at Stackly. We were highly
impressed with your skills and experience, and we look forward to having you on our team.
Below are the terms and conditions of your employment:

1.​ Position and Reporting: You will be designated a Scrum Master and report to Mr.
Dan Rodney.
2.​ Date of Joining: Your joining date will be 19.05.2025.
3.​ Compensation: Your total annual compensation will be 12,00,000 as detailed in
Annexure I. Stackly provides a detailed breakup of your salary components for
transparency and clarity.
4.​ Work Location: Your work location is primarily Work from Home (WFH), but you
may need to travel to the office for client meetings when required.
5.​ Terms and Conditions: Your employment will be subject to Stackly’s policies and
procedures as outlined in Annexure II.
6.​ Probation and Confirmation: You will be on a probation period of 3 months, after
which your employment will be confirmed based on your performance.
7.​ Benefits and Perks: Annexure III provides details regarding benefits such as health
insurance, leaves, and other perks.
8.​ Confidentiality and Non-Compete Clause: You will be required to adhere to the
confidentiality and non-compete agreements as per Annexure IV.

9.​ Termination Clause: The terms of termination and notice period are outlined in
Annexure V.
10.​Code of Conduct: You are expected to adhere to Stackly’s ethical and professional
standards, as outlined in Annexure VI.
11.​Working Hours and Leave Policy: Details regarding working hours, overtime policies,
and leave structure are included in Annexure VII.
12.​Training and Development: Your training and development programs will be detailed
in Annexure VIII.
13.​ESI and PF: Annexure IX in your document provides details about Provident Fund
(PF) and Employee State Insurance (ESI), statutory benefits for employees in India.
14.​Miscellaneous Terms: Other company-specific policies and guidelines are included in
Annexure X.

Annexure I – Compensation Details

Your compensation includes a base salary, performance-based bonuses, and additional


benefits. The salary structure is designed to be competitive and aligned with company
policies. Incentives and bonuses will be awarded based on performance metrics and company
profitability. Employees will also receive allowances for travel and communication expenses.
Deductions will be made as per applicable statutory requirements. Any future revisions in
compensation will be subject to company policy and market trends.

Annexure II – Company Policies

Stackly expects all employees to adhere to its code of conduct, ensuring a professional and
ethical work environment. Policies on attendance, leave, and workplace behavior are clearly
outlined in the employee handbook. Employees must comply with all safety regulations and
report any workplace hazards. The company promotes an inclusive workplace and does not
tolerate discrimination. Regular performance reviews will be conducted to assess growth and

areas of improvement. Non-compliance with company policies may result in disciplinary

Annexure III – Benefits and Perks

Annexure IV – Confidentiality and Non-Compete Agreement

Employees must maintain the confidentiality of company information, including trade


secrets, client data, and proprietary technology. Sharing sensitive information outside the
organization without authorization is strictly prohibited. Employees are not allowed to engage
in any business that competes with Stackly during and after employment for a specified
period. Breach of these terms may lead to legal consequences and termination. The company
reserves the right to take appropriate action if any violations occur. These policies ensure
business security and the protection of company interests.

Annexure V – Termination Clause

Either party may terminate employment with prior notice as per the contractual agreement.
Stackly reserves the right to terminate employment without notice in cases of gross
misconduct. Employees resigning must serve the required notice period or be compensated
instead of notice. Exit formalities, including the return of company assets, must be completed
before the final settlement. Any disputes arising from termination will be addressed as per
company policies. Severance pay may be provided in exceptional circumstances as per legal
requirements.

Annexure VI – Code of Conduct

Employees are expected to maintain professionalism, integrity, and ethical behavior at all
times. Harassment, discrimination, and workplace misconduct will not be tolerated under any
circumstances. Employees must respect their colleagues, superiors, and clients in all
interactions. Personal use of company resources should be limited and in compliance with
company policies. Any violations of the code of conduct will be subject to disciplinary
action. Stackly encourages an open-door policy to address employee grievances effectively.

Annexure VII – Working Hours and Leave Policy

1. Working Hours

• Standard working hours: Monday to Friday, 9:30 AM – 6:30 PM (including a 1-hour lunch
break).

• Employees are expected to work 40 hours per week.

• Flexible working arrangements may be available with prior approval.

• Overtime must be pre-approved by the manager and will be compensated as per company
guidelines.

2. Leave Policy

a) Annual Leave

• Employees are entitled to 24 days of paid annual leave per year.

• Leave requests must be submitted at least 2 days in advance and approved by the manager.

• Unused leave may (or may not, depending on company policy) be carried forward to the
next year.

b) Sick Leave

• Employees are entitled to 12 days of paid sick leave per year.

• A medical certificate is required for absences longer than 5 consecutive days.

c) Public Holidays

• The company observes all national and regional public holidays.

• If an employee is required to work on a public holiday, compensatory leave or additional


pay will be provided.

d) Maternity & Paternity Leave

• Maternity leave: 12 weeks of paid leave as per labor laws.

• Paternity leave: 45 days of paid leave.

• Extended unpaid leave may be considered on a case-by-case basis.

e) Emergency / Bereavement Leave

• Employees may take 3 days of leave in case of a family emergency or the death of an
immediate family member.

f) Unpaid Leave

• Additional unpaid leave may be granted at the discretion of management.

Annexure VIII – Training and Development

Stackly invests in employee growth through structured training programs and workshops.
New hires undergo an onboarding process to familiarize themselves with company policies
and culture. Continuous learning is encouraged through mentorship programs and skill
development courses. Employees may be nominated for external training and certification
programs. Feedback from training sessions is gathered to enhance learning opportunities.
Career advancement opportunities are provided based on individual performance and
potential.

Annexure IX – ESI & PF Consideration

As per statutory requirements, your PF contributions will commence from your first month of
employment. After completing three months of continuous employment with the company,
you will be enrolled under ESI benefits. Contributions to PF will be made as per government
regulations and company policy. Employees will be notified of the enrollment process upon
meeting eligibility criteria.

Annexure X – Miscellaneous Terms

This section includes provisions for workplace safety, remote work policies, and dispute
resolution. Stackly reserves the right to modify policies as per business needs and regulatory
changes. Employees are encouraged to provide feedback to improve workplace culture and
efficiency. Conflict resolution mechanisms are in place to address grievances professionally.
Periodic audits will be conducted to ensure policy compliance. Any clarifications regarding
policies can be sought from the HR department.
