TERMS AND CONDITIONS OF CONTRACT

1. Scope of the Contract

1. -

& erection of PEB Structure with painting of structure as defined in the bid specifications, with
all their primary-members, secondary-members, fittings, supports, roof, cladding, canopies &
facade sheets, flashing, trims, gutter, ridge-ventilators, turbo-ventilators, down take and all
fixtures , fasteners and material as detailed in the specifications.
2. Whenever it is stated in this contract that such and such a supply is to be effected or such
and such a work is to be carried out, or provided it shall be understood that the same shall be
effected/carried out by the Supplier within the contract price, unless a different intention is
specifically and expressly stated herein or otherwise explicit from the context.
3. Completeness of the Pre-engineered buildings shall be the responsibility of the Supplier.
Any structural member, fittings, and accessories which may not be specifically mentioned in
the specification or drawings, but which are usual or necessary for the satisfactory functioning
of Structure & its parts & structural members (successful operation and functioning of the
Pre-

2. Codes and Standards

The pre-engineered buildings supplied and erected under this contract shall be design as per
American codes and loading is to be consider as per IS Standard conform to the Indian
Standards and standards mentioned in the Technical Specifications. (Seismic load & Wind load
to be considered as per IS Standard).

3. Materials and Workmanship


The materials and workmanship shall meet the requirements of relevant Standards and good
engineering practices. In any case, the material shall be the best grade obtainable and the
most suitable and proven for the purpose intended in accordance with the modern practices.
All material shall be new.
Minimum basic steel material thickness of flange & web of Primary Members (Columns,
Rafters, Girders & portal or cross bracings) shall not be less than 5mm thick to avoid early
deterioration of steel structure.
All Girts & Purlins will be cold rolled sections with Galvanized coating 275 Gram per Square
Meter. Thickness of Girts & purlins shall be 1.5 mm minimum
All primary & secondary structural members of buildings & all type of stiffeners which shall be
provided to any structural member of any building, must have full length weld at all sides.

All PEB Primary & Secondary Structural Members / Components shall be of 345 MPA yield
strength from TATA/SAIL/JINDAL with shot blasted & double coat of synthetic enamel paint of
approved shade from Asian paint, Berger or Dulux (dry film thickness of double coat 100
Micron) with one coat of rust proof primer. (Zink oxide)

One coat of enamel paint and primer should be done before material dispatch and one coat
of synthetic enamel paint shall be provided at site on erected structure.

Roofing & Cladding: - As specified in drawing

The supplier shall consider aluminum gutter minimum 2mm thick as per design & thickness
and galvalume colour coated down takes at columns with size per design. Overflow pipe in
the offer to be considered. Size of gutter and down take shall be designed by PEB supplier as
per rain intensity in that area. (min Rain fall intensity 100 mm per hour to be considered).

Sealant: Sealant used for cladding shall be butyl based two parts poly sulphide or equivalent
approved, no staining material and be flexible enough not to interface with fit of the sheets.
Closures: Solid or closed cell closures matching the profiles of the panel shall be installed
along the eaves, rake and other locations.

Flashing and Trim: Flashing and / or trim shall be furnished at the rake, corners, eaves, and
framed openings and wherever necessary to provide weather tightness and finished
appearance, Color shall be matching with the color as per approved colour code. Material
shall be 0.5 mm thick conforming to the physical specifications of sheeting

4. Documents, Drawings and Instruction Manuals

The Supplier will be required to furnish all the necessary drawings, data etc. of the buildings
ndicated below.

All drawings submitted for approval shall contain the name of the Purchaser, Name of the
Consultant, Project Title, Drawing Title, Scale, and Supplier Drawing Number, Date of Drawing
etc. in the lower right hand corner.

4.1. Drawing & Documents Schedule:


Following drawings /documents shall be provided along with order acceptance for approval
/review to Purchaser /Consultant:

a. 3 Sets.

b. Working /erection drawings - 3 Sets.

c. Type Structural Stability certificates for Information 3 Sets

5. Packing

The Supplier shall provide such packing of goods as is required to prevent their damage or
deterioration during transit to their final destination as indicated in the Contract. The packing
shall be sufficient to withstand, without limitation, rough handling during transit and
exposure to extreme temperatures, salt and precipitation during transit and open storage.
Unloading, stacking of supplied material is the responsibility of supplier. The weight of
wooden packing material shall not be considered in PEB material weight, the payment of PEB
material will be done after deducting packing material weight only.

6. Delivery Schedule It will be finalized by Client / PMC at the time of contract signing*.

Supplier will submit the 3D Model stadd file and anchor bolt plan for approval to the
Consultant within 5 days from date of issue of the letter of intent or purchase order. GA
drawing will be submitted in 5 days from the date of approval of anchor bolt plan and staad
files. Consultant will return the accepted approval drawings within 5 days from date of
submission of drawings.

Supplier will be delivered all buildings foundation bolts & required templates at site within 5
days from the date of AB Plan

Fabrication, Supply, Painting & Erection of primary & secondary members will be completed
within 40 days from date of Approval of Drgs. & Erection of primary & secondary members
and including the entire roofing, cladding, deck sheeting and completion of building in all
respect As per agree schedule

Supply, fixing of roofing, cladding, gutters & down takes will be in the scope of PEB Supplier.

Structural inspection will be jointly carried out by Purchaser, Consultant & Supplier. Structural
stability certificate will be issued by Supplier within 7 days from date of completion.

7. Default

Default by Supplier shall include any of the following:

Negligence to execute Works under the Contract with due diligence and expedition by the
Supplier or negligence or refusal to comply with any reasonable orders given in writing by the
Purchaser / Engineer to the Supplier;

A petition is filed for the winding up, bankruptcy or insolvency of the Supplier which is not set
aside or stayed within 45 days of filing or the Supplier enters into a compromise or a scheme
of arrangement with its creditors, or carries on business under a receiver, trustee or manager
for the benefit of its creditors;

Abandonment of this Contract or the Works;

Suspension of Work for reasons other than those specified under Clause Delivery Schedule
either at the commencement of the Contract or during the progress of Work there under for
15 days or more;

1.2 Default by the Purchaser or the Engineer shall include any of the
following:
(i) Failure to issue a certificate of payment without cause or failure to make any of the
payments, when due;
(ii) A petition is filed for the winding up, bankruptcy or insolvency of the Purchaser which
is not set aside or stayed within 45 days of filing or the Purchaser enters into a
compromise or a scheme of arrangement with its creditors, or carries on business
under a receiver, trustee or manager for the benefit of its creditors;
(iii) Suspension of Work for reasons other than those specified under Clause Delivery
Schedule, either at the commencement or during progress for 15 days or more;
(iv) Any material breach of its obligations under the Contract;

that it is a notice under this Clause and specifying the default.
Upon serving of a notice under Clause Delivery Schedule, the Defaulting Party shall be entitled
to remedy the default complained of, within a period of thirty (30) days or such longer period
specified in the Notice by the Non-Defaulting Party.

8. Suspension
Suspension by Supplier: The Supplier shall be entitled to suspend the Work by giving a
notice of 15 days to the Purchaser, if-
(i) The Purchaser/Engineer fails to issue a certificate for payment, upon proper
application by the Supplier, without showing reasonable cause under the terms of the
Contract, or
(ii) The Purchaser fails to make any payment that is due for payment as per Clause Terms
Of Payment
Suspension of Work by Purchaser:
(i) The Purchaser reserves the right to suspend and reinstate performance of the whole
or any part of the Contract without invalidating the provisions of the Contract. The
Purchaser shall issue all orders for suspension or reinstatement of the Work under the
Contract to the Supplier in writing.
(iii) Any necessary and demonstrable costs incurred by the Supplier as a result of such
suspension of the Works shall be payable by the Purchaser provided such costs are
approved in terms of Clause Terms of Payment.

9. Termination
Notwithstanding anything contained in this Contract, the non-defaulting Party in case of (i)
and (iii) below and the affected Party in case of (ii) below may terminate this Contract by

(i) A default as per Clause Delivery Schedule is not remedied within the period indicated
therein;
(ii) A Force Majeure event has occurred, which continues for a period beyond 15 days as
provided in Clause Delivery Schedule; or
(iii) For prolonged suspension of Work for a period exceeding 15 days.

Purchaser shall pay to Supplier


(a) The amount payable in respect of any preliminary items so far as the work or service
comprised therein has been carried out and an appropriate proportion of any such
item in which the work comprised has only been partially carried out or performed
duly certified by the Purchaser/Engineer
(b) The cost of materials or goods for the Works or for use in connection with the Works/
the amount of any other expenditure, which in the circumstances was reasonably
incurred by the Supplier in the expectation of completing the Works, duly certified by
the Purchaser/Engineer based on documentary evidence.

Purchaser may take-over the Works and may complete any Work pending under the Contract
on its own or by other vendor/Supplier and recover the cost of such completion from the

Purchaser shall pay to the Supplier only for the Pre-engineered buildings accepted by the
Purchaser, after adjusting the cost incurred by the Purchaser towards getting the pending
Work completed. If the cost of completing the Work pending under the Contract or executing
a part thereof, exceeds the balance Contract Price due to the Supplier at the time of
termination, the Supplier shall indemnify the Purchaser and pay such excess amount to the
Purchaser, within 30 days of demand being made by the Purchaser.

10. No Waiver of Rights


Neither any inspection by the Purchaser or the Engineer, nor any order, instruction, direction
or issue of any certificate by the Purchaser or the Engineer for payment of money, or any
payment for or acceptance of, the whole or any part of the Works by the Purchaser or the
Engineer, nor any extension of time, nor any possession taken by the Purchaser, nor any

exercise by the Purchaser of the rights of the Supplier shall operate as a waiver of any
provision of the Contract or of any power herein reserved to the Purchaser or any right to
damages herein provided, nor shall any waiver of any breach in the Contract be held to be a
waiver of any other or subsequent breach, or amount to a Variation, except in compliance
with Clause Termination.

11. Certificate Not To Affect Liability of Supplier


No interim payment certificate of the Purchaser or the Engineer, nor any sum paid on account
by the Purchaser, nor any extension of time for performance of the whole or any part of the
Contract granted by the Purchaser or the Engineer shall affect or prejudice the rights of the
Purchaser against the Supplier or relieve the Supplier of its obligations for the due
performance of the Contract or be interpreted as approval of the Work done or of the Pre-
engineered buildings furnished and no certificate shall create liability in the Purchaser to pay
for any alterations, amendments, variations or additional Pre-engineered buildings, except
pursuant to Clause Technical Specifications or discharge the liability of the Supplier for the
payment of damages whether due, ascertained, or certified or not or any sum against the
payment of which he is bound to indemnify the Purchaser.

12. Settlement of Disputes


Any disputes or differences including those considered as such by only one of the parties
arising out of or in connection with the Contract shall be to the extent possible settled
amicably between the Parties.
If amicable settlement cannot be reached then all disputed issues shall be settled by
arbitration as provided in Clause below.

13. Arbitration

All disputes, or differences whatsoever arising between the parties out of / relating to the
construction, meaning and operation or effect of this Contract or breach hereof which cannot
be settled through mutual negotiations in good faith shall finally be settled by arbitration in
the manner hereinafter provided.
The arbitration shall be conducted in accordance with the provisions of the Indian Arbitration
shall be conducted in accordance with the provisions of the Indian Arbitration Act, 1996 or
any statutory modification thereof. The venue of arbitration shall at Nashik (Maharashtra).

14. Inspection and Testing

14.1 Pre-engineered buildings specified by this specification shall be provided with Supplier's

different stages of manufacture at fabrication Shops and to ensure the quality of component &
materials used in manufacturing process.
14.2 Purchaser/Consultant reserves the right to visit Supplier's manufacturing facilities for
the purpose of reviewing the status of the manufacturing process at random or periodic
interval.
15. Performance Guarantee
If the performance of the pre-engineered buildings fail to prove the guarantee set forth in the
specification, Supplier shall investigate the causes and provide free of cost to
Purchaser/Consultant within one-month period to prove the guarantees.

If Supplier fail to prove the guarantee within the one month period, Purchaser shall have the
option to take over the pre-engineered buildings and rectify, if possible, the pre-engineered
buildings to fulfill the guarantees and or to make necessary additions to make up the
e incurred by the Purchaser in this regard

Purchaser and shall be valid for the entire defects liability period. If the manufacturer does
not issue such guarantees, the Supplier shall guarantee the brought out items for the entire
defects liability period along with this guarantee for the structural stability of the buildings &
water leakage proof roofing & cladding system.

16. The Supplier will provide the Purchaser with all the addresses and particulars of his SUB-
vendors or erecters while placing the order on vendors for erection of structures covered
under the Contract and will further ensure with his vendors that the Purchaser, if so
desires, will have the right to place order for erection, directly on them on mutually
agreed terms based on offers of such vendors.

17. Transit Insurance: It shall be in the scope of Supplier.

18. Instructions, Design, Directions and Correspondence

All instructions and orders to Supplier shall, accepting what is herein provided, be given by
Purchaser and/or Consultant, in writing or by mail.

All the work shall be carried out under the direction of and to the satisfaction of
Purchaser/Consultant.

All communications, from Supplier, including technical-commercial clarification and/or


comments shall be addressed to Purchaser with a copy to Consultant and shall always bear
reference to the Contract.
Design of structure is the responsibility of Supplier; Consultant will cross check the proofs
only.

Gas cutting is strictly prohibited for any kind of holes belonging or any other types
rectification in prefabricated steel member delivered at site.

19. Warranty /Guarantee

Structural stability of building, quality of fabrication of all structural members with all
accessories & all type if components, quality of erection & quality of used materials shall be
guaranteed for trouble free operation for a period of 50 years from the date of completion, &
leakage proof roofing & cladding shall be guarantee for a period of Five years. Any defect
discovered during this period shall be rectified free of cost by supplier.

20. Force Majures

This includes delays due to any war, hostilities, act of public enemy, civil commotion, strikes,
lockouts, rebellion, revolution, insurrection or military or unsurpassed power, sabotage, fire,
floods, explosions, epidemics, quarantine restrictions, earthquakes, damage by air craft and
acts of God or any case for which purchasers are responsible for the delay in execution /
completion of work by Supplier; neither party shall, by reasons of such eventuality, be
entitled to terminate this contract nor shall have any claims for damages against the other in
respect of such nonperformance and deliveries under this contract shall be refunded as soon
as practicable after such eventuality has come to an end or exist. The above-mentioned Force
Majuro events shall not include constraints, which could prudently be foreseen like shortage
of power, non-availability of raw materials, difficulties in making transport arrangements etc.

21. Consequential Damage

Not with standing anything contained in any other provision of this Contract, but subject to
the provisions of this Contract, no party shall be liable to the other Party for any special or
indirect or consequential damages and for any loss of revenue, loss of profit, loss of use, loss
of power, costs of capital or costs of replacement power, loss resulting from the liability of
the party to any other person or for any financial or economic loss.

22. Supplier will depute senior site engineer & supervisor at site from start date of erection
up to completion of the works in all respect.

Supplier will depute full time supervisor at site to cross check the accuracy of position &
location of foundation bolts while fixing of bolts & concreting of foundation or pedestal of
civil work.

23. Deductions from the Contract

The Purchaser shall claim from the Supplier all costs, damages, expenses or other liabilities
that the Purchaser may incur for which the Supplier is liable under the Contract and Supplier
is failed to do so in prescribed time. All such claims shall be billed by the Purchaser to the
Supplier regularly as and when they fall due. Such bills shall be supported by appropriate and
certified vouchers or explanations, to enable the Supplier to properly identify such claims.
Such claims shall be paid by the Supplier within twenty-eight (28) days of the receipt of the
corresponding bills (if not disputed by the Supplier) and if not paid by the Supplier within the
said period, the Purchaser may then, without further notice, deduct the amount, from any
monies due or becoming due by him to the Supplier under the Contract or may recover such
monies by actions of Law or otherwise.

24. Liquidated damages


If supplier fails to supply or erect building in all respect as per mutually agreed scope of works
and as per mutually agreed schedule, then 1% per week and maximum 5% of total contract
value of supply and erection will be treated as liquidated damages and it will be deducted or
recovered by purchaser from supplier at any payment stage as mentioned above. Subject to
causes of delay in works attributed to supplier and erector.

25. Type of contract


The contract will be treated as fixed price contract till completion of works in all respect and
price escalation will not be accepted and will not be paid extra due to fluctuation of basic
rates of any kind of steel materials, accessories, manpower wages, machineries, petrol,
lubricant and oil etc. complete. Basic rate of material will be not applicable for this tender.

26. Total tonnage


The supply and erection price has been fixed on the basis of total tonnage of all structures.
Fluctuation in total agreed tonnage of steel at positive (+) side will not be paid extra by EROS
ELEVATORS & ESCALATORS PVT. LTD Agreed % of fluctuation in total tonnage of agreed
supply is - 2% only.

If total agreed tonnage of all structures will fluctuate more than -2%(minus side) of agreed
tonnage then it will be recovered and deducted by purchaser from agreed cost of supply and

b. Structural steel shall be stored out of mud and dirt. Proper drainage of the storage
area shall be provided. These shall be protected from damage or soiling by adjacent
construction operations.
c. Fabricated steel shall not be handled until the paint has thoroughly dried. Care shall
be taken to avoid paint abrasions and other damage. Steel work shall be transported
in such a way so as not to over stress the fabricated sections. All pieces bent or
otherwise damaged shall be rejected and shall be replaced by the contractor at his
own cost.
d. The contractor to ensure that fabricated steel work is properly stacked such that all
joints of all members are either visible or accessible for inspection at all stages of
inspection work. Care should also be taken to ensure that fabricated members are not
subjected to stresses due to defective stacking.
e. Insulation and other water or dust sensitive materials shall be stored properly in
hard enclosure and with care to avoid damage.

31. Project Completion and Hand over :


a. Clearing of site and handing over of all the works, as directed by Engineer-In Charge,

32. Insurance against injury to Persons and Property

32.(1) Without Prejudice to his liability to indemnify the Owner under these Conditions, the
Contractor shall maintain and shall cause any Sub-Contractor to maintain:

be of such Sub-Contractor, in respect of injuries or deaths to employees or labor arising out of

or in the course of or caused by the carrying out of the Work and engaged in connection with the
Contract at the Site and elsewhere in India whilst engaged in business connected with the
Contract. The policy is to be further endorsed to extend cover to all workers upon the Site
including those who are not statutorily required to be insured under the Workmen's
Compensation Act and must be sufficient and adequate to meet any claim arising out of or in the
course of or by reason of the carrying out of the Works. and

32.(1) B. 3rd Party Liability Insurance, maintained in the joint names of the Owner, Contractor and
Sub-Contractors, as are necessary to cover the liability of the Contractor or as the case may be of
such Sub-Contractor, in respect of injury or damage to 3rd party property real or 3rd party
personal arising out of or in the course of or by reason of the carrying out of the Work.

33. Labour.
. The Contractor shall employ no child labour under 14 years of age on the work. No female
labour is allowed. No labourer shall reside within the compound except authorized guards.

BUILDING DESCRIPTION AND SCOPE:


Proposed Main Plant Building: Drawings showing Plans at various levels, Elevations, Sections and
other necessary building details are attached with this Tender.
The list of tender drawings is given in Section-I. Scope of work includes Designing, supplying &
erecting all the components of Steel Building as per the specifications and drawings. The Steel
Building components include
1. Structure for proposed Main plant as shown in the tender drawings.
2. Roof sheeting as showed in the tender drawings.
3. Side cladding sheets for external walls as showed in tender drawings.

5. All accessories like aprons pieces, corner pieces, ridges, clamps, bottom trims, facia cap, closure
trim, drip trim etc.
6. Structure as well as Sheeting for canopies (with framing) as shown in tender drawings.
7. All canopies shall be cladded at side and from ceiling with Color bond sheeting with provision of
Gutter, downspout, cutout for electrical fittings etc. as per approved details.
8. Foundation bolts for all columns along with required set of templates. Templates for bolts shall be
made with MS plate and shall have adequate stiffness to avoid sagging. Contractor to deploy his
supervisor to check & verify dimensional accuracy of anchor bolts including bolt levels before and
after concreting of pedestals. In case of minor deviation in bolt locations or levels, the Contractor
shall make necessary adjustments in base plate holes/structure after approval of Engineer.
9. Cage Ladders with locking system as shown in the drawings (having same color as of cladding
sheet) having small platforms with railing at intermediate levels and at top, to go up to the roof for

maintenance. Intermediate platform shall be located such that climbing height of cage ladder will not
exceed 6m.
10. Structural steel Framing and flashings/ fascia around the openings for fixing louvers, vents,
windows, doors, rolling shutters, etc. Considering the size of the Rolling shutters, attention shall be

11. Supply & erection of Rolling shutters, doors, AL. louvers, vents, windows, etc., which are to be
fixed in cladding sheet drawings. However,
structural framing required for fixing/ support the rolling shutters (along-with its housing) & doors
shall be in PEB members to be used for framed
opening of rolling shutters. Additional horizontal members for supporting the Housing shall also be
provided as per details of Rolling shutter supplier. The framed opening details shall be got approved
with Rolling shutter supplier.
12. Provision of Photovoltaic Solar panel fixing over roof sheets.
13. The utility racks passing along PEB columns supported on brackets at PEB column similarly, Cable
rack passing along PEB columns supported on PEB column as shown in the tender drawings.
Supporting structure consisting of beam, bracket and ties for
scope. The loads provided in the drawings are excluding self-weight of pipe rack / brackets /
supporting structure.
14. Bracings can be X- type bracings. Bracings shall be made with Hollow steel sections or Angle
sections only. MS Rods are not allowed for bracings. Location of braced bay to be decided at GA
approval stage.
15. The building shall be made reasonably dust proof by providing Foam Filler at following areas
Roof gutter and roof sheeting junctions Roof gutter and wall cladding junctions Cladding sheet and
brick wall junctions with drip trim Flashing and Sheeting junctions Ridge cap and roof sheet junction.
Any other junctions in the building which are prone to invite dust.
