MEMORANDUM OF UNDERSTANDING.

BETWEEN.

NSANGI ROBINAH NAKIGANDA, NAMUSISI NAKAYENGA HARRIET (NIN


NO. CF56047102Q9DF) & NAKIBUKA LUNKUSE CHRISTINE (NIN NO.
CF2104710529QH), Tel. Nos. 0708-706681 & 0700-773488, the appointed
Administrators of the estate of the late Yokana Muganga vide HCT-CIVIL SUIT NO. 38
OF 2019, arising from ADMINISTRATION CAUSE NO. 05 OF 2016, (Herein referred to
as the “1st Party”);

AND.

KABOGOZA SAIMON of P.O Box 6527, Kampala, Tel. No. 0784-510941 (Hereinafter
referred to as “the 2nd Party” which expression shall where the context so admits include
his Nominees, Agents, Successors in Title and Assignees) of the other part,

The Parties herein may be referred to individually as “the Party” and collectively as “the
Parties.”

RECITALS,

(a) WHEREAS, the 1st Party is the equitable owner, beneficiary and appointed
Administrators of the estate of the late Yokana Muganga, the original
registered proprietor of land comprised in Bugerere Block 121 Plot 60
situated at Kisombwa Kayunga District Measuring 44.492 Hectares.
(Hereinafter referred to as “the property”).

(b) WHERAS, the 1st Party has since recovered the above-mentioned land in
HCCS No. 038 of 2019 and is subject of an Appeal at Court of Appeal of
Uganda vide Appeal No. 421 of 2022 pending disposal.

(c) WHEREAS, the 1st Party is seeking to raise the necessary resources and
funds to finance to dispose of appeal, process Letters of Administration,
register the 1st party on the Certificate of title open boundaries for the land
comprised in Bugerere Block 121 Plot 60 situated at Kisombwa Kayunga
District Measuring 44.492 Hectares.

(d) WHEREAS, the 1st Party has approached the 2nd Party to offer the said
services and provide any funds necessary to facilitate the said matters in
terms of any fees payable to, survey or open boundaries, process Letters of
Administration, institute a suit if any, dispose of the Appeal, process
Certificate of title, pay costs if any, attend meetings, negotiations, pay
professional fees, Register the 1st Party on the Duplicate Certificates of title
if any and recover the interests of the 1st Party, in respect of the above
captioned estate property and settle any matter(s) and other related
documentation etc.

(e) WHEREAS, the 2nd Party has accepted instructions mentioned above in
relation to the matter’s incidental to the said estate property.

(f) WHEREAS, the Parties in this regard, both represent that they are
possessed with the necessary consent(s), authority and mandate to execute
this Memorandum of Undertaking pursuant to the terms and conditions set
hereunder;

IT’S NOW AGREED AS FOLLOWS;

1. The 1st Party upon by execution of this agreement hereby unequivocally


appoints 2nd Party to be the estate representative in the process of procuring
necessary services, resources and funds to finance, to do all acts in (b), (c),
(d) and (e) above.

2. In consideration of the above-mentioned duties and obligations to be


rendered by the 2nd Party, the 1st Party willingly undertakes to give 35% of
land or proceedings to the 2nd Party as his entitlement/interest out of the said
estate property in terms of expenses incurred by 2nd Party.

3. The rest of the beneficiaries shall have no claim or interest in the said portion
of land and or proceeds that has been surrendered to the 2nd Party and the 1st
Party as the appointed Administrators of the estate of the late Yokana
Muganga, the original registered proprietor of land herein above mentioned.

4. The Parties have agreed that the 1st Party shall immediately upon receipt of
the Duplicate Certificates of Title of the above captioned property, give the
2nd Party dully sign transfer & mutation forms and or deeds in favour of the
2nd Party for agreed portion of land from the said estate property.

5. The 1st Party shall take all necessary steps and cooperate fully with the 2nd
Party to ensure that the 2nd Party obtains his benefits of the portion of land

herein above mentioned and shall execute such documents and take such
other steps as are necessary and or appropriate for vesting in the 2nd Party all
his right(s) and interest(s) therein.

6. The Parties have agreed that no other Party shall be employed to perform the
same duties and obligation when this Memorandum of Understanding is still
in force in respect of the estate property of the late Yokana Muganga.

7. The Parties have agreed not to disclose any information in relation to this
Understanding to other third Parties and it should be kept secret.

8. This Memorandum of Understanding has been entered into without duress,


force and or undue influence.

9. This Memorandum of Undertaking has been explained to the parties and they
have understood the same before signing it.

10. This Memorandum of Undertaking shall only be terminated by mutual


agreement of both parties.

11. No contract varying, adding to, deleting from or cancelling this


Memorandum of understanding and no waiver of any right under this
Memorandum of Understanding shall be effective unless reduced into
writing and signed on by the parties.

12. This Memorandum of Understanding constitutes all the express provisions


agreed to by the Parties with regard to the subject matter of the
Understanding and the Parties waive the right to rely on any alleged express
provision not contained in this Memorandum of Understanding.

13. If any dispute or difference shall arise between the Parties concerning the
interpretation and or execution of this undertaking and the parties are unable
to solve it, it shall be referred to a competent Court of jurisdiction.

14. Each Party acknowledge that he or she has had an adequate opportunity to
read and study this Memorandum of Understanding and have considered the
same accordingly before signing it.

15. The laws of the Republic of Uganda shall govern this Memorandum
Understanding.
