AGREEMENT TO SELL
This deed of agreement to sell is executed at Gurgaon on this day of 2024.
                                 BETWEEN
(Hereinafter called the ‘FIRST PARTY’) of the one part.
                                         AND
called as the SECOND PARTY) of the other part.
The expression of the term FIRST PARTY and SECOND PARTY, wherever they occur
in the body of this agreement shall mean and include their respective heirs, successors,
legal representatives, administrators, executors and assignees etc.
     WHEREAS the First Party is the sole and exclusive rightful owner of Residential Unit
     No. MGH1/11-1104 on 11th Floor in Tower NO 11 and has purchased the said office
     space vide Vasika No. dated __________ respectively and the first party has now
     agreed to sell the right vested in the said property to the second party for a
     consideration of Rs 18903/- Sq. ft. all inclusive i.e. (Hereinafter called the
     PROPERTY).
                        NOW THIS AGREEMENT WITNESSETH AS UNDER:
1.   That the FIRST PARTY has agreed to sell convey their rights, interest, lines and titles
     of the above mentioned property and the SECOND PARTY has agreed to Purchase the
     above said PROPERTY for a total sale consideration mutually settled at Rs.

2.   That the SECOND PARTY has paid to the FIRST PARTY a sum of

     The FIRST PARTY admits and acknowledges the receipt of the aforesaid cheque. The
     balance sale consideration Amount of Rs----------------------- (Rupees--------------------------
     -------------------------------------------------------------------------) to the FIRST PARTY in full and
     final as after deducting the advance/earnest money shall be paid by Second Party to the
     First Party simultaneously with the nomination of the Second Party on or before 30 th
     May 2024.
4.   That the SECOND PARTY is empowered to get the property registered/transferred or
     get the sale completed through execution of the sale deed either in his /her name or in
     the name of its nominee or in the name of any other person for which the FIRST
     PARTY shall have no objection.
5.   That the FIRST PARTY assures the SECOND PARTY that any dues pending till the
     Date of Registration like interest, maintenance charges, Property (house) Tax and any
     other demerges in the records of M/s DLF Home Limited/ Government on account of
     the said PROPERTY, will be the liability of the FIRST PARTY.
6.   That the FIRST PARTY has assured the SECOND PARTY that the said property, is
     free from all sorts of encumbrances such as mortgage, sale, gift, exchange, court
     injunction etc. and if it is proved otherwise the FIRST PARTY shall be liable and
     responsible for all the damages sustained by the SECOND PARTY and will make good
     the same to the SECOND PARTY.
7.   All previous original documents /title deeds i.e. Original Buyers Agreement, Original
     Receipts, Original Allotment letter, possession letter and Conveyance Deed all other
     relevant documents in respect of the SAID PROPERTIES shall be handed over by the
     First party to the Second party at the time of the Full and Final payment on the date of
     Registration of the SAID PROPERTIES. The First Party has given the photocopies of
     the Conveyance deed pertaining to the SAID PROPERTY to the Second Party at the
     time of execution of this Agreement to Sell.
8.   That this agreement is irrevocable. If the SECOND PARTY fails to complete the
     transaction as said dated, the FIRST PARTY shall forfeit the earnest money paid by the
     SECOND PARTY and in the event of the FIRST PARTY refusing to transfer the above
     mentioned property due to any reason the SECOND PARTY shall specifically enforce
     this agreement through Court of Law at the expense of the FIRST PARTY or shall
     receive double the amount of earnest money.
9.   That the first party hereby assures the second party that he/she will co-operate in all the
     formalities for the registration of the said property in favor of the second party.
10. If any dispute arises in between the parties the same shall be referred to the court
    having jurisdiction in Gurgaon, Haryana.
11. That the SAID PROPERTY is held by FIRST PARTY as exclusive owners. The SAID
    PROPERTY is not a subject matter of any HUF and no part of the SAID PROPERTY is
    owned by any minor.
12. The FIRST PARTY has given the photocopies of the Commercial Unit Buyer’s
    Agreement Allotment Letter, the Payment Receipts, Possession Letter and will give
    copy of conveyance Deed pertaining to the SAID PROPERTY to the SECOND PARTY
    at the time of this Agreement to Sale, receipt of which is hereby acknowledged by the
    SECOND PARTY. The FIRST PARTY shall hand over all original documents pertaining
    to the SAID property including conveyance deed and maintenance agreement to the
    SECOND PARTY at the time of the Final Payment.
13. That pending completion of the sale, the FIRST PARTY neither shall enter into any
    agreement of sale or rent in respect of the said portions of the said property or any part
    thereof nor shall create any charge, mortgage, lien or any arrangement, in respect of
    the said portions of the said property in any manner whatsoever.
14. In the event of the last date of transaction falling on a Public Holiday, Saturday, Sunday
    or any other Holiday if declared by the Government, unforeseen natural calamities or
    force majeure event, the COURT refusing to execute the registry for any official reasons
    of their own, the last date would be extended to the next working day or as mutually
    agreed by both the Parties.
