We refer to your application for employment and the subsequent interview you had with COMODO
SECURITY SOLUTIONS Pvt. Ltd (“the Company”), we are pleased to make you an offer of employment
with the Company on the following terms and conditions (“Letter of Offer”). The offer of employment is
subject to your obtaining an appropriate release from your present employer and to you being medically
fit.

Your all-inclusive annual target compensation (on a cost to company basis) will be INR CTC/- (INR in
Words) which would comprise your salary, applicable statutory benefits, bonus/variable pay, if any,
and/or any incentives as applicable to you. Your fixed compensation shall be paid on a monthly basis, in
arrears. The Company shall deduct tax at source at the time of making payment.

The breakup of your all-inclusive annual target compensation given in Annexure II.

The following elements are included in the compensation package stated in Annexure II:

1. Provident Fund – You will be covered under the Employees’ Provident Fund (PF) scheme wherein,
the Company will contribute towards PF at the statutory rate as may be defined by the government from
time to time. Your contribution and the Company’s contribution have been included as a part of the
above-mentioned compensation.

2. Gratuity – Upon cessation of employment after completion of continuous service of at least five (5)
years with the Company, you will be eligible for gratuity as per the Payment of Gratuity Act. The
amount towards gratuity accrual forms a part of the above-mentioned compensation.

3. ESIC – In the event you are eligible, you will be covered under the Employees’ State Insurance Act
wherein, the Company will contribute towards ESIC at the statutory rate. Your contribution and the
Company’s contribution form a part of the above-mentioned compensation.

4. House Rent Allowance (HRA) - You may choose allocation towards HRA up to a maximum of 50%

of Basic Salary. The amount will be paid along with monthly salary, irrespective of actual rent paid. For
claiming HRA exemption, you will be required to submit rent receipts and if rent is more than INR
8,333/-per month or INR 1,00,000/- in a year, then PAN card detail of the Landlord is required as proof
to claim tax exemption. The tax exemption will be granted as per the prevailing Income tax guidelines.

5. Children’s Education Expenses (CEA) - As per Income Tax rules, an exemption of INR 100/-is
allowed per child per month under CEA and no payment proofs or receipts are required. If your child
stays in hostel the exemption allowed is INR 300/-per month duly supported by payment proofs/fee
receipts. The amount will be paid along with the salary each month though final fee receipts may be
submitted in the month of February of the financial year.

6. Conveyance Allowance - You may allocate up to INR 1600/-per month towards Conveyance
Allowance, the amount shall be paid along with monthly salary. Conveyance allowance Rs.1600/-
Exempted from tax.

7. Special Allowance - This is the balance figure after distribution across the components specified
above will be paid to you as special allowance and shall be fully taxable to your account.
As an employee of the Company, you shall be entitled to the following benefits subject to any change
made by the Company from time to time:

11. Group Medical Insurance – a) As an employee of Company, you shall be covered under Comodo
Group Medical Insurance including (Self+Spouse+2 Children). This benefit subject to change made by
the company from time to time and will be notified. Please contact HR for the further information and
eligibility for your case.

b) Group Personal Accidental Insurance – As an employee of Company, you shall be eligible for Group
Personal Accidental Insurance as per company policy.

2. Annual Leave/Public Holidays – You will be eligible for annual leaves and public holidays as
determined by the Company's Leave Policy which is subject to change from time to time.

3. Shift Allowance - This allowance is paid for the employees working in night shift. This is not payable
while working on a day shift. Shift allowances are payable as per the policies of the Company, which
are subject to change from time to time.

Personal Taxation - Your salary and the perquisites are subject to income tax as per Indian Tax Laws
and all personal taxation will have to be deducted at source as per the laws applicable from time to time
and the Company does not accept any responsibility for its accuracy.

Annexure I

You shall be governed by the following terms and conditions of service during your employment with
Comodo Security Solutions Pvt. Ltd., (hereinafter referred to as “Company”) and those that may be
amended from time to time.

Statement of Facts

The Company has made the offer of employment on the basis of the bonafide statements and facts
provided by you in your resume / interview for employment / Employee Background Verification Form
filled.

At the time of employment or during employment, if the company finds the information provided by you
to be false or misleading, it reserves the right to take appropriate disciplinary action against you
including dismissal.

Duties

You shall not engage yourself in any outside work over and above your legitimate work in the Company
on duty days, on holidays, or when you are on leave without obtaining the management’s prior
permission in writing.

You shall comply with the rules, regulations, and procedures as notified by the Company, from time to
time in letter and spirit.

During your employment, you shall not directly or indirectly engage in any conduct averse to the best
interests of the Company. Also, you shall not divulge any confidential information of or violate any
agreement with your employers or their clients.

Confidentiality

You will also maintain total confidentiality of all process and know-how, security arrangements,
administrative and/or organizational matters of a confidential/secret nature, all company related
information/documents/files etc., to which you may have access directly or indirectly. In this respect, you
will have to sign the Confidentiality and Non-Disclosure Agreement of the company on the date of your
joining.

You shall maintain confidentiality with regard to your compensation and benefits.
You shall be governed by the employment agreement, proprietary Rights and Non–disclosure
agreement.

Transfer

While in employment, the Company has the right to transfer or associate you to any of its Group
companies or to its business associates’ Companies in India or abroad.

The Company reserves the right to transfer you on a temporary or permanent basis to other job
functions, departments, or locations within the company, when necessary.

Organizational Rules

You will familiarize with and adhere to the Company’s Rules and Regulations in force and as modified
by the Company from time to time. You may be required to work in any projects, teams and in different
shifts as may be decided by the Company, from time to time. You shall execute such agreements/bonds
as required by the Company.

Hours of work

You will work on Shift basis and also invest additional hours of work when necessitated by situations.

Holidays as declared by the Company and displayed in the notice board and attendance register will
apply.

Leave Categories

Leave is granted to employees with the good intention of providing rest, recuperation of health and for
fulfilling social obligations. This provides for a healthy and efficient staff for the company. Sanctioning of
leave is at Management discretion based on exigencies of business or seriousness of the case.

Leave year is from 1st January to 31st December.

Eligible leave is credited to the employees on the 1st of January every year.

• Casual Leave
• Sick Leave
• Earned Leave
• Marriage Leave
• Maternity Leave
• Paternity Leave
• Compensatory Off
• Grievance Leave

Employees who are appointed during the course of the year shall be entitled to the above leaves on
pro-rate basis.

Employees whose date of joining service falls between 1st to the 15th of a month are entitled to get the
leave credit for that month.

Employees whose date of joining service falls between 16th to the end of the month are not entitled for
the leave credit for that month.

Probation Period

You will be on probation for a period of six months and may be confirmed as a permanent employee
upon successful completion of your probation.

Your Probation may be extended at the discretion of the management, if your performance or conduct is
not found satisfactory during your Probation. The Company has the right to increase or decrease or
alter salary structure based on the performance.
During probationary period 1 casual leave can be availed, which cannot be accumulated.

Notice Period

At the Time of formally resigning from services, you shall serve the notice period of 7 days during
Probationary Period and notice period of 15 days once you get confirmed with your service of the
Company.

When you formally resign from the services of the company, the company may, at is discretion, permit
you to:
• Adjust the leaves (Only Privileged Leave) accumulated towards part of the notice period
• Pay up for the notice period in lieu thereof.
• Company at its discretion may also waive notice period, mutually in specific cases.

If your services are terminated by the Company, the company shall pay your salary for the notice period
admissible. The Company also reserves the right to terminate your services without any notice or salary
in lieu thereof on the grounds of gross misconduct/disciplinary issues, poor performance, violence of
ethical standards and/or company’s values and standards.

“Salary” for the purposes of this section will be the gross salary.

Other Terms and Conditions

All or any of the privilege and benefits extended can be altered or withdrawn by the Company at any
time.

You will be governed by the schemes relating to personal group medical insurance, shift allowance and
transport facilities in accordance with company regulations, as changed from time to time.

You will be governed by the rules and regulations of the company as applicable to your category of
employees, which may change from time to time.

You are required to treat this letter and its contents as strictly confidential and should not disclose the
same to any person or entity (except to your advisors, attorneys and accountants, for seeking their
advice) without our prior written consent.

In token of your acceptance of this offer, kindly sign and return a copy at the earliest.
