The Supplier is responsible for and shall pay all taxes, charges, levies and duties of any nature payable in connection with the supply of
the goods under this contract to the respective Government authorities. It is also duty of the Supplier to upload the details of their sales in
the Goods and Service Tax (GST) portal as per the due dates without fail. In case GST credit does not flow to Saint-Gobain India Pvt Ltd
(SGIPL) through the GST portal, SGIPL shall deduct the same from any payment due to the Supplier. The Supplier shall indemnify SGIPL
in case of any penalty, fine imposed by the Government authorities due to non-compliance of the GST law by the Supplier.
If turnover of your Company is 100 Cr or above, E-invoicing is Mandatory for all the Dispatches/Services. Manual Invoices are not
acceptable.

Terms & Conditions of the Service Order
1. ORDER ACCEPTANCE & DELIVERY: Order acknowledgment to be sent to SGIPL and if not received within 48 hours of issue of this
order, it shall be deemed to be accepted unconditionally. On time delivery is the essence of this Purchase order. For delay in supplies, risk
purchases will be made from other sources and extra cost incurred by SGIPL in procuring the material / service shall be recovered from
the SUPPLIER.
2. INSPECTION ACCEPTANCE AND REJECTION OF GOODS / SERVICE: Final inspection for all the goods shall be carried out at our
site only. Rejected materials shall be lying at our site at the risk and cost of the supplier and he has to lift the material within 30 days of
intimation. In case materials are not lifted within 30 days, SGPIL shall not be responsible for and loss of the materials.
3. VENDOR INVOICE : Please ensure that our GSTIN is clearly mentioned in your Invoice and GSTR1 is filed accordingly in order to avail
credit . The corresponding GSTIN of Plants of Glass Business are given below.In case, we are denied credit due to any fault of yours, you
are liable to indemnify us for the loss suffered by us.
4. PRICES: The prices mentioned the Purchase / Service order are firm till the completion of the order and no escalation shall be
entertained.
5. GUARANTEE/ WARRANTY: Unless otherwise stated elsewhere the SUPPLIER shall guarantee the materials/equipment supplied for
successful operation as per standards for 12 months from the date of commissioning or 18 months from the date of dispatch.
6. For any failures / defects, replacement should be arranged free of cost by the supplier.
7. DISPATCH INTIMATION: The supplier should intimate the dispatch particulars one week in advance with advance copies of dispatch
documents, like challan / invoice, etc. All materials must be dispatched to The Team Leader (Stores), Saint-Gobain India Private Limited.,
Ph: 044-2716 2832 - 39 ,Fax: 044-27162841.
8. Dispatch documents in triplicate must be proper and in order. Otherwise payment delays will occur for which we are not responsible.
9. All the packages are to be properly packed, secured and serially numbered. Packing Slip / Challan to be a part of dispatch documents.
10. Excess quantity should not be supplied against the order. We also reserve the right to cancel the order in full or in part at any time after
the expiry of the delivery period, prior dispatch of the go.
11. All matters pertaining to this Purchase / Service Order shall be subject to the exclusive jurisdiction of Courts at Chennai.

15. INSURANCE& INDEMNITY:
Insurance during erection and commissioning is in Supplier's scope. The SUPPLIER shall be responsible to meet any liability arising out of
bodily injury or death of his employees / workmen and shall take WCP insurance. Policies adequately covering any compensation that may
be due to such injured / deceased employee or workmen. In the absence of such insurance, SGIPL shall be entitled to withhold any
amount that is due to the SUPPLIER towards the performance of the Service Order . SUPPLIER shall hold SGIPL fully indemnified and
harmless from any loss or claim from any source on account of damage or destruction of SUPPLIER property and injury or death of
SUPPLIER employees. Necessary document proofs of the insurance policies covering risks aforesaid and any other document relating
thereto shall be submitted to SGIPL before start of Work at site.
16. STATUTORY REGULATIONS (SERVICE)
16.1. The Contractor shall abide by all the applicable statutory acts and rules and submit the compliances in respect of following Acts &
Rules, which include:
a) Child Labour (Prohibition and Regulation) Act, 1986.
b) Contract Labour (Regulation and Abolition) Act, 1970.
c) Employees' Provident Funds and (Miscellaneous Provisions) Act 1952.

d) Employees' state Insurance Act, 1948.

e) Employees compensation Policy.
The service provider shall maintain proper books, accounts, records and documents and comply with all statutory Rules and
Regulation, which are applicable to the contractor for the fulfillment of the terms of this agreement. The service provider shall maintain all
the statutory registers and records and submit all the returns to the statutory authorities as required under the above acts. The Service
Provider shall not employ any child labour at any time during the tenure of this contract.
17. The Invoice is to be termed as "Tax Invoice" as required under the GST Acts. SGIPL's GSTIN and SUPPLIER's GSTIN are to be
stated on all the invoices.
18. For service order applicable tax will be deducted on all invoices.
19. GREEN PURCHASE - No supply shall be accepted by SGGI with polyethylene packaging less than 50 microns.
20. PREVENTION OF POLLUTION BY NICKEL : The supplier must provide the chemical composition of the Steel Components / Wear
Plates / Metal Products etc . The goal is to not use alloys containing nickel (> 0.05% or > 500 ppm). The supplier must be able to present
a certificate of analysis of the material supplied that can be included in the technical specifications of the product as an appendix.
In case of Services like Welding , the service provider to prohibit the use of welding rods containing nickel for the welding operations in the
factory/ in the making of the Product
21. SAFETY: Safety during execution of services at site to be followed as per SGIPL standard. Supplier shall provide all necessary PPEs
like safety shoes, Goggles, Helmets, Masks, Gloves, etc to their employees and ensure usage of the same while working. The vehicle
delivering the material at our site should have valid FC, Emission testing certificate and driver's license. The service provider /transporter
shall agree that all their vehicles that enter the factory premises of the Company should maintain the threshold speed limit as prescribed in
the factory premises /applicable statutes. Their agent / driver / helper of the vehicle shall strictly obey all the safety measures inside the
factory premises. In the event of an accident/death/injury and/or loss to the premises of the Company due to the negligence/mistake of the
driver / helper /agent of the vehicle of the service provider/transporter, the service provider/transporter shall be solely liable for such non-
compliance. The service provider / transporter shall indemnify the penalty etc. that may be imposed by any statutory authorities on account
such accident/injury/death.
22. If due to negligence any injury/ death is sustained by the Driver/ Helper of the service provider /transporter themselves in the factory
premises, the service provider/transporter will be solely responsible for such incident and indemnify further the cost of any litigation
/settlement/ damages if any borne by the Company directly on account of such negligence and in addition to other means, the Company
will recover the same from the bills/outstanding of the service provider / transporter/ .
23. All service providers and their employees working at SGIPL site should strictly adhere to SGIPL's Environment health & safety rules &
regulations.
